FIRST AMENDMENT TO MEMORANDUM OF UNDERSTANDING

BETWEEN

THE COUNTY OF VENTURA
AND

THE CITY OF CAMARILLO

REGARDING THE FINANCIAL SHARING ARRANGEMENT FOR A PROPOSED PERMANENT SUPPORTIVE

HOUSING PROJECT

1. Recitals
A. On April 10, 2025, County of Ventura (“County”) applied for Homekey+ funding to develop 88 units of Permanent Supportive Housing at 1722-1736 Lewis Road, Camarillo, California (“Project”). The Project will include 88 residential single occupancy units plus an on-site resident manager’s unit and would be constructed with modular prefabricated homes on a section of the Lewis Road campus near the existing Rancho Sierra Senior Apartments.

B. The Project will serve individuals with a behavioral health challenge who are at-risk of or experiencing homelessness. Eligible households will be referred to the Project through the Coordinated Entry System with verification of Homekey+ eligibility of a behavioral health challenge.

C. County was awarded $22,970,000 for capital costs and $5,000,000 for operation costs in the Homekey+ Funding Application. Ventura County Behavioral Health (“VCBH”) will contribute Behavioral Services Act funds and Gold Coast Health Plan will contribute funding to support the Project’s operational sustainability. Along with the local match funding, if awarded the full request, the Project operations are expected to be fully funded for the first 10 years.

D. On September 9, 2025, the City of Camarillo (“City”) and County entered into an Memorandum of Agreement (“MOU”). In exchange for the reservation of 10 units for Camarillo qualified individuals, City agreed to provide financial support in the amount of $2,000,000, subject to the terms of the MOU. City and County may be referred to collectively as the “Parties” or individually as a “Party.”
E. Since the Parties entered into the MOU, the California Department of Housing and Community Development (“HCD”) amended the procedures by which grant funds are allocated and disbursed. The Parties now wish to update certain terms of the MOU to align with HCD’s updated procedures.

2. The following sections of the MOU are amended to read as follows:

Section 4(B) of the MOU is amended to read:

Capital Match. City will provide $2,000,000 in capital match funding subject to the terms of this MOU, provided the Project is awarded Homekey+ funding from the State of California, and City’s funding is acknowledged by HCD. City will provide funds to County within 365 days of County’s execution of the Standard Agreement with HCD for the Homekey+ funding. City shall not be responsible for any additional funding beyond the $2,000,000 described in this MOU. 24935-7696-2488 v1
Section 6 of the MOU is amended to read
The parties shall structure payment schedules so that City’s $2,000,000 is received by County within 365 days of execution of the Standard Agreement between County and HCD.

Section 8(B) of the MOU is amended to read
Upon HCD’s acknowledgment of City’s funding, or commencement of construction on the Project, whichever occurs first, neither party may terminate this MOU.
