Subject: Authorize Amendment to Agreement No. 2023-135A with Solutions II for IBM Maintenance and Upgrades
BACKGROUND
In September 2023, the City upgraded its IBM server environment to IBM Power10 to support the City's CentralSquare Enterprise Resource Planning (ERP) system. The City Council subsequently awarded Agreement No. 2023-135 to SPS VAR for $59,712.06 for three years of maintenance, which expires September 26, 2026. Solutions II acquired SPS VAR in November 2025 and assumed responsibility for the City's existing maintenance services.
The City’s ERP system is hosted on-the IBM Power10 environment and supports critical financial, administrative, and operational functions. Ongoing maintenance and software updates are necessary to maintain system reliability, security, recoverability, and vendor support.
DISCUSSION
Solutions II is a CentralSquare-approved IBM business partner with specialized expertise in supporting CentralSquare ERP systems operating on IBM Power infrastructure.
CentralSquare has confirmed that Solutions II is the only approved IBM business partner for this purpose. Because the City's ERP environment requires coordinated hardware, operating system, and application support, staff recommends procuring these services from Solutions II on a sole source/proprietary basis.
Solutions II provided pricing for three years of IBM system maintenance and for professional services to upgrade the City's IBM i operating system and CentralSquare ERP application. The proposed services include:

Three years of IBM Power10, IBM i, and tape-library maintenance from September 27, 2026, through September 26, 2029: $15,450.
IBM i and CentralSquare ERP upgrade services: $8,400.
The total cost is $23,850.
Staff recommends that the City Council approve Amendment No. 2023-135A in the amount of $23,850, including 10% contingency of $2,385 for additional support if needed, for a total amount of $26,235, and a revised agreement not-to-exceed amount of $85,947.06.
FISCAL IMPACT
Funds for Solutions II upgrades and maintenance are included in the FY 2026/27 Information Systems Administration Budget Account No. 530-5330-453.32-01. Future year costs will be included in the respective annual budgets.
CITY COUNCIL STRATEGIC PLAN FY 2026/27
This recommendation supports the City Council’s Strategic Plan Goal and Objective 5.2 – Technology and City Facilities – Expand and upgrade technology infrastructure to improve network connectivity, digital services, and operational efficiency.
CEQA DETERMINATIONS
City staff has determined, in accordance with Section 15061(b)(3) of the California Environmental Quality Act (CEQA) Guidelines, maintenance and upgrade services for existing on-premises information technology infrastructure is not subject to CEQA review because it can be seen with certainty that there is no possibility that software upgrades may have a significant effect on the environment.
RECOMMENDATION
1. Find that Solution II IBM maintenance and upgrade services for existing on- premises information technology infrastructure is exempt from review under the California Environmental Quality Act (CEQA) pursuant to Section 15301 of the CEQA Guidelines; and
2. Authorize City Manager to recognize the vendor name change from SPS Var to Solutions II; and
3. Authorize City Manager to execute First Amendment No. 2023-135A with Solutions II, in the amount of $23,850 plus contingency of $2,385 for a total agreement not to exceed amount of $85,947.06; and
4. Authorize the City Manager to negotiate and execute future amendments and agreements with Solutions II up to the authorized contingency amount.
