CITY OF CARSON 701 East Carson Street
Report to Honorable Mayor and City Council
Tuesday, September 30, 2025, 5:00 PM
CONSENT 25. To: Honorable Mayor and City Council From: Dr. Arlington Rodgers, Director of Public Works PW Engineering Subject: CONSIDER APPROVING A PURCHASE ORDER TO ITERIS, INC. FOR EQUIPMENT PURCHASEFOR PROJECT NO. 1687 - CARSON STREET INTELLIGENT TRANSPORTATION SYSTEM (ITS) PROJECTAND CONSIDER APPROVING RESOLUTION 25-115, A RESOLUTION OF THE CITY OF CARSON CITYCOUNCIL AMENDING FISCAL YEAR 2025-2026 BUDGET IN THE GENERAL FUND AND SPECIAL REVENUEFUNDS (CITY COUNCIL) I. SUMMARY
The Public Works Department is advancing Project No. 1687: Carson Street Intelligent Transportation System (ITS) Project from Figueroa Street to the I-405 Northbound Ramps (Exhibit No. 1). This project will install video detection systems, traffic management systems, and network connections, linking each signalized intersection along the corridor to City Hall. The improvements will enhance traffic signal synchronization and overall traffic flow on Carson Street.
The City has been awarded $700,000 in grant funding from the Los Angeles County Metropolitan Transportation Authority (Metro) and has also allocated $300,000 in Proposition C funds, as approved by City Council on May 6, 2025. Proposition C is a voter-approved half-cent sales tax that supports public transit, transit-related capital improvements, and local transportation enhancements. To ensure timely project delivery, staff recommends purchasing the required ITS equipment in advance of construction. This approach allows the contractor to have equipment on hand at the start of construction, avoiding potential procurement delays. The equipment, supplied by Iteris, Inc., was selected to maintain compatibility with existing traffic signal systems currently in use throughout the City. The acquisition period is estimated at 6-8 weeks from the issuance of the Purchase Order.
The ITS equipment will be installed at 9 traffic signals along Carson Street, including the intersections at:
Figueroa Street
Moneta Avenue
Main Street
Orrick Avenue
Dolores Street
Grace Avenue
Via Verde
Avalon Boulevard
Bonita Street
A construction contract for the ITS Project is expected to be awarded in the first quarter of 2026, with construction anticipated to begin in the second quarter and be completed by the third quarter of 2026.
Staff recommends that the City Council approve a Purchase Order with Iteris, Inc. in an amount not-to-exceed $295,206.28.
II. RECOMMENDATION
TAKE the following actions:
1. WAIVE the formal bidding process as allowed by CMC 2611(i)(2) Intellectual property with a unique or special purpose, as documented in writing by the Purchasing Manager.
2. WAIVE the formal contract requirement as allowed by CMC 2606(b).
3. APPROVE a Purchase Order with Iteris, Inc. for equipment on Project No. 1687 for a total amount not to exceed $295,206.28.
4. AUTHORIZE the Purchasing Division to issue a purchase order to Iteris, Inc.
5. ADOPT Resolution 25-115 “A RESOLUTION OF THE CITY OF CARSON CITY COUNCIL AMENDING THE FISCAL YEAR 2025-26 BUDGET IN THE GENERAL FUND AND SPECIAL REVENUE FUNDS," to allocate funds in the amount of $300,000.00 for PW1687 - Carson Street Intelligent Transportation System (Exhibit No. 4).
III. ALTERNATIVES
1. DO NOT APPROVE the above recommendations.
2. TAKE another action the City Council deems appropriate and consistent with the requirements of the law and the City’s Purchasing Ordinance.
IV. BACKGROUND
The City’s Capital Improvement Program (CIP) identifies Project No. 1687: Carson Street Intelligent Transportation System (ITS) Project from Figueroa Street to the I-405 Northbound Ramps. The project includes installing video detection systems, traffic management systems, and network connections to link each traffic signal along the corridor to City Hall, improving synchronization and overall traffic flow along Carson Street.
To ensure timely delivery, staff recommends purchasing the required ITS equipment prior to awarding the construction contract. This approach allows the manufacturer’s procurement process to begin immediately so that the selected contractor will have equipment on hand to begin construction as soon as the contract is awarded anticipated in first quarter of 2026. The proposed purchase order with Iteris, Inc. includes the following:
9 rack-mount cabinet interfaces (Iteris)
24 vector sensors (Iteris)
72 extension modules (Iteris)
9 rack-mount monitor drawers (Iteris)
12 camera sensors (Iteris)
4 traffic signal controllers (Econolite)
This equipment will be installed at 9 traffic signals scheduled for construction in FY 2025-26 along Carson Street, including the intersections at:
Figueroa Street
Moneta Avenue
Main Street
Orrick Avenue
Dolores Street
Grace Avenue
Via Verde
Avalon Boulevard
Bonita Street
Iteris equipment has been successfully deployed in recent traffic signal upgrades and is specified to maintain system compatibility across the City’s ITS network. Iteris products are also widely used in neighboring jurisdictions, making them easier to maintain under the City’s existing LA County maintenance contract.
The Los Angeles County Metropolitan Transportation Authority (Metro) allocates Proposition C Local Return funds annually on a per-capita basis for eligible transit and transportation projects. Staff obtained Metro’s approval to use Proposition C funds for PW1687 and subsequently received Council authorization on May 6, 2025, to allocate $225,000 to PW1687 and $75,000 to PW1688 (Avalon Traffic Signal Synchronization Program). Since then, staff has determined it necessary to allocate the full $300,000 in Proposition C funds to PW1687. It is anticipated that the construction phase of PW1687 will be funded with Measure M funds through the Los Angeles County Metropolitan Transportation Authority. The funding for this Council action i.e., approval of a purchase order with Iteris for the acquisition of equipment, will be provided through Proposition C funds, which have already been secured for the project.
In accordance with Carson Municipal Code (CMC) Section 2611(i)(2), competitive bidding may be waived for intellectual property with a unique or special purpose, as documented by the Purchasing Manager. Iteris equipment qualifies for this exemption because it incorporates proprietary and trademarked technologies (Vantage®, ClearGuide®, Edge®) that are essential for system compatibility. Using alternate equipment could result in interoperability issues, higher maintenance costs, and potential risks to public safety.
The Purchasing Manager has reviewed and documented the unique-purpose nature of this procurement and approved the waiver of competitive bidding, as well as waiver of a formal contract under CMC Section 2606(b) (Exhibit No. 2). Consequently, staff recommends City Council approve a Purchase Order with Iteris, Inc. in the amount of $295,206.28 (Exhibit No. 3) for equipment required to implement Project No. 1687: Carson Street ITS Project from Figueroa Street to I-405 Northbound Ramps.
V. FISCAL IMPACT
The proposed Purchase Order with Iteris, Inc. is for an amount not-to-exceed $295,206.28. While Council previously approved the use of Proposition C funds for PW1687 at its May 6, 2025 meeting, those funds were not carried forward into the current fiscal year. If Council approves the requested Purchase Order, the required funds will be allocated to Proposition C expense account 219-80-820-904-8023, pursuant to Resolution No. 25-115.

Standard Terms and Conditions of Sale
Version Update: 2025-05-20 1 of 3 Iteris Roadway Sensor Products Standard Terms and Conditions of Sale
1. Sole Agreement. These Standard Terms and Conditions of Sale for the sale and purchase of goods and services between Iteris, Inc. (“ Iteris”) and the purchaser or buyer (“Purchaser”) indicated on the face of the price quotation, proposal, contract, sales order or offer from Iteris constitute the entire agreement between Iteris and Purchaser (the “Agreement”) and supersede any prior agreement or understanding, whether oral or written, relating to the subject matter of this Agreement. Iteris shall not be bound by any terms or conditions not set forth in this Agreement, including but not limited to, any purchase order or purchase contract (“Order”) from Purchaser that is in any way inconsistent with or in addition to this Agreement. This Agreement may not be expanded or modified except by an instrument in writing executed by an authorized representative of Iteris. Iteris’ acceptance of Purchaser’s Order shall not be deemed an acceptance of any modification to any term or condition cont ained herein, but rather an acceptance of Purchaser’s agreement to purchase goods and services upon the terms set forth in this Agreement. All Orders, whether or not based on specific quotations, are subject to Iteris’ acceptance by an authorized Iteris representative. Notwithstanding the foregoing, if Purchaser is purchasing a Subscription Service (defined below), such services are subject to a separate service agreement that Purchaser will be required to accept and agree, and nothing in the S ubscription Services agreement shall be construed to modify the terms and conditions of this Agreement for other products and services subject to this Agreement. “Subscription Service(s)” means an Iteris- branded service offering, of which access and use is subject to a subscription fee, including without limitation, Iteris SPM, VantageLive!®, VantageCare®, ClearData® and ClearGuide ®, and all respective subsequent variations and versions.
2. Shipment. All prices are in United States Dollars (USD or $) and quoted FCA (Free Carrier at named point, Incoterms® 2010), or in jurisdictions that have not adopted Incoterms®, FOB at the shipping point of Iteris, Inc. Title to goods sold hereunder (individually, a “Product” and collectively, “Products”) shall pass to the Purchaser upon delivery of Products to the carrier. Iteris, however, retains a security interest and a vendor’s lien against the Products until payment in full is received. Purchaser agrees to perfect and maintain such security interest for Iteris. In the absence of specific written instructions that Iteris has accepted, Iteris will ship Products by what it deems to be the most appropriate method for shipment. Although Iteris may transact for carriage, all freight charges and insurance premiums will be for the account of Purchaser.
Upon delivery to the carrier, Purchaser assumes all risk of loss. Any such loss shall not relieve Purchaser of its obligation to pay Iteris in full for Products, freight and insurance. Purchaser shall have the right to negotiate with the carrier and/or insurer to recoup its loss.
3. Delivery. Standard shipments to Purchaser will be approximately 30 -45 days after receipt of an Order. In the event that Purchaser requests a guaranteed ship date, Iteris reserves the right, after notice to Purchaser, to include in the final purchase price any expe nses which increase the cost of production or delivery, including but not limited to, expediting and overtime expenses, parts procurement premiums, etc. Iteris reserves the right to ship complete orders in advance of the ship dates specified and, w ith prior approval from Purchaser, partial orders. Iteris shall not be liable for either delays in delivery or the failure to manufacture if such delay or failure is due to causes beyond Iteris’ reasonable control, including but not limited to, acts of God, acts or omissions of either Purchaser or third parties, intervention of any government authority, strikes, lockouts or other labor disturbances, floods, fires, earthquakes, epidemics, quarantines, riots, wars, delays in transportation, or where Iteris is unable to obtain necessary labor, materials or manufacturing facilities. In the event of such delay or failure, the delivery date shall be extended for a period equal to the time lost by reason of the delay or failure.
4. Subscription Service(s) . For any Subscription Services subject to this Agreement, the Subscription Service(s) starts on the date indicated on the Order or, if no date indicated on the Order, then the earlier of (i) the date that Iteris notifies Purchaser that the Subscription Service(s) is ready for use by Purchaser or (ii) sixty (60) days from the date of Purchaser’s receipt of the hardware Products (subject to the Order). For any renewals of the Subscription Services, it will begin the day immediately fol lowing the date on which the preceding term expired, unless otherwise specified in the Order.
5. Payment Terms . Unless an authorized Iteris representative agrees upon different credit terms in writing at the time of acceptance of Purchaser’s order, the standard terms of payment shall be cash or wire transfer of funds in advance of shipment or, for international sh ipments, Irrevocable Sight Letter of Credit collectable within thirty (30) days after shipment. Iteris’ obligation to deliver Products is subject to Purchaser’s compliance with the foregoing payment terms, or in the event credit is granted by Iteris, any such credit terms provided.
Iteris may at any time, in its reasonable business judgment, if the financial condition of Purchaser warrants, either alter the credit terms or suspend credit and delay delivery until such time as the revised credit terms are met. Iteris shall have the right to cancel any unfilled order, or delay its shipment, for failure of Purchaser to meet its payment schedule or obligations. In the event any payment is not made when due, Iteris shall have the right to accelerate t he due date of the entire unpaid balance and to increase the unpaid balance of the sales price at the rate of one and a half percent (1.5%) per month, or the maximum allowed by law, on the unpaid balance until the account is paid in full, in addition to any reasonable attorneys’ fees or other collection expenses.
6. Taxes. All prices are exclusive of any and all taxes, duties, tariffs, fees, or assessments, including but not limited to sales, use, excise, VAT, or similar taxes and export or import duties or fees applied to the sale or to the Products sold, by any United St ates or foreign federal, state, provincial, or local governmental body. Any such taxes that must be paid by Iteris shall be separately itemized on Iteris’ invoice and paid by Purchaser, or in lieu thereof, Purchaser shall furnish Iteris a properly executed tax exemption certificate prior to shipment. For avoidance of doubt, taxes in an Iteris quote, if entered, are estimated and subject to change. Prices subject to an Iteris quote do not include final actual taxes, levies, tariffs, and any other government -imposed charges related to the purchase of products (and their components), such amounts will be set forth in the Iteris-issued invoice for the Products.

As a condition to making any claim under this Limited Warranty, End User must request a Return Material Authorization (“RMA”) before the Limited Warranty terminates or expires. Provided that the Limited Warranty has not terminated or expired, Iteris shall issue the RMA and End User shall have the right to return the non- conforming Product, transportation prepaid, to Iteris for repair or, solely at Iteris’ option, replacement with new or reconditioned materials. Except for repair or replacement, Iteris shall be under no other liability to Purchaser. This is a Limited Warranty only and, unless otherwise specified in writing by Iteris, shall expire thirty -six (36) months after the date of delivery of each unit of Product to
Purchaser. Repaired or
replaced Products have a Limited Warranty for the greater of ninety (90) days from the time of shipment or the remainder of the original warranty period.

8. Return Material Authorizations . Upon request by the End User for an RMA whether for repair, replacement, or credit, Iteris agrees that it will either issue such RMA or provide End User with a written explanation for its refusal to issue the RMA within thirty (30) days of the request by End User. If Iteris provides a Field Replaceable Unit (“FRU”) or replacement Product in advance of receipt of an authorized return and does not receive the returned unit within 30 days of shipment, End User will be invoiced for the FRU or replacement.
End User shall pay all shipping c osts for items returned to Iteris. For items repaired or replaced under a valid warranty claim, Iteris shall pay shipping costs for return of repaired or replaced item to End User.

Report to Honorable Mayor and City Council

CONSENT 26. To: Honorable Mayor and City Council From: Dr. Arlington Rodgers, Director of Public Works PW Engineering Subject: CONSIDER APPROVAL OF AMENDMENT NO. 3 TO THE OPERATIONS AND MAINTENANCEAGREEMENT BETWEEN THE CITY OF CARSON AND LOS ANGELES COUNTY SANITATION DISTRICT FORPROJECT NO.1515 - CARSON STORMWATER CAPTURE FACILITY AT CARRIAGE CREST PARK EXTENDINGTHE CONTRACT THROUGH SEPTEMBER 30, 2026 (CITY COUNCIL) I. SUMMARY
Staff recommends City Council approval of Amendment No. 3 (Exhibit No. 4) to the agreement with the Sanitation District of Los Angeles County to extend the District’s responsibilities for the completion, operations and maintenance of the City’s nearly completed storm-water capture facility.
The completion of the project has been delayed due to various reasons. In July 2024 the Sanitation District believed that they could have the project completed and operating within the time frame outlined in Amendment No. 2. (Exhibit No. 3) The Sanitation District has been working on locating the source of the water intrusion into the vaults that resulted in damage to electrical equipment. The Operations and Maintenance Staff at Los Angeles County Sanitation District have made the necessary adjustments and corrections. Amendment No. 2 only extended the agreement to June 30, 2025 which was later further extended to September 30, 2025 via letter agreement permitted under Amendment No. 2. Due to the repairs being made, the district has not been able to fulfill the obligation of providing an operating plant or the finalized O&M manual. The original intent of Amendment No. 2 was to have both an operating plant and a complete O&M manual for the City. Once the plant is operational and an O&M manual is provided, the City can contract with a third party vendor for a long term O&M services. By extending this agreement term the City is protecting its interest in having a completed and functional facility with a proper and corrected O&M manual.
II. RECOMMENDATION
TAKE the following actions:
1. APPROVE Amendment No. 3 to the Operation and Maintenance Agreement between the City of Carson and the Los Angeles County Sanitation District No. 2 extending the term of the contract through September 30, 2026, for Project No.1515 – Carson Storm-water Capture Facility at Carriage Crest Park.
2. AUTHORIZE the Mayor to execute Amendment No. 3 following approval as to form by the City Attorney.
III. ALTERNATIVES
1. DO NOT APPROVE Amendment No. 3 to the Operation and Maintenance Agreement between the City of Carson and the Los Angeles County Sanitation District No. 2 extending the term of the contract through September 30, 2026, for Project No. 1515 - Carson Storm-water Capture Facility at Carriage Crest Park.
2. TAKE another action the City Council deems appropriate and consistent with the requirements of the law.
IV. BACKGROUND
The City of Carson is a member of the South Santa Monica Bay Watershed and the Dominguez Channel Watershed Management Group. The City joining the Dominguez Channel Enhanced Watershed Management Plan (EWMP) group has benefited the City financially. Participating in the EWMP helps safeguard our water bodies by capturing polluted storm-water. Under State law and as a member of these groups, the City receives extra time to comply with the MS4 requirements but still must demonstrate to the Regional Water Board its ability and commitment to fund and construct specific storm-water capture projects.
The City had an opportunity to construct a storm-water capture and diversion facility beneath the Carriage Crest Park ball field to reduce storm-water pollution in the Machado Lake Watershed and the Wilmington Drain, which are part of Carson’s MS4 permit compliance obligations. The Carriage Crest Park Storm-water Project provides the City credit towards our EWMP obligations and reduces the City’s overall obligation by $21 million using grant funds (no City General Fund money was used to construct the project).
The City entered into an agreement with the County Sanitation District of Los Angeles County to design and construct a storm-water capture facility. The facility, which is substantially completed, was intended to enhance storm-water management and improve water quality, meeting MS4 requirements, and contributing to long term sustainable City goals.
In July 2024, the City Council approved Amendment No. 2 which extended the District’s role to:
a. Complete construction of the facility
b. Address remaining deficiencies
c. Ensure that the system reaches operational status
d. Prepare comprehensive Operation and Maintenance Manual The agreement is currently set to expire on September 30, 2025. Since then, the project has reached substantial completion but not full operational capability due to unexpected technical challenges, including water intrusion into the underground vault, which damaged certain internal mechanical and electrical components critical to the facility’s performance. These issues have delayed the final commissioning and testing required to verify the facility’s full functionality.
The extension of the Agreement through Amendment No. 3 is a necessary step to ensure the successful completion and start up of the City’s new storm-water capture facility.
Staff recommends that the City Council approve Amendment No.3 and authorize the Mayor to execute the amendment accordingly.
V. FISCAL IMPACT
None. Funds for these services were included in the FY 2025-2026 general fund budget in account number 295-80- 820-904-8011. No additional funding is requested as part of this staff report.

O&M SUPPORT AG
REEMENT – STORMWATER CAPTURE FACILITY
(Carriage Crest Park)
This Operation and Maintenance Support Agreement for the Stormw ater and Runoff Capture Facility at Carriage Crest Park (“ Agreement”) is entered into as of the date of the last signature set forth below (“ Contract Date”) and is between County Sanitation District No. 2 of Los Angeles County (“ District”) and the City of Carson (“ City”). The District and the City are referred to collectively as “Parties” or each separately as a “Party.” A. The District is organized and ex ists pursuant to the County San itation District Act, California Health and Safety Code Section 4700 et seq. The District is the administrative district for the Los Angeles County Sanitation Districts (“ Districts”), including County Sanitation District No. 8 of Los Angeles County, the district in which the project is located.
Senate Bill 485 (“SB 485”), effective January 1, 2016, and codified as Health and Safet y Code Section 4730.68, authorizes the Districts to provide certain stormwater services. The Districts do not have an indepe ndent source of revenue to devot e to stormwater projects, and any District work on stormwater projects must be funded by the requesting parties.
B. The City is a municipal corpora tion that is required to manage stormwater within its boundaries and has decided to imple ment a project to construct a stormwater capture and diversion facility at and underneath Carriage Crest Park (“Park”) in order to improve the water quality in the Machado Lake Watershed (“Project”).
C. Under the Project, a Water Capture Facility is in the process of being constructed to divert stormwater and urban runoff, prima rily from an existing storm d rain culvert, to a below- ground water storage area located at the Park and then pump it to a sanitary sewer. The Water Capture Facility ( sometimes, “Facility”) includes the structures, mechanical and electrical equipment, and instrumentation between and including, the diversion structure at the culvert and the junction structure on the sanitary sewer. It includes the electrical equipment and control panels dir ectly related to equipment associated with the Water Capture Facility. It does not i nclude the electrical building itself, equipment such as the security system or air conditioner located within that building , or structures related to the Park or ball fields.
D. The Project also replaced the ball fields and landscaping areas affected by the construction.
Those areas and improvements such as sidewalks, fences, and sit e lighting are not part of the Water Capture Facilities.
E. The City entered into a Cooperative Implementation Agreement w i t h t h e S t a t e o f California, Department of Transportation (“ Caltrans”) effective June 8, 2016 for the implementation of the Project (“Caltrans Agreement”), attached as Exhibit 1. Under the Caltrans Agreement, Caltrans co ntributed $13 million to the Cit y for the Project. Under the Caltrans Agreement, the City will be responsible for all management, maintenance and operation, including costs of the constructed Water Capture Facility.
F. The Parties subsequently entered into a Stormwater Project Serv ices Agreement effective July 19, 2016 to provide project management, preliminary engine ering study, 5414
Doc. 6111654 2 11/1/2021
environmental documentation, permit applications, design, and c onstruction management for the Project (“Project Agreement”), attached as Exhibit 2.
G. Using contract documents prepa red under the Project Agreement, the City solicited proposals for the fabrication and delivery to the job site of precast stormwater storage units to be installed by a construction contractor. The City subsequently entered into a contract with StormTrap on November 14, 2017 for the supply of the preca st stormwater storage equipment.
H. The City entered into a Memora ndum of Understanding with the C ounty of Los Angeles (“County”) effective February 5, 2018, to construct, operate and mainta in Water Quality Improvements at the Park (“ County MOU”), attached as Exhibit 3. Under the County MOU, the County agreed to contribute up to a total amount of $5,720,000 in Fiscal Years 2018-2019 and 2019-2020 to finance the capital cost of the Proj ect and annual funding of 44% of the Operation and Maintenance costs of the Water Quality Improvements (also referred to herein as Water Capture Facility or Facility).
I. As required by the County MOU, the City entered into a Use and Maintenance Agreement with the Los Angeles County Flood Control District (“ County Flood Control”), in July 2018, to construct, operate and ma intain approximately 200 feet of a storm drain owned and operated by County Flood Control as a means of diverting stormwater and urban runoff into the Water Capture Facility (“Flood Control Agreement”), attached as Exhibit 4.
J. An Industrial Waste Discharge Permit (“ IW Permit ”) was issued by the Districts on January 17, 2019 to allow the Water Capture Facility to discharge to the Districts’ sanitary sewer. The IW Permit was amended on April 28, 2021 to reflect the specific equipment installed on the Project and is attached as Exhibit 5. The IW Permit has an expiration date of January 16, 2024 and may be renewed, revised, or amended in accordance with Districts’ policies.
K. Using the contract documents p repared under the Project Agreeme nt, the City advertised an Invitation to Bid for the pr oject construction, which includ ed the construction of a diversion structure at the County Flood Control culvert, the su pply and installation of a pretreatment device, installati on of the City-furnished precast stormwater storage units, construction of a below-ground pu mp station, construction of a junction structure to connect to the Sanitation Districts’ trunk sewer, restoration o f the ball fields and landscaping directly affected by the construction, and all additional civil, mechanical, and electrical work associated with the Project, including the inst allation of a new electrical transformer and meter to supply power to the Water Capture Facility.
L. The City subsequently entered into a contract with OHL USA for the Project construction on April 19, 2018. A Notice to Proceed with construction was i ssued in May 2018. At that time, the Project was scheduled to be completed in December 2019.
M. Due to construction challenges, the Project has been significan tly delayed, with an anticipated completion date not earlier than December 1, 2021. The challenges to construction completion include:
Doc. 6111654 3 11/1/2021
Rain delays occurring primarily in the winter of 2018/2019; Delays associated with the contra ctor’s design and implementati on of the shoring system associated with the main excavation;
Characterization and management of contaminated soil; Various contractor-related productivity issues.
N. The Project Agreement was amende d in January 2020 to increase t he project budget as a result of the construction delays and noted that the City expects to receive municipal return funds from Los Angeles County’s Safe Clean Water Program, some of which may be used for this Project and operation an d maintenance expenditures rel ated to the Facility.
Amendment No. 1 to the Stormwater Project Services Agreement is attached as Exhibit 6.
O. The County MOU and County Maintenance Agreement both require the City to prepare an operation and maintenance manual (“ O&M Manual”) describing in detail the operation and maintenance requirements of various components of the Water Capture Facility.
P. The Water Capture Facility is owned, and will be operated, and maintained by the City in accordance with the O&M Manual and IW Permit upon completion of t h e P r o j e c t construction.
Q. The Parties intend by this Agreement for the District to assist with the startup and initial operation and maintenance of the Water Capture Facility, as described herein. In general, the City intends for the District to assist with or perform O&M services on the pump station and control elements related to the Facility and intends to use City contractors for maintenance of the gravity storm drain portions of the Facility.

AMENDMENT NO. 2
TO O&M SUPPORT AGREEMENT - STORMW ATER CAPTURE FACILITY (Carriage Crest Park)
THIS AMENDMENT TO THE O&M SUPPORT AGREEMENT - STORMWATER CAPTURE FACILITY ("Amendment No. 2") by and between the CITY OF CARSON, a California municipal corporation ("City") and COUNTY SANITATION DISTRICT NO. 2 OF LOS ANGELES COUNTY ("District"), is effective as of the 30th day of September, 2023.
RECITALS
A. City and District entered into that certain O&M Support Agreement - Stonnwater Capture Facility ("O&M Agreement"), whereby District agreed, on a time and materials basis and at the City's direction, to provide City with interim operations and maintenance support ("O&M Services") to support the startup of the Water Capture Facility at Carriage Crest Park in the City of Carson ("Facility").
B. The intent of the O&M Agreement was for the Districts to provide operation and maintenance (O&M) support for a portion of the Facility, in order to provide a bridge between Facility startup and operation by City-contracted O&M service providers or contractors.
C. District and City entered into a Stormwater Project Services Agreement dated July 19, 2016 ("Project Agreement") in connection with City's desire to construct the Facility "Project"). To facilitate construction of the Project, City requested District, and District agreed, to provide certain support planning, design, and construction management services under the Project Agreement. Under the terms of the Project Agreement, the District was required to hire and oversee a design and construction management consultants for the Project , and the City was to pay District to cover related costs. The City was to then retain a contractor to construct the Facility in accordance with completed designs. The District contracted with Tetra Tech to perform preliminary engineering and site investigations, design services, and construction management services for the Project; the City retained OHL USA ("Contractor") as the general contractor for the Project.
D. Construction of the Facility by Contrator commenced in May 2018. During the course of construction the Project encountered multiple construction challenges that significantly affected project completion. Those delays included, but were not limited to, rain delays, soil that required additional testing and handling, and Contractor productivity issues.
E. Although the City did not accept the Contractor-installed ballfield turf until March 2022, the structural, mechanical, and electrical portions of the Facility were essentially completed as of October 2021. Facility startup and equipment testing began around that time and were expected to be completed in December 2021 or January 2022.
F. Functional testing was suspended in April 2022 due to damage to electrical components caused by stormwater runoff entering below-ground vaults through access hatches.
DOC 6989080: 142558112.1 1
5414B
CSD CONTRACT NO. ____________
The damage appears to have been caused primarily as a result of alleged errors and omissions in Tetra Tech's designs and construction management services which resulted in Contractor constructing a Project that contains deficiencies.
G. Due to the anticipated time to obtain replacement parts and otherwise remediate the deficiencies in the Project, the City suspended the project work on April 29, 2022, which consisted primarily of demonstration of the functionality of the control program and providing O&M training to City staff, in addition to performing minor "punch list" items and correcting "as-built" drawings.
The replacement valve actuators and associated uninterruptible power supply to be installed for the Project have been received by the City and are available for installation.
H. The City subsequently attempted via an extra work process to have the Contractor replace the damaged equipment and make minor modifications designed to prevent future equipment damage, with the expectation that the Contractor would resume the suspended work after replacing the failed equipment. That extra work process was based on revised drawings prepared by Tetra Tech and furnished to Contractor by the City.
I. However, due to a lack of timely response from the Contractor, the City has decided to terminate that contract and instead have the District perform activities necessary to make the Facility operational. The City accepted the work completed by Contractor and authorized the District to perform the remaining work at its July 16, 2024 City Council meeting.
J. In order to expedite the work required to place the Facility into proper operation, the City and District desire to reactivate and extend the term of the O&M Agreement; and to expand the scope of the Agreement to allow the District to replace or repair the damaged equipment/instrumentation to allow the Facility to be placed into operation, and make related modifications or improvements to reasonably protect the equipment from future damage.
K. The City is in possession of the four (4) replacement actuators and one (1) uninterruptable power supply to be installed at the Facility and will provide them to the District for installation at the Facility.
L. Since Project startup will be achieved under this Agreement and not City's prior contract with Contractor, both Parties intend to work collaboratively to achieve the diversion of dry weather runoff and stormwater from the LACFC storm drain in Figueroa Street to the Facility during the 2024-2025 wet-weather season, which is generally understood to be October 15 through April 15.
M. The initial timeframe for District to provide the interim O&M Services to the City was initially anticipated to be approximately 3-4 months, ending no later than April 30, 2022 with the overall term of the O&M Agreement to expire June 30, 2022. Those dates were extended to June 30, 2023 and September 30, 2023 via Amendment No. 1 to the O&M Agreement.
N. A draft O&M Manual for the Project was provided to the City in December 2023 and revised based on City comments received in March 2024.

The City
subsequently
attempted via an extra work process to have the Contractor replace the damaged equipment and make minor modifications designed to prevent future equipment

That extra work process was based on revised drawings

However, due to a lack of timely response from the Contractor , the

Report to Honorable Mayor and City Council
Tuesday, September 30, 2025, 5:00 PM
CONSENT 27. To: Honorable Mayor and City Council From: Dr. Arlington Rodgers, Director of Public Works PW Engineering Subject: CONSIDER APPROVING AMENDMENT NO. 1 TO THE AGREEMENT WITH IGM TECHNOLOGYCORP (GRAVITY) FOR THE CAPITAL IMPROVEMENT PROJECTS (CIP) REPORT BOOK (CITY COUNCIL) I. SUMMARY
Staff is requesting City Council approval of Amendment No. 1 to the Agreement with IGM Technology Corp. (IGM) for the expanded use of the Gravity cloud-based productivity platform. The City currently utilizes Gravity for the preparation of the Annual Operating Budget for Fiscal Year 2025-26, and staff proposes to extend its application to include the Overview and Capital Improvement Projects (CIP) Report that accompanies the Operating Budget.
Finance and Public Works staff have worked collaboratively to define the scope of work and confirm implementation feasibility. The amendment will ensure the efficient and effective production of another detailed, comprehensive, and professional report, while also streamlining the process for automated capital budget preparation.
Consequently, staff recommends that the City Council approve the proposed Amendment No. 1 to the Agreement with IGM Technology Corp., establishing a new not-to-exceed contract amount of $129,659.52 over the three-year term ending December 30, 2027.
II. RECOMMENDATION
TAKE the following actions:
1. APPROVE Amendment No.1 to Agreement with IGM Technology Corp, for an increased amount not to exceed $60,079.52, increasing the total contract sum to $129,959.52; and
2. AUTHORIZE the Mayor to execute the amendment after approval as to form by the City Attorney.
III. ALTERNATIVES
TAKE another action the City Council deems appropriate and consistent with the requirements of the law.
IV. BACKGROUND
On January 2, 2025, the Finance Department entered into a three-year agreement with IGM Technology Corp. for use of its Gravity budget book and report automation software. The agreement included setup, provisioning, administrator and interface configuration, and user training. Gravity Budgeting is a cloud-based productivity platform designed for government budgeting and financial planning. The system streamlines the budget process by automating preparation, ensuring compliance with GASB and GAAP standards, enhancing audit readiness, and providing data-driven insights for decision-making. By reducing reliance on manual spreadsheet tasks, staff are able to dedicate more time to strategy and analysis. The platform also provides a transparent and user-friendly interface for budgeting, reporting, and financial management.
The original agreement covered the period of December 31, 2024, through December 30, 2027, with a not-to-exceed contract total of $69,880. Amendment No. 1 expands the scope of services to include development of an automated system for the Overview and Capital Improvement Projects (CIP) Report and capital budgeting processes for Fiscal Year 2025-26. This amendment increases the contract amount by $60,079.52, resulting in a revised not-to-exceed total of $129,959.52 for the three-year term.
Accordingly, staff recommends that the City Council approve the proposed Amendment No. 1 to the Agreement with IGM Technology Corp. to expand software and professional services to include Capital Improvement Budget reporting capabilities.
V. FISCAL IMPACT
The cost associated with the proposed Amendment No. 1 to the Agreement with IGM Technology Corp. is a not-to- exceed total of $60,079.52. Of this amount, $39,079.52 will be absorbed within the current FY 2025-26 Public Works Department Operating Budget (Account No. 101-80-820-100-6004). Public Works staff will budget accordingly for the remaining $21,000 in Fiscal Year 2026-27.
