SUMMARY
The City Council is being asked to consider and approve a Tax Payment and Settlement Agreement (“Agreement”) by and between the City of Carson, a charter city and municipal corporation, Tesoro Refining & Marketing Company LLC, a Delaware limited liability company, and Tesoro Logistics Operations LLC, a Delaware limited liability company.
The Agreement provides for payments to the City totaling $370 million, consisting of a $120 million settlement payment and $250 million to be paid annually over fifteen (15) years, subject to the terms and conditions of the Agreement.
The Agreement is related to the City's previously proposed oil-refinery business license tax measure that had been scheduled for consideration by the voters at the November 3, 2026 General Municipal Election.
At its August 10, 2026 meeting, the City Council adopted Resolution No. 26-097, which rescinds and withdraws Resolution No. 26-086 and related resolutions concerning the proposed oil-refinery tax measure. Resolution No. 26-097 provides for the withdrawal of the order of election and is conditioned upon complete execution of the Tax Payment and Settlement Agreement.
The Agreement is therefore presented to the City Council for consideration and approval.
II. RECOMMENDATION
1. CONSIDER and APPROVE the Tax Payment and Settlement Agreement by and between the City of Carson, Tesoro Refining & Marketing Company LLC, and Tesoro Logistics Operations LLC; and
2. AUTHORIZE the Mayor to execute the Agreement, following approval as to form by the City Attorney.

IV. BACKGROUND
On August 4, 2026, the City Council adopted Resolution No. 26-086, placing a proposed business license tax on oil refining activities before the voters of the City at the November 3, 2026 General Municipal Election.
The City subsequently engaged in discussions concerning a negotiated resolution of certain matters between the City and the affected parties. Those discussions resulted in the proposed Tax Payment and Settlement Agreement now being presented to the City Council.
The Agreement provides for payments to the City totaling $370 million, consisting of a $120 million settlement payment and $250 million to be paid annually over ten years, in accordance with the terms of the Agreement.
The Agreement is intended to provide a negotiated resolution of the matters addressed therein and establish the financial obligations of the parties.
In connection with the Agreement, the City Council adopted Resolution No. 26-097 on August 10, 2026. Resolution No. 26-097 rescinds and withdraws Resolution No. 26-086, as well as Resolution Nos. 26-087 and 26-088, which related to the proposed oil-refinery tax measure and associated election procedures, conditioned on the complete execution of the Tax Payment and Settlement Agreement.
Resolution No. 26-097 directs the City Clerk to file the resolution with the Los Angeles County Registrar- Recorder/County Clerk by August 12, 2026, in order to withdraw the order of election concerning the proposed measure pursuant to California Elections Code section 9605.
Resolution No. 26-097 further provides that its effectiveness is conditioned upon complete execution of the final and binding Tax Payment and Settlement Agreement.
The proposed Tax Payment and Settlement Agreement with additional details will be presented at the time of the Special Meeting on August 11, 2026.
V. FISCAL IMPACT
The Agreement provides for total payments to the City of $370 million, consisting of a $120 million settlement payment and $250 million to be paid annually over fifteen years, subject to the terms of the Agreement. The payments contemplated by the Agreement will provide funds to the City for deposit into the General Fund for general municipal purposes. The actual timing and administration of payments will be governed by the terms of the Agreement and applicable City budgeting and fiscal procedures.
