SPECIAL MEETING
TUESDAY, AUGUST 11, 2026, 4:00 P.M.
CALL TO ORDER: CITY COUNCIL/SUCCESSOR AGENCY/HOUSING AUTHORITY (4:00 pm) The meeting was called to order at 4:03 P.M. by Mayor Lula Davis-Holmes in the Helen Kawagoe Council Chambers, Carson City Hall, located at 701 E. Carson Street, Carson, California 90745.

1.CONFERENCE WITH LEGAL COUNSEL – EXISTING LITIGATION (CITY COUNCIL) — A closed session will be held, pursuant to Government Code § 54956.9(a), to confer with legal counsel regarding pending litigation to which the City is a party. The title of such litigation is as follows: Tesoro Refining & Marketing Company, LLC; Tesoro Logistics Operations LLC v. City of Carson, Second Appellate District Case No. B335686.
ACTION: City Attorney William Wynder stated there is no need for a Closed Session this evening.
2.CONFERENCE WITH LEGAL COUNSEL – ANTICIPATED LITIGATION (CITY COUNCIL) — A closed session will be held, pursuant to Government Code Section 54956.9(d)(2) or (d)(3) and (e)(1), because there is a significant exposure to litigation in one case.
ACTION: City Attorney William Wynder stated there is no need for a Closed Session this evening.

DISCUSSION (Item 3)
3. CONSIDERATION AND APPROVAL OF TAX PAYMENT AND SETTLEMENT AGREEMENT BY AND BETWEEN
THE CITY OF CARSON, TESORO REFINING & MARKETING COMPANY LLC, AND TESORO LOGISTICS
OPERATIONS LLC (CITY COUNCIL)
RECOMMENDED ACTION
— 1. CONSIDER and APPROVE the Tax Payment and Settlement Agreement by and between the City of Carson, Tesoro Refining & Marketing Company LLC, and Tesoro Logistics Operations LLC; and — 2. AUTHORIZE the Mayor to execute the Agreement, following approval as to form by the City Attorney.
City Attorney William Wynder stated he presented to the Mayor and City Council a copy of the partially executed Tax Payment and Settlement Agreement and reviewed the terms and conditions of the tentative agreement that was agreed to between the parties.
Mayor and City Council offered comments.
Motion To Approve submitted by Cedric L. Hicks Sr. seconded by Dr. Jawane Hilton resulting in 5-0-0-0-0
