The sample contract provided contains language that should be modified or clarified to be more specific to the services being delivered. Based on our review, we believe revisions will provide greater clarity as to contractual obligations as well as compliance with state law requirements, which will benefit both parties.

For example, HR Green would request a revision to the following section:
_Professional Liability Insurance: Professional liability insurance appropriate to the Service Provider's profession in an amount not less than one million dollars $1,000,000 per ofellence. This coverage may be written on a "claims made" basis, and must include coverage fer contractual linbility. The professional liability insurance required by this Agreement must be endorsed to be applicable to claims based upon, arising out of or related to Services performed under this Agreement. The insmance must be maintained for at least three (3) consecutive years following the completion of Service Provider's services or the termination of this Agreement. Dwing this additional three (3) year period, Service Provider shall annually and upon request of the City submit written evidence of this continuous coverage.

Reason: Our professional liability policy does not provide coverage for contractual liability.

As HR Green is currently under contract with the City, we foresee no issues in resolving these concerns.

If selected, HR Green would like the opportunity to work with the City to develop the proposed agreement and address very specific issues. We would be prepared to discuss these matters immediately upon selection to assure that no time is lost and that the proposed work can be carried out in a timely manner.
