AGREEMENT FOR SERVICES

THE CITY OF CATHEDRAL CITY, CALIFORNIA
AND
RT ENGINEERING & ASSOCIATES INC.
FOR
HSIP CYCLE 11C PROJECT:
HSIPL-5430-041 (C08756) – TRAFFIC SIGNAL HARDWARE UPGRADES AT FORTY-NINE INTERSECTIONS.
In accordance with the “Agreement for Services” dated October 6, 2025, (collectively referred to as the “Agreement”) by and between the City of Cathedral City, a municipal corporation (“City”) and RT Engineering & Associates, Inc. a California S-Corporation (“Consultant”), and in accordance with Section 28 of the Agreement, entitled, “Amendment”, this Amendment Number No. 1 to the Agreement is made and entered into this 14th day of October of 2026 (“Effective Date”).
RECITALS
A. Consultant currently provides construction engineering services to the City for the Highway Safety Improvement Program (HSIP) Cycle 11C Project: Traffic Signal Hardware Upgrades, HSIPL-5430(041), CIP No. C08756 (“Project”).
B. City and Consultant desire to amend Section 1 of the Agreement to extend the term of the Agreement by two (2) months, commencing October 6, 2026, to allow Consultant to complete the remaining construction engineering and project closeout services.
C. City and Consultant desire to amend Section 4 of the Agreement to provide additional compensation in an amount not to exceed $65,827.36 for additional construction engineering services associated with the extended construction period and completion of the required Project closeout documentation. Amendment No. 1 increases the total notto-exceed compensation under the Agreement from $134,229.04 to $200,056.40.
NOW, THEREFORE, for good and valuable consideration, the parties agree as follows:
Section 1.
The agreement termination date as set forth in the Agreement is hereby amended such that it shall expire at the end of business day on December 6, 2026.
Section 2.
Section 4 of the Agreement as set forth in the agreement is hereby amended such that the total compensation, including reimbursement for actual expenses, shall not exceed Two Hundred Thousand Fifty-Six Dollars and Forty Cents ($200,056.40), unless additional compensation is approved in writing in accordance with Section 26 “Administration and Implementation” or Section 28 “Amendment” of this Agreement.
Section 3.
Except as specifically amended by this Amendment No. 1, the remaining terms of the Agreement shall remain in full force and effect. In the event of a conflict between the provisions of this Amendment No. 1 and the provisions of the Agreement, the provisions of this Amendment No. 1 shall control.
SUMMARY:
Amendment No. 1 extends the contract end date to December 6, 2026, and increases the compensation to a not to exceed amount of $200,056.40.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement No. 1 to be executed as of the date first written above.
