This memo proposes purchasing furniture as part of the Tenant Improvement (TI) work being done in the Ava office to furnish additional meeting spaces, provide more desks for staff, and overall make the office more functional as the agency continues to grow.
Financial Impact
If approved, this allows for a $350,000 NTE for this one-time purchase of office furniture and related costs. There is a strong likelihood that Ava will be able to get part of this cost reimbursed because the TI provision of our lease allows us to apply unused TI funds to other costs. As of the date of this Staff Report, our cost estimates indicate that we will be able to be reimbursed for slightly over $150,000 from unsued TI funds from the lease agreement.
Analysis and Context (with deadlines as applicable)
As part of Ava’s lease agreement for the 23rd floor at 1999 Harrison, the agency has funds available to use to make improvements in the office. Given that Ava signed a 10- year lease for this office space, staff took 18 months to build a Tenant Improvement (TI) plan with input from employees, engineers, architects, and construction project managers that addresses what is needed most to make the Ava office a more functional space as the agency grows. With the build out of more meeting spaces, as well as Consent Item 16
projected increase in staff numbers, new furniture is needed to furnish the additional conference rooms and support the expanding functional teams. Ava contracted with Insidesource in the winter of 2023 after vetting other furniture companies via the Administrative Procurement Policy. Insidesource provided a quality product for the best price and met our various contractual requirements (e.g. prevailing wage, insurance, etc.), so it made sense to engage with them again for this furniture purchase.
Additionally, staff audited and inventoried existing furniture and reallocated as many items as possible before deciding on new purchases (e.g. chairs, conference tables, desks, etc.) Due to a provision in our lease agreement, if there are any leftover TI funds once construction is final in September of 2025, those monies can be used to reimburse the cost of this furniture purchase. The addition of this furniture will help make the Ava office a better space for collaboration, meetings, and staff growth for the remainder of this decade long lease.

A RESOLUTION OF THE BOARD OF DIRECTORS
OF AVA COMMUNITY ENERGY AUTHORITY FOR APPROVING A
RESOLUTION TO EXECUTE A PURCHASE AGREEMENT FOR OFFICE
FURNITURE FOR AVA’S HEADQUARTERS
WHEREAS Ava Community Energy Authority (“Ava”) was formed as a community choice aggregation agency (“CCA”) on December 1, 2016, under the Joint Exercise of Powers Act, California Government Code sections 6500 et seq., among the County of Alameda, and the Cities of Albany, Berkeley, Dublin, Emeryville, Fremont, Hayward, Livermore, Piedmont, Oakland, San Leandro, and Union City to study, promote, develop, conduct, operate, and manage energy-related climate change programs in all of the member jurisdictions. The cities of Newark and Pleasanton, located in Alameda County, along with the City of Tracy, located in San Joaquin County, were added as members of Ava and parties to the Joint Powers Agreement (“JPA”) in March of 2020. The city of Stockton was added as a member to Ava in September of 2022. The city of Lathrop was added as a member to Ava in October of 2023. San Joaquin County was added as a member to Ava in July 2024. On October 24, 2023, Ava legally adopted the name Ava Community Energy Authority, where it had previously used the name East Bay Community Energy Authority since its inception.
WHEREAS Ava seeks to purchase additional furniture as part of the Tenant Improvement work being done in the Ava office to furnish additional meeting spaces, provide more desks for staff, and overall make the office more functional as the agency continues to grow;
NOW, THEREFORE, THE BOARD OF DIRECTORS OF AVA COMMUNITY ENERGY AUTHORITY DOES HEREBY RESOLVE AS FOLLOWS:
Section 1. Authorizes the CEO to negotiate and execute a Purchase Agreement with Inside Source Washington, Inc. for office furniture and related labor costs with total compensation not to exceed $350,000.
