Staff Report Item 13
TO: 3CE Policy Board of Directors
FROM: Robert M. Shaw, CEO
SUBJECT: Consider and provide direction regarding proposed 3CE Code of Conduct DATE: September 19, 2024
RECOMMENDATION:

It is recommended that the Policy Board consider and provide direction regarding proposed 3CE Code of Conduct.

BACKGROUND:

On August 26, 2024, the Policy Board held a Special Meeting to discuss improvements to governance structure, including certain “General Recommendations” which directed staff to prepare and implement a Code of Conduct, prepare board procedures, and enhanced onboarding for new directors. The Operations Board considered the same draft 3CE Code of Conduct at their meeting on September 18, 2024.

DISCUSSION/ANALYSIS:

Consistent with the identified goals of the Operations and Policy Boards, as well as the Ad Hoc Committee to improve operations and communications, a Code of Conduct will establish clear standards, obligations, and expectations of both the Boards’ and staffs’ commitment to each other, the agency, and non-seated member agency jurisdictions.

One of the main components of the proposed Code of Conduct includes a seated board member’s obligation, in collaboration with staff where appropriate, to keep non-seated jurisdictions informed on matters involving the agency and to solicit input on important developments.

As proposed, the Code of Conduct builds on the Boards’, and staffs’, ethical and legal obligations but does not seek to duplicate conflict of interest state law provisions, adherence to the Ralph M. Brown Act as codified in Government Code §§54950–54963, or to identify procedures raising or resolving issues – which are proposed to be addressed, if necessary, in a Board procedural manual. If adopted, the Code

of Conduct would further ensure that all Board members, while exercising their office, conduct themselves in a manner that will promote public confidence, trust, and fair operation of 3CE for the benefit of its customers.

The Policy Board’s input and direction will be incorporated into a final draft for the Policy Board’s consideration at a future meeting.

CONCLUSION:

The Boards’ feedback and direction will assist staff’s preparation of a 3CE Code of Conduct intended to better engage with non-seated jurisdictions, improve communication, and facilitate more streamlined operations.
