REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, CEO, noted forthcoming changes in preferred energy options for Paramount, Unincorporated Los Angeles County, and Alhambra. CPA plans to apply for grants to expand the Power Ready and Power Share programs as the availability of state and federal funding has increased. Mr. Bardacke thanked staff and Energy Committee members for their participation in RFO review teams.
CLOSED SESSION
3. CONFERENCE WITH LEGAL COUNSEL - ANTICIPATED LITIGATION Significant exposure to litigation pursuant to paragraph (2) of subdivision (d) of Section 54956.9: 2.
Nancy Whang, General Counsel, reported that no reportable action was taken.
REGULAR AGENDA (Continued)
4. Review Draft Agenda for the October 5, 2023, Board of Directors Meeting Mr. Bardacke discussed items on the Board consent agenda, including the ratification of contracts with the California Community Choice Association (CalCCA).
Mr. Bardacke discussed the Board’s regular agenda items, including two potential Power Purchase agreements (PPAs) for projects on “fast track” and proposed expansion invitations.
5. Review Proposed Expansion Invitations and Provide Input Mr. Bardacke provided a presentation on proposed expansion invitations. The proposed 2023 expansion candidates include La Cañada-Flintridge, Lynwood, and Port Hueneme. Mr. Bardacke reviewed the benefits and impact of continuing to Agenda Page 5 of 10

expand CPA’s service territory. Under the current conditions of the California Public Utilities Commission (CPUC) Decision 23-06-029, CPA must submit the 2024 Year Ahead Resource Adequacy (RA) filing by October 31, 2023. Failure to meet the RA compliance requirements could lead to the CPUC rejecting a proposed service launch in 2025, potentially delaying the process until 2026 or later.
Committee Member Hicks asked several questions about preferred energy options, costs to CPA, and customer composition. Mr. Bardacke clarified that the candidate cities can choose their default rate either when they decide to join or at a later date, usually after they see the expected rates for their enrollment year. A city defaulting to 100% Green would cost CPA slightly more because of the CPA policy to provide the 100% Green product at the Clean Power rate. CPA would experience the most cost impact if Lynwood opted for the 100% Green option because of their significant low-income population, but the increase would remain minimal. Regarding customer composition, Mr. Bardacke clarified there would be both residential and business customers. Committee Member Mahmud expressed support for the expansion and asked several questions regarding RA compliance and availability and the CPUC’s recent RA decision. Mr. Bardacke clarified that staff would know CPA’s RA compliance position by the time the cities would vote to join CPA. Staff do not anticipate the CPUC’s decision to be swiftly overturned, but initiating an expansion before year-end would safeguard CPA’s rights in case of regulatory changes. Regarding RA availability, staff anticipates increased availability each year based on CPA’s contracting activity. In response to Committee Member Kampalath’s question about expansion activity, Mr. Bardacke explained that staff will continue expansion and recruitment efforts despite regulatory uncertainty; however, staff is also aware of how rapid expansion may affect Board dynamics. Committee Member Stix expressed support and excitement for the expansion. The Executive Committee endorsed presenting the proposed expansion invitations to the Board.
COMMITTEE MEMBER COMMENTS

Executive Committee Item 3
REGULAR AGENDA
The following items are recommended for inclusion on the Regular Agenda of the November Board meeting.
Power Purchase Agreements
As reported to the Board at its October 7 meeting, staff are in the process of negotiating long-term Power Purchase Agreements that were shortlisted by the Energy Committee in the 2023 Clean Energy and Reliability Request for Offers. Should these negotiations be successful, one or more of those contracts may be presented to the Board for consideration. Depending on the progress of negotiations, staff may share some project details with the Executive Committee at the Executive Committee meeting.
Presentation of FY 2022/23 Financial Results, S&P A- Credit Rating, and SCE 2024 Rates Outlook
Staff will present CPA’s audited FY 2022-23 Financial Statements. The audit is nearly complete, and the auditor will present the audit results in detail to the Finance Committee on October 25, 2023. The Auditors’ Report is expected to include its opinion that CPA’s FY 2022-23 Financial Statements “present fairly, in all material respects, the financial position of Clean Power Alliance as of June 30, 2023”.
Staff will also provide additional details on the issuance of CPA’s “A-” Credit Rating with a Stable Outlook, highlighting that the rating reflects CPA’s continuing commitment to building reserves, offering competitive rates and minimizing customer opt-outs.
Finally, based on SCE’s 2024 ERRA forecast to be published in mid-October, staff will provide the Board with an early look at SCE’s 2024 rates and its impact on CPA’s competitiveness and customer bills. Depending on when SCE publishes its forecast, staff intends to share an initial look with the Executive Committee at the Executive Committee meeting.
