REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, CEO, announced that the three cities interested in joining CPA will consider ordinances in early November. The Daggett Solar project, which includes solar plus storage, has begun delivering renewable energy to customers. Mr.
Bardacke noted that CPA is currently halfway through the $4.8 million investment project to install new Electric Vehicle (EV) chargers in Ventura County.
3. Review Draft Agenda for the November 2, 2023, Board of Directors Meeting Mr. Bardacke discussed items on the Board consent agenda, including the expansion to three new cities. In response to Committee Member Hicks’ question about other prospective cities, Mr. Bardacke indicated that staff could follow up with a list of other cities that have sought information about joining CPA beyond the three new cities that the Board formally invited.
Mr. Bardacke briefly discussed items on the regular agenda. Matt Langer, Chief Operating Officer, provided a presentation on the SunZia Wind PPA, a planned 3,515-megawatt wind project in New Mexico, which will include a new transmission line for delivery to the California Independent System Operator (CAISO). SunZia Wind is located in one of the windiest locations in the nation and is set to be online by 2026. Mr. Langer expressed gratitude for the staff’s hard work on this project.
In response to Committee Member Parkhurst’s question about the risks associated with project size, Mr. Langer clarified that the project’s unique delivery structure and megawatt level minimize risk. Vice Chair Horvath asked questions about Agenda Page 5
Executive Committee Item 1
megawatt level and communications efforts to promote CPA’s role in the project.
Due to the increasing demand for renewable energy, staff raised the PPA maximum megawatt bid in the RFO from 400 MW to 500 MW in this RFO. Staff are carefully considering the balance of risk and reliance on a single project. In addition, staff will enhance communication about CPA’s role with the SunZia project as the online date approaches. Vice Chair Horvath suggested that the Board presentation should highlight the connection between the SunZia project and reaching CPA’s RA goals. Committee Member Klein Lopez referenced a lawsuit against SunZia’s transmission line; asked about its impact on the project’s online date and asked about project anchors. Staff clarified that the project was fully permitted by the Bureau of Land Management (BLM), and the risk mitigation embedded in contract provisions address permitting and transmission delays.
Regarding other project offtakers, staff identified the University of California Regents and Peninsula Clean Energy. Committee Member Mahmud asked several questions about a transmission line route change the possibility of getting additional megawatts from the project, and the status of other shortlisted projects.
Mr. Langer explained that there is little chance the transmission route will change due to the proximity of tribal and National Park Service territories. The route has been carefully negotiated and designed with local stakeholders and BLM to minimize impact. Regarding shortlisted projects, Mr. Langer stated that some have signed exclusivity agreements and others have declined. Chair Gold inquired about project risks and potential liabilities associated with other project anchors.
Staff viewed the SunZia project as low risk, as it’s close to meeting major milestones. Regarding liabilities relating to third parties, staff clarified that the PPA is exclusively with CPA, so there is no risk.
Mr. Bardacke provided a presentation on the initial 2024 PCIA and SCE’s 2024 forecasted generation rate. Further PCIA reduction will lead to approximately 1.6% bill reductions for residential CPA customers starting in January 2024. Although CPA’s competitive position will slightly decrease, rates will still be better than the 2023/24 Board approved targets.
Vice Chair Horvath commented on the need to adjust customer communications considering SCE’s rate changes; asked for clarification on parity with SCE. Mr.
Bardacke indicated that CPA’s 100% Green energy rates will be 2% higher than SCE’s; CPA will no longer be at parity with SCE. Communications include Board-approved rate targets, and CPA’s rates remain better than targeted.
COMMITTEE MEMBER COMMENTS
Committee Member Mahmud commented that scheduling a Board retreat promptly would be advisable and suggested that addressing future expansion would be a good subject to discuss.
ADJOURN
Chair Gold adjourned the meeting at 2:37 p.m.

Staff Report – Agenda Item 3
To: Executive Committee
From: Ted Bardacke, Chief Executive Officer
Subject: Review Draft Agenda for the December 7, 2023 Board of Directors Meeting
Date: November 16, 2023
Staff will provide an overview of the proposed agenda items for the December 7, 2023 Board of Directors meeting for review and feedback from the Executive Committee. The draft Board agenda is attached to this staff report. Information on the main items for Board consideration is provided below.
CONSENT AGENDA
The following items are recommended for inclusion on the Consent Agenda of the December Board meeting.
2024 Meeting Schedule
Staff will provide a 2024 Meeting Schedule for full Board meetings, Executive Committee, the three policy committees and the Community Advisory Committee. The meeting times and cadence remain unchanged from this year; in total CPA is slated to hold 67 meetings in 2024 that are subject to the Brown Act. The draft 2024 meeting schedule is attached.
Power Purchase Agreement Amendments
Staff are in the process of finalizing two amendments to long-term Power Purchase Agreements to clarify certain contract provisions related to contract settlements. Should these negotiations be successful, one or more of the amendments may be presented to the Board for consideration.
Agenda Page 8
Executive Committee Item 3
Power Share Community Solar Tariff and Amendment to Power Share Tariff In Q1 2024 CPA will begin serving customers from its first operational Community Solar-Green Tariff (CSGT) projects. Eligible customers located in Disadvantaged Communities (DAC) within five miles of the CSGT project sites who enroll under this tariff will be placed on CPA’s Power Share rate schedule and will receive 100% renewable energy at a 20% total bill discount. The proposed Power Share Community Solar Tariff mirrors the Power Share Tariff approved by the CPA Board in December 2020 to implement CPA’s DAC-Green Tariff (DAC-GT) program, detailing the unique CSGT customer eligibility requirements, terms and conditions for participation in the program as required by the California Public Utilities Commission. Under this item, staff will also seek Board approval for updates to the Power Share Tariff to comply with CPUC requirements that expand project siting and customer eligibility.
Net Billing Plan Tariff Amendment
In July 2023, the CPA Board approved a Net Billing Tariff (NBT) for new solar customers to incentivize storage paired with behind-the-meter solar installations and align CPA’s program with new solar billing offerings by Southern California Edison (SCE) and other utilities across the state. Staff will propose minor updates to this tariff to maintain consistency with SCE’s final NBT tariff, which is expected to be approved by the CPUC on November 30.
PUBLIC HEARING
Addendum to the CPA Implementation Plan
On November 6 and 7, the City Councils of La Cañada Flintridge, Lynwood, and Port Hueneme responded positively to the CPA Board’s invitation to those cities to join CPA and voted to adopt ordinances joining the Joint Powers Agreement. Second readings of the ordinances are scheduled for November 20 and 21. As a result, staff will present to the CPA Board for approval the fifth addendum to CPA’s Implementation Plan, a document required by the California Public Utilities Commission (CPUC) for CPA to provide energy service to new member communities. The addendum will propose an October 2025 start date for service in these three communities.
Agenda Page 9
Executive Committee Item 3
Pursuant to statute, a public hearing approving Addendum No. 5 must be held by the Board, and the Addendum must be filed with the CPUC by December 31, 2023, in order for CPA to begin serving load in the new cities in 2025.
REGULAR AGENDA
The following items are recommended for inclusion on the Regular Agenda of the December Board meeting.
2024 Legislative & Regulatory Policy Platform
The CPA Legislative & Regulatory Policy Platform serves as a framework for CPA’s advocacy and policy efforts and is updated and approved annually by both the Legislative & Regulatory Committee and the Board. The proposed 2024 platform, to be finalized by the Legislative & Regulatory Committee later in November, is likely to include new or expanded principles to address the following issues:
1. Transmission and distribution planning
2. Regionalization of the electricity market and/or grid in the Western United States
3. Building decarbonization
4. Treatment of rates for CCA customers under the proposed Income Graduated Fixed Charge currently being considered by the California Public Utilities Commission.
A significant addition is a proposed support position for the creation of a regional electricity market and/or grid - also known as regionalization - if key requirements are met and safeguards for California’s policy autonomy are contained. The expansion of the state’s electrical grid to other states will be a major policy issue in both the regulatory and legislative arenas in the coming years and will have significant impacts on CPA’s business operations.
While the Policy Platform is traditionally included on the consent agenda, staff seek feedback on whether the proposed platform should be used as a forum for presenting a primer on regionalization to the Board.
