REGULAR AGENDA
1. Oral Update from the CEO on CPA Operations
Ted Bardacke, Chief Executive Officer, reminded the Board that the CalCCA annual conference is scheduled for April 28-30, 2025, in Irvine, and the deadline to RSVP is March 10, 2025. CPA’s annual retreat is tentatively scheduled for June 13, 2025.
Items 3 and 4 were presented in reverse order.
4. Receive Presentation on Board of Directors Stipends and Provide Feedback Mr. Bardacke presented the item. Staff is seeking feedback on Board stipends.
When CPA was launched, the Board opted not to institute stipends for Board members as finances were focused on start-up operations, and there was some concern about public perception. Mr. Bardacke reviewed stipend policies for regional agencies and CCAs. He noted some considerations for the Committee, including the fiscal impact, public opinion, whether meeting attendance would be enhanced, and the impact of stipends on Board commitment and turnover. Entities that offer stipends have not seen a significant impact on attendance. Mr. Bardacke first asked the Committee to determine if CPA should pay stipends and, if so, requested feedback on the stipend amount.
Director Erickson, West Hollywood, attended the meeting and commented on the item. He stated that the proposal concerns equity and CPA’s growth as an organization; he noted that some CPA Directors have full-time jobs and spend extensive time on CPA Board activities.
Executive Committee Item 1
Mr. Bardacke also described the next steps, adding that staff would formulate proposals with fiscal impact and subsequently amend the Board Reimbursement Policy to the full Board if the item moves forward. Committee Members Gold, Santangelo, Parkhurst, and Monteiro expressed support for stipends for all Board members and to bring this to the full Board for discussion. The Committee also agreed that stipend amounts should remain in the low to middle range. Committee Member Kampalath suggested an opt-out provision for member agency staff.
Committee Member Crosswhite remarked that Board stipends would likely come up when City Councils decide whether to join CPA and suggested that opt outs should be available to all Directors. Vice Chair Lopez summarized the Committee’s remarks and stated her support for the matter to go to the full Board for discussion
3. Review Draft Agenda for the February 6, 2025, Board of Directors Meeting Mr. Bardacke described the items on the consent agenda, including a new government claims policy to comply with the California Government Claims Act.
Nancy Whang, General Counsel, clarified for Committee Member Gold that the Policy was not being proposed to address a current matter against CPA. Other items on consent are the print and mailing services contract, approval of the Energized Communities Innovation Fund recipients, and execution of the program’s participation agreements. Regular agenda items include the board stipends proposal and a communications and marketing update. Committee Member Parkhurst suggested allowing ample time for the communications update.
COMMITTEE MEMBER COMMENTS
None.
ADJOURN
Vice Chair Lopez adjourned the meeting at 2:22 p.m.

Staff Report – Agenda Item 2
To: Executive Committee
From: Ted Bardacke, Chief Executive Officer
Subject: Oral Update from the CEO on CPA Operations
Date: March 20, 2025
The CEO will provide an oral update on CPA operations.
Staff Report – Agenda Item 3
To: Executive Committee
From: Ted Bardacke, Chief Executive Officer
Subject: Review Draft Agenda for the April 3, 2025, Board of Directors Meeting
Date: March 20, 2025
Staff will provide an overview of the proposed agenda items for the April 3, 2025, Board of Directors meeting for review and feedback from the Executive Committee. The draft Board agenda is attached to this staff report. Information on the main items for Board consideration is provided below.
CONSENT AGENDA
The following items are recommended for inclusion on the Consent Agenda of the March Board meeting.
Approve and Authorize Equitable Building Decarbonization Grant Funding MOU CPA is a member of a coalition led by Los Angeles County that was awarded funding from the California Energy Commission to implement the Equitable Building Decarbonization Direct Install Program (EBD) for the Southern California region. The EBD Program will accelerate residential building decarbonization for single-family homes, multifamily properties, manufactured housing, and public housing in disadvantaged communities through the free installation of electrification and energy efficiency upgrades.
CPA will be responsible for conducting tailored and culturally relevant marketing, education, and outreach (ME&O) activities to inform and engage CPA customers in disadvantaged communities about EBD and its benefits.
Executive Committee Item 3
The Memorandum of Understanding (MOU) budgets $964,800 for CPA’s efforts through December 31, 2029. Pending final negotiations of the MOU, CPA staff will bring the agreement to the Board for approval at the April 2025 meeting.
Approve and Authorize 2025 Clean Energy and Reliability RFO Support Contract Staff will propose a contract with a vendor to assist with administering CPA’s 2025 Clean Energy and Reliability Request for Offers (RFO). A Task Order solicitation was issued on January 17, 2025 and responses were due on January 31, 2025. The scope will be substantially similar to the 2024 contract for similar services for CPA’s 2024 Clean Energy and Reliability RFO.
REGULAR AGENDA
The following items are recommended for inclusion on the Regular Agenda of the April Board meeting.
Board Stipends
At the March 6, 2025 Board meeting, staff was directed to bring an amendment to the CPA Reimbursements for Board of Directors policy (“Reimbursement Policy”) for Board consideration to implement the provision of stipends for Board Directors and/or the Community Advisory Committee beginning in July 2025. Board members also made comments regarding certain ancillary questions regarding eligibility, reimbursable activities, stipend amount, and other items.
Based on this direction and Board member comments, staff proposes that the amendment to the Reimbursement Policy contain the following provisions:
1. All members of the Board and the Community Advisory Committee (CAC) are to be eligible to receive stipends, except for those Board members who are employed staff of CPA’s member agencies.
2. Board and CAC members are to be given the option of opting-out of receiving the stipend.
Executive Committee Item 3
3. Stipends are to be offered for attendance at Board meetings and Committee meetings, including the CAC. Stipends will not be offered for “Events” or other activities.
4. To receive an attendance stipend, Board/Committee members must be present for all “Action Item” votes. In the case of Committee meetings where the approval of minutes is the only Action Item, stipends will be offered to those members who are present until the end of all Regular Items on the Agenda.
5. Two options have been developed for the stipend amount:
a. $125 per Board or Committee meeting, including CAC
b. $150 per Board meeting and $100 per Committee meeting, including CAC1
6. Stipend amounts per the option recommended by the Executive Committee and/or approved by the Board in Item 5 above will be fixed, e.g. no annual or automatic adjustments will be built in.
7. Board and Committee members are to be offered stipends for no more than three meetings per month.2
Initial Fire Response Activities
This item is the subject of a separate presentation to the Executive Committee.
FY 2025-2026 Rates Outlook and Considerations
Staff will provide an overview of major Board considerations for the upcoming FY 2025/26 rate setting process. These considerations include:
1. The price spread between CPA’s three rate products (Lean, Clean, and 100% Green Power) based on CPA’s expected cost of service;
2. Balancing progress toward the Board-approved maximum financial reserve target and levels of rate competitiveness
3. Anticipated SCE rate volatility in the coming year
1 This option has been developed to recognize that Committee meetings are shorter in duration and have more remote options.
2 A maximum of three meetings will allow Policy Committee Chairs, and those Executive Committee members who are also on a Policy Committee, to receive a stipend for all meeting attendance. Currently, four Executive Committee members, including the Policy Committee Chairs, are on a Policy Committee.
Executive Committee Item 3
Rate product differentials are expected to widen slightly in the coming year, with the discount between Lean and Clean Power (currently 1 percentage point) increasing by 1- 2 percentage points and the premium between Clean and 100% Green (currently 5 percentage points) increasing by 1-2 percentage points. This widening differential is primarily being driven by decreasing energy market and Resource Adequacy costs, making renewable and carbon-free energy costs a larger portion of CPA’s total energy costs.
Separate from the differentials between CPA’s three rate products, current expectations, which are subject to change, are that CPA will be able to improve, or at least maintain, current competitiveness levels for each rate product and still reach its maximum reserve target in FY 2025/26 or FY 2026/27.
Regardless of the rates that CPA implements in July, SCE’s expected October 2025 generation rate increase will significantly improve CPA’s competitive position. However, the direction of January 2026 SCE generation rates and PCIA rates are highly uncertain and may ultimately offset October 2025 competitiveness gains.
Staff will bring FY 2025/26 rate setting options to the Executive Committee in April and the Board in May, with final approval of the rates in June, coincident with approval of the FY 2025/26 budget.
