REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, Chief Executive Officer, reported that CPA received two awards related to the SunZia project, and another recognizing CPA as Public Agency of the Year. Mr. Bardacke also noted that CPA is a sponsor of the Electric Vehicle Pavilion of the LA Auto Show; CPA is assisting the City of Camarillo’s purchase of electric trucks for its fleet.
3. Review Draft Agenda for the November 6, 2025, Board of Directors Meetings Mr. Bardacke reviewed consent agenda items, including a Workforce Development MOU with Ventura County and an agreement with SCE related to its Capacity Bidding Program. The regular agenda includes several information items and a request for authorization to issue Energy Prepay Bonds.
Chair Klein Lopez suggested that staff research whether CPA is eligible for awards from the Government Finance Officers Association and asked about the possibility of authorizing staff to adjust rates as needed, without requiring Board approval.
Staff responded that some CCAs allow rate adjustments within a Board-approved range, but ultimately, CPA staff feel decisions requiring significant judgment calls are best made in collaboration with the Board.
Committee Member Parkhurst inquired about CPA’s bond rating. David McNeil, Chief Financial Officer, responded that the bond rating is reviewed every two years and may improve after the audit results are released. Committee Member Gold asked about ignoring SCE’s rates and suggested that CPA avoid adjusting its rates in response to SCE’s actions; he also proposed offering customer rebates when possible. Staff replied that customers, especially large ones, often ask how CPA’s rates compare to SCE’s. In certain circumstances, evaluating the need for rate adjustments is necessary to remain competitive; staff clarified that rebates can be considered as an option.
Committee Member Ordower commented that CPA should have at least one rate comparable or lower than an SCE rate; asked if the upcoming agenda item on battery storage safety would address both utility-scale and residential solar. Mr.
Bardacke responded that the presenters will focus on large-scale storage due to fire safety concerns, but Board members may ask questions about rooftop solar storage.
4. Receive Presentation and Provide Input Regarding Planned Approach for Additional Prepay Transactions
David McNeil, Chief Financial Officer, explained that staff will seek authorization to complete another $4.5 billion of energy prepay transactions over 18 months. A recommended two-step process is designed to enhance CPA’s flexibility, increase competition among suppliers, and maximize savings. Staff will request authorization to complete multiple prepay transactions up to the authorized amount with any of the four Underwriters and Prepaid Suppliers. Each transaction would be contingent upon the use of approved “form of” contracts and meeting key transaction criteria.
Mr. McNeil presented a history of CPA’s prepay bonds and energy portfolio; outlined the portfolio planning considerations and proposed two-step approach and described the selection process of the Underwriters and Prepaid Suppliers.
Mr. McNeil concluded with the timeline of Committee and Board approvals and requested feedback from the Committee.
Committee Member Parkhurst commended staff on the program’s success and asked how CPA’s savings exceed those of other CCAs. Staff attributed this to favorable market conditions and CPA’s flexibility, noting that working with multiple underwriters allows access to varying capacities for generating savings.
Committee Member Gold asked about the number of underwriters and JP Morgan’s involvement, and bank fees. Mr. McNeil explained that the underwriter pool includes banks qualified and experienced in prepay bond transactions. The inclusion of JP Morgan, while primarily experienced in natural gas prepays, could offer additional savings. Mr. McNeil noted that CPA completed a successful transaction with RBC when it was a first-time electricity bond issuer. The fees that participating banks earn per transaction are minimal compared to CPA’s overall savings.
