REGULAR AGENDA

5. Receive Presentation on Battery Energy Storage Safety Scott Murtishaw, Executive Director of the California Energy Storage Association, delivered a presentation that focused on energy storage deployment and design, beneficial impacts to the grid, chemical exposure impacts of energy storage incidents, legislative efforts to enhance energy storage safety, statewide regulatory activity, and the development of local ordinances.

Chief Richard Stillwagon of the Los Angeles County Fire Department presented on the agency’s work in reducing fire risk in clean energy production. Chief Stillwagon emphasized that the department is committed to developing streamlined and efficient processes, maintaining the highest safety standards, and safely serving the community and industry for years to come.

Directors asked a series of questions about battery technologies, fire risks, and safety measures.

Staff noted that CPA is monitoring new regulations to guide developers as projects move into permitting. Chief Stillwagon emphasized that national and local fire regulations are robust, LA County Fire has the knowledge and resources necessary to properly review and permit projects, and member agencies could safely pursue battery storage projects that benefit their communities.

Vice Chair Horvath encouraged CPA member agencies to use L.A. County’s fire risk-reduction resources.

A written public comment was received on this item.

6. Adopt Resolutions Nos. 25-11-093, 25-11-094, 25-11-095, and 25-11-096 Approving Parameters Under Which up to a Total of $4.5 Billion of Energy Prepayment Transactions can be Completed with Goldman Sachs (GS), JPMorgan (JPM), Morgan Stanley (MS), or Royal Bank of Canada (RBC) as CPA’s Underwriter & Prepaid Supplier; Authorizing and/or Approving Documents or “Form of” Documents Supporting the Prepay Transactions; and Directing California Community Choice Financing Authority to Make Payments to Service Providers for Issuance Costs from Prepay Bond Proceeds. The authorizations in each of the Resolutions shall terminate on June 30, 2027; and, (B) Delegate Authority to the Chief Executive Officer to Select the Funding Recipient(s) for Prepay Transactions Completed with GS, JPM, or MS David McNeil, Chief Financial Officer, provided an overview of prepay transactions.

CPA completed five transactions in 2023 and 2024, issuing $5.9 billion of prepay bonds leading to approximately $361 million of energy cost savings over the next eight years, an average annual savings of $45 million. On October 23, 2025, the Executive Committee provided input and support for CPA’s contracting approach for future prepays. On October 29, 2025, the Finance Committee recommended that the Board authorize staff to execute up to $4.5 billion of prepay transactions and delegate authority to staff to select a funding recipient. Mr. McNeil presented portfolio planning considerations and the process for selecting Underwriters and Prepaid Suppliers. The participating banks are qualified and experienced providers capable of structuring and executing prepay transactions for CPA.

Staff clarified for Director Rhodes that CPA is not required to complete the transactions if market conditions are unfavorable within the 18-month window to issue bonds. Director Lesser inquired whether member agencies would assume any liability for the transactions, and staff responded that there is no liability for member agencies and that the joint powers agreement specifies that any of CPA’s liability is to remain with CPA.

Motion: Vice Chair Horvath, Los Angeles County
Second: Director Parkhurst, Sierra Madre
Vote: Item 6 was approved by a roll call vote.

7. Receive Presentation of CPA’s Audited Financial Results for Fiscal Year 2024- 2025 and Fiscal Year 2024-2025 Budget to Actual Report
Mr. McNeil reported that CPA received a clean audit opinion of its Fiscal Year 2024-2025 financial results from Baker Tilly. CPA increased its net position and liquidity by $137 million and $107 million, respectively. Days Liquidity on Hand (DLOH) and the Reserve Percentage increased to 180 days and 45%, respectively. Results were affected by lower retail rates, milder weather, and lower energy prices. Increased investments and favorable interest rates boosted interest income. Mr. McNeil noted seven consecutive clean audits.

The Board had no questions or comments on this item.

8. Receive Presentation on 2026 Power Charge Indifference Adjustment and Rates Outlook
Ted Bardacke, Chief Executive Officer, summarized how SCE rates impact CPA rates, with a focus on the Power Charge Indifference Adjustment (PCIA) fee. On October 1, 2025, SCE implemented a generation rate increase. While this increase did not directly impact CPA customers, it significantly improved CPA’s competitive position. Concurrently, SCE implemented a delivery rate increase, which impacted all customers, including CPA customers. In October, SCE also filed its Energy Resource Recovery Account (ERRA) Update with the CPUC. The ERRA proceeding will determine PCIA rates for CPA customers and generation rates for SCE generation customers starting January 2026. SCE’s proposal would increase PCIA rates and total bills for all CPA customers and reduce SCE generation rates, significantly worsening CPA’s competitive position beginning January 1, 2026.

This potential outcome was previewed with the Board during CPA’s annual rate setting process earlier this year. The precise impact of the rate changes will remain uncertain until the CPUC makes a decision on the ERRA proposal in December and SCE publishes its new rates near the end of December. CPA and CalCCA are advocating for modifications to SCE’s proposal consistent with regulations and past precedent. If adopted, these changes would reduce the magnitude of the PCIA increase. The Board could consider a rate adjustment prior to the regular Fiscal Year 2026-2027 rate setting cycle.

Karen Schmidt, Senior Director, Rates and Strategy, presented details regarding rate comparisons and bill impacts to CPA customers, with a breakdown of energy product cost increases. At its November meeting, the Executive Committee will consider recommended timing and level of interim rate adjustment for the Board’s consideration. A February rate change would provide customers with quicker bill relief. However, this approach involves significant uncertainty as SCE rates could swing based on the outcome of disputed issues, and CPA will have fewer months of financial results available to inform the decision. A decision for a March rate change could allow for a larger rate reduction.

Board action in December would be to adopt a rate approach rather than adopt exact rates. SCE rates will be known in late December. Based on feedback from Executive Committee, staff will return to the Board with options for an interim rate change. Those options will continue CPA’s Board-endorsed practice of harmonizing bill comparisons across PCIA vintages, with the exception of new communities during their first enrollment year. CPA, CalCCA, and the other CCAs in SCE territory are responding to SCE’s ERRA filing, advocating for modifications to SCE’s treatment of banked Renewable Energy Credits.

The Board had no questions or comments on this item.
