REGULAR AGENDA

14. Approve and Authorize the Chief Executive Officer to Execute the Following Long-Term Renewable Power Purchase Agreements for Local Resources to Serve the Power Share Program:

A. 20-Year 4 MW PPA with Saticoy Sun Farms, LLC for the 4 MW Saticoy Project; B. 20-Year 2.46 MW PPA with Fillmore Sun Farms, LLC for the 2.46 MW Fillmore Project; C. 20-Year 4.99 MW PPA with BMT Elkhorn, LLC for the 4.99 MW Elkhorn Project; D. 20-Year 3W MW PPA with RPCA Solar 17, LLC for the 3 MW Road 232 Project
Lindsay Descagnia, Vice President of Power Supply, presented background on the Power Share program by which CPA procures energy from small-scale renewable projects within Disadvantaged Communities (DACs) in order to provide 100% renewable energy to low-income customers at a 20% bill discount. CPA currently serves 10,000 residential customers under the Power Share Program. CPA launched its fourth Power Share RFO in May 2025 to fill its remaining 12.545 MW of unprocured capacity. CPA received 15 offers that conformed with project eligibility requirements. On August 27, 2025, the Energy Committee approved a shortlist of four projects totaling 14.45 MW and one waitlisted project. Negotiations with all four shortlisted projects were successful. Ms. Descagnia described impacts from the congressional budget bill and explained the RFO process. She presented details about the four projects, including that both of the Ventura projects utilize solar agrivoltaics.

Director Ferguson asked if any overage could become part of CPA’s Power Share portfolio capacity if the CPUC increased the program’s allocation to CPA and inquired about the amendment process. Staff stated that the overage would likely be part of CPA’s portfolio but that the CPUC would need to approve such an approach; regarding amendments, the contracts grant extensions under certain circumstances. The CEO may approve some amendments administratively; others come back to the Board or may need to be approved by the CPUC. Director Krauss inquired about the impacts from the expiration of the tax credits, and staff responded that the CPUC sets a program price cap and that the proposals were under that price cap even if they did not qualify for tax credits.

Motion: Director Ferguson, South Pasadena
Second: Director Monteiro, Hawthorne
Vote: Item 14 was approved by roll call vote.

15. Adopt an Interim Rate Adjustment Approach Effective February 1, 2026, for all CPA Customers in Phase 1 Through 6 Communities that Meets CPA’s Projected FY 2025-2026 Cost of Service and Results in a Targeted FY 2025-2026 Contribution to Net Position of $15M with Estimated Total Bill Comparisons for Residential and Small/Medium Business as Specified in Slide 7 Mr. Bardacke explained that SCE’s 2026 Energy Resource Recovery Account (ERRA) proposal will raise CPA residential customer bills by about a 10%. The precise impact of the rate change is uncertain until the CPUC makes a decision on the ERRA proposal and SCE publishes its new rates towards the end of December 2025. Financial projections indicate that CPA can provide customers with near-term rate relief through an interim rate adjustment while staying on track to meet CPA’s fiscal year 2025-2026 financial goals and preparing for a potentially challenging rate environment in the next fiscal year. The Executive Committee reviewed options for an interim rate adjustment at its November meeting. Each option had an implementation date of either February 1, 2026, or March 1, 2026, and a net position and reserve target. The Committee recommended that the Board adopt an approach that would result in a projected fiscal year 2025-2026 contribution to the net position of $15 million and a February 1, 2026, implementation date to provide quicker rate relief to customers. If the Board adopts the recommended approach, staff will bring a resolution to the Board on January 15, 2026, to approve detailed rates reflecting updated CPA financial projections, the final 2026 PCIA, and SCE January 1, 2026, rate changes. CPA’s interim rate adjustment approach will not impact bill comparisons for the communities that began service in October 2025, which consistent with Board action in December 2024, will be automatically adjusted to maintain constant bill comparisons through July 2026 consistent
Responding to Director Lesser’s request for information related to the 100% Green rates, staff summarized that when the Board set rates in for the 2025-26 fiscal year, the total bill comparison target for 100% Green was at a 6% premium. When SCE raised rates in October 2025, CPA did not correspondingly adjust rates and as a result, CPA’s 100% Green customers experienced about a 1% premium. With the projected SCE rate adjustment in December 2025, if CPA took no action, the 100% Green rate total bill comparison for a 2018 PCIA vintage could be at approximately 14% premium. The proposed action would adjust the total bill comparison for 100% Green customers to be at about a 7% premium, or about 1% greater than in July. With the February effective date, it allows CPA to implement its rate adjustment more quickly. Director Jackson encouraged staff to prepare educational outreach materials, as well as notification through the website and social media. Mr. Bardacke added that CPA will include bill messages for the notification. Directors Gold and Stegura suggested that messaging inform customers that these changes are caused by SCE and changes to the PCIA.

Motion: Director Erickson, West Hollywood
Second: Director Monteiro, Hawthorne
Vote: Item 15 was approved by roll call vote.

COMMITTEE CHAIR UPDATES
None.

MANAGEMENT REPORT
Mr. Bardacke reported that CPA’s credit rating was upgraded, in part because of the agency’s robust renewable energy portfolio and ability to meet state mandates. Mr.

Bardacke also noted that the City of Los Angeles and its Department of Water and Power is now completely off coal-fired power – an effort that he helped advance when he worked for the City of Los Angeles.

BOARD MEMBER COMMENTS
Director Ferguson thanked Dalia Gomez, CPA’s External Affairs Manager in Los Angeles County, for assistance in updating his city’s climate action plan.

Director Hernandez thanked Mr. Bardacke for attending a Port Hueneme City Council meeting recently and handling a customer complaint with exceptional customer service.

Director Riggins suggested CPA utilize a form of electronic voting; staff noted that it is exploring options.
