REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, Chief Executive Officer, reported that CPA’s credit rating was upgraded from A- to A, due to CPA’s strong governance, proactive risk management, and the development of a very low carbon energy portfolio. Mr.
Bardacke also attended the first graduation of the Flintridge Center’s pre-apprenticeship training program operating in the San Gabriel Valley. He reminded the Committee that CPA is a sponsor of the LA Auto Show’s EV Pavilion, and that complimentary tickets are available.
Vice Chair Horvath congratulated staff on the credit rating, noting that Los Angeles County experienced the same kind of upgrade in part because of the establishment of a climate budget and creating sustainability and resilience goals.
3. Review Draft Agenda for the December 4, 2025, Board of Directors Meeting Mr. Bardacke described the consent calendar items, including a Community Advisory Committee appointment in the San Gabriel Valley region, the proposed 2026 Legislative and Policy Platform, and Phase 7 Subset Rates. The regular agenda will include a public hearing to add two new communities to CPA and discussion of the Interim Rates Adjustment Approach.
Vice Chair Horvath expressed gratitude that Los Angeles County’s project was funded by the Innovation Fund and encouraged funding of community resiliency projects in the future. Staff clarified for Committee Member Monteiro that CPA’s three newest member agencies would see a reduction in subset rates starting January 1, 2026.
4. Receive Presentation on Interim Rate Adjustment Options and Recommend an Interim Rate Adjustment Approach to the Board of Directors at its December 4, 2025, Meeting from the Options Below: A. Adjust Rates Effective February 1, 2026, at a Selected Net Position/Reserve Level; B. Adjust Rates Effective March 1, 2026, at a Selected Net Position/Reserve Level
Executive Committee Item 1
Agenda Page 5
Mr. Bardacke, presented options for an interim rate adjustment, beginning with background about SCE’s 2026 Energy Resource Recovery Account (ERRA) proposal, that will cause most CPA residential customers to experience about a 10% total bill increase. The precise impact of the rate changes is uncertain until the CPUC decides on the ERRA proposal in December and SCE publishes its rates at the end of December. Financial projections indicate that the CPA Board can provide customers with near-term rate relief through an interim rate adjustment while staying on track to meet CPA’s fiscal year 2025-2026 financial goals and preparing for a potentially challenging rate environment the next fiscal year.
Mr. Bardacke explained the Board could adopt an approach that would adjust rates effective February 1, 2026, to provide quicker though smaller rate relief to customers, or an approach that would provide a larger rate reduction starting March 1, 2026. Mr. Bardacke also explained that there were two net position and reserve target options: $10 million vs. $20 million. Staff requested that the Committee make a recommendation of an effective date and net position target for Board consideration at the December 4, 2025, Board meeting. SCE’s January rate changes and CPA’s interim rate adjustment approach will not impact total bill comparisons for the communities that began service in October 2025.
Committee Members discussed the benefits of the February 1st and March 1st implementation dates, focusing on the best way to provide relief due to economic hardship while keeping CPA’s long term fiscal health in mind. Chair Klein Lopez provided a summary of the discussion, noting that there was Committee consensus on the implementation date of February 1, 2026 but there was not a consensus around the $10 vs. $20 million net position target. Given the differing views on net position target, Mr. Bardacke proposed $15 million as a compromise option. The Executive Committee agreed to recommend to the Board a $15 million targeted contribution to the net position for Fiscal Year 2025-2026, and a start date of February 1, 2026 for a rate adjustment.
Motion: Committee Member Gold, Beverly Hills
Second: Committee Member Monteiro, Hawthorne
Vote: Item 4 was approved by a roll call vote.

5. PUBLIC EMPLOYEE PERFORMANCE EVALUATION: (Government Code Section 54957) (1)
Title: Chief Executive Officer
Nancy Whang, General Counsel, reported that direction was provided for the General Counsel to draft an amendment to the CEO’s employment agreement for presentation at the December Board meeting extending the CEO’s term to the 31st of December 2029, and including an approach that creates an incentive for the CEO to complete the extended term.
COMMITTEE MEMBER COMMENTS
Staff noted that there will be a Board meeting and an Executive Committee meeting on January 15, 2026. The Board meeting will be short, followed by an Executive Committee meeting to review the Board agenda for February.

From: Ted Bardacke, Chief Executive Officer
Subject: Review Draft Agenda for February 5, 2026, Board of Directors Meeting
Date: January 15, 2025
Staff will provide an overview of the proposed agenda items for the February 5, 2026, Board of Directors meeting for review and feedback from the Executive Committee. The draft Board agenda is attached to this staff report. Information on the main items for Board consideration is provided below.
CONSENT AGENDA
The following items are recommended for inclusion on the Consent Agenda of the February Board meeting.
Municipal Financial Advisor Contract with MG Advisory
CPA is preparing for its next tranche of energy prepay bond issuances, having received approval from the Board in November 2025 to execute up to $4.5 billion of new transactions by June 30, 2027. To support the structuring and execution of these transactions, CPA must retain a municipal financial advisor (MFA). The MFA assumes fiduciary responsibilities to CPA in connection with the prepays and provides services such as transaction modeling and analysis, financial market advisory and expertise, project management, and support in prepay contract negotiation and document preparation. The MFA also provides brokerage services for the placement of Guaranteed Investment Contracts (GICs) in association with prepay transactions which provide additional savings to CPA.
Agenda Page 8
Executive Committee Item 3
At the October Board meeting, the Board approved a contract with Municipal Capital Markets, Inc. (MCM) who employed John Norman and Tyler Noble. Norman and Noble are industry-leading expertise in the prepay space and have supported the completion of over 70 prepay transactions since 2016, including the five prepay transactions CPA has completed to-date. In December 2025, MG Advisory LLC (MG) hired Norman and Noble.
Given Norman and Noble’s move, CPA terminated MCM’s contract and are now proposing to enter into a contract with MG with Norman and Noble serving as leads.
The contract with MG will be substantially similar to the contract with MCM approved by the Board in October 2025, with compensation to MG based on fixed per-transaction fees and a total not-to-exceed amount based on the execution of three prepay transactions.
The compensation will be payable by the California Community Choice Financing Authority (CCCFA) through bond proceeds in the event of successful completion of one or more prepay transactions.
Modification of the MW Cap of the Dynamic Rates Pilot
In July 2025 the Board approved an amended Load Management Standards Compliance Plan for submission to the California Energy Commission. The plan indicated that CPA would participate in Southern California Edison’s (SCE) Dynamic Rates Pilot and that CPA planned to cap customer enrollment in the pilot at 7.5 MW. Based on early enrollments in the pilot by some large SCE commercial customers, including customers that also have multiple CPA accounts, CPA anticipates that its planned enrollment cap may be quickly reached and exceeded. The Board will be asked to approve an increase to the enrollment cap to ensure that a diverse range of residential and commercial customers will have access to participate in the pilot.
Approve Resolution to Amend NEM and NBT Tariffs
On July 6, 2023, the Board approved an amended Net Energy Metering (NEM) Tariff, and on December 7, 2023, the Board approved an amended Net Billing Plan (NBT) Tariff.
Staff will request Board approval of a Resolution to amend both tariffs to make minor administrative updates including 1) clarification of the timing for customers to request Agenda Page 9
Executive Committee Item 3
issuance of a mailed check in lieu of an on-bill credit for true-up credit balances under $100; and 2) inclusion of customers enrolled on SCE’s Virtual Net Billing Tariff (NBT-V) in the list of customers eligible for CPA’s NBT tariff.
Approve and Authorize Workforce Development MOU
On November 7, 2024, the Board approved funding for Phase 3 of the Workforce Development program. The program included plans to partner with two Multi-Craft Core Curriculum (MC3) pre-apprenticeship programs in Los Angeles County and to investigate options to partner with an MC3 provider in Ventura County. On February 6, 2025, the Board approved MOUs with Flintridge Center and Women in Non-Traditional Employment Roles for MC3 pre-apprenticeship programs in Los Angeles County. Five cohorts of MC3 trainees in Los Angeles County sponsored by CPA have graduated.
Staff have been conducting outreach to numerous MC3 stakeholders and providers in Ventura County over the past several months and have identified a set of program partners, including the Workforce Development Board of Ventura County (WDBVC), which currently partners with the Tri-Counties Building Trades and the Laborers’ International Union of North America (LiUNA) to provide MC3 training. CPA is in the process of negotiating a 2-year Memorandum of Understanding (MOU) wherein WDBVC will provide on-site MC3 training at Oxnard College, supportive services, stipends, and job placement via its partners in Ventura County. Should those negotiations be successful, the MOU will be submitted for approval at the February Board meeting.
REGULAR AGENDA
Two of the following three items may be included on the Regular Agenda of the February Board meeting depending on the outcome of contract negotiations and development of Board materials.
PPAs/ESAs and Amendments
Staff is in the process of negotiating three long-term contracts from the 2025 Clean Energy and Reliability RFO, approved for shortlist by the Energy Committee. Should any Agenda Page 10
Executive Committee Item 3
of the negotiations be successful, the contracts will be presented to the Board for consideration.
Customer Programs Report
Staff will present a new report structure that will be made available to the Board starting in March to track Customer Programs progress and outcomes. The new Customer Programs Quarterly Report will provide the Board and Community Advisory Committee with additional visibility into the key metrics and progress to goals for the Customer Programs portfolio.
Communications Report
Staff will present a look ahead to work planned for 2026 in the areas of brand growth, program marketing, customer engagement, communications, and media outreach.
Additionally, staff will provide an overview report of quarterly communications activities and results from November 2025 through January or February 2026.
