REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, Chief Executive Officer, reported that he and Committee Member Maloney attended the ribbon cutting of the SunZia Wind Project in New Mexico.
Mr. Bardacke noted that CPA served as the project's first major customer and largest offtaker. Committee Member Maloney commented on the scale of the project and expressed pride in CPA's role in contributing to the project’s completion.
Mr. Bardacke provided an overview of planning efforts for the upcoming Board Retreat; advised that staff was monitoring anticipated legislation related to extending operations at Diablo Canyon through 2045.
Committee Member Crosswhite suggested including a discussion regarding CPA's marketing strategy at the Board Retreat.
3. Review Draft Agenda for the July 2, 2026 Board of Directors Meeting Mr. Bardacke reviewed the proposed agenda for the July 2, 2026, Board of Directors meeting, including an amendment to continue contractor training for wildfire hardening in partnership with the U.S. Green Building Council, annual updates to communications consulting agreements, and proposed administrative amendments to CPA's Energy Risk Management Policy. Mr. Bardacke also summarized the regular agenda, including consideration of a power purchase agreement and presentation of CPA's 2026 Integrated Resource Plan.
4. Recommend to the Board of Directors: (a) the Adoption of the Customer Contract Pricing Policy, and (b) an Option on the Scope of Board Approvals to Include in the Policy: Option 1: All Contracts Must be Approved by the Board; Option 2:
Contracts Above a Certain Gigawatt-Hour Threshold Require Board Approval; and Option 3: Option 1 or 2 but Exclude Customers Who Have Won the Direct Access Lottery from Board Approval
Matt Langer, Chief Operating Officer, presented the proposed Customer Contract Pricing Policy, explaining that it would establish a framework for negotiating contracts with large commercial customers to support retention and acquisition while maintaining financial safeguards and Board oversight. He reviewed the proposed eligibility criteria, pricing methodology, contract terms, product offerings, program capacity limits, confidentiality provisions, and reporting requirements.
Additionally, the presentation also included options for Board approval authority, including delegation to the CEO for certain contracts to improve CPA’s ability to compete for large customers under compressed timelines while preserving Board oversight through reporting mechanisms. Mr. Langer reviewed options regarding Board approval authority for negotiated customer contracts. Option 1 would require Board approval for all contracts, while Options 2 and 3 would delegate approval authority to the Chief Executive Officer for certain contracts based on customer size, subject to quarterly reporting. Any thresholds adopted by the Board could be modified in the future based on program experience.
Mr. Langer also provided an update on ongoing negotiations with the Claremont Colleges; the proposed agreement would provide 100% Green Power through a fixed-price premium structure while maintaining CPA's targeted contribution margin. He advised that, subject to Executive Committee direction, staff anticipated presenting both the proposed policy and the Claremont Colleges agreement to the Board in July, with limited redactions to protect competitively sensitive pricing and negotiated business terms.
Committee Member Hicks asked how customer load changes, including installation of onsite solar generation, would affect negotiated agreements and CPA's anticipated revenues. Mr. Langer explained that proposed contracts would include load caps and other provisions to address changes in customer load, with staff evaluating projected load and generation changes during contract negotiations and incorporating protections as appropriate.
Committee Members discussed the appropriate balance between maintaining Board oversight and providing staff with sufficient flexibility to negotiate contracts in a competitive marketplace. Committee Member Crosswhite expressed support for allowing staff to execute smaller contracts administratively while requesting that the policy includes annual review and the ability to revisit delegated authority if the volume or nature of executed contracts changed significantly. Committee Member Kampalath agreed and suggested incorporating flexibility to return the policy to the Board sooner if operational experience indicates additional oversight is warranted.
Mr. Bardacke agreed with the Committee's comments and stated that staff would include annual policy review language while retaining the ability to return to the Board earlier if experience demonstrated that modifications to the approval thresholds or reporting requirements were appropriate. Committee Members supported Option 3 which would exclude DA customers from Board approval to expedite timelines associated with those procurements, while initially requiring Board approval for all other customer contracts, with the intent to revisit approval thresholds in an annual policy review.
Motion: Vice Chair Lopez, Ventura County
Second: Committee Member Hicks, Carson
Vote: The Executive Committee voted unanimously to recommend that the Board adopt the Customer Contract Pricing Policy with the addition of language requiring an annual review of the policy language and Option 3 (all agreements presented to the Board but excluding customers who have won the Direct Access lottery).
