REGULAR AGENDA
2. Oral Update from the CEO on CPA Operations
Ted Bardacke, Chief Executive Officer, reported that gubernatorial candidate Xavier Becerra announced a Power Hour initiative, which would give low-income Californians two hours of free electricity every day. Media coverage of the announcement included CPA. Mr. Bardacke noted that CPA’s plan to provide no-cost power to a select customers during daytime hours will begin October 1, 2026, and that very few households have opted out of the pilot program. Mr. Bardacke also reviewed details of the Board Retreat agenda.
3. Review Draft Agenda for the September 3, 2026, Board of Directors Meeting Ted Bardacke, Chief Executive Officer, discussed the Power Ready Owner’s Representative contract and the Annual Electricity Usage report on the consent agenda.
4. Overview of Proposed New Multifamily Programs and Power Response Vendor Transition
Joanne O’Neill, Sr. Director of Customer Programs, explained the challenge of engaging renters in electrification and resilience programs when equipment and infrastructure decisions are made by property owners and managers. CPA’s Local Programs for a Clean Energy Future Action Plan focuses on helping property owners. She described the new Multifamily programs, such as Apartment Building Cooling Assistance, Multifamily Efficient Cooling Partnerships, and Multifamily Electric Vehicle Charging. Upcoming program enhancements include a program starting in 2027 that will add a new pathway creating a streamlined approach for small and medium business customers; a new vendor will support an enhanced customer experience and program interface; and a revised and simplified incentive structure focused on performance payments for measured demand reductions to better align with avoided procurement costs. She described how staff plans to Executive Committee Item 1
Agenda Page 5
transition the Power Response vendor from Autogrid/Uplight to Olivine. Staff will request that the Board approve PSAs and MOUs related to Power Response and the Multifamily programs.
Chair Parkhurst asked about the new program’s marketing efforts; Ms. O’Neill responded that staff is finalizing a communications plan, and outreach to property owners and managers will be different than customer outreach. Staff will rely on CPA’s existing networks and those of vendors to make connections and will ask Board members to help access officials in affordable housing, business associations, and industry groups.
Committee Member Monteiro asked about outreach to low-income communities, and staff stated that the programs are open to all customers. Higher incentives will be offered to properties meeting certain requirements. These include affordable housing units and those in which two-thirds of tenants are on utility assistance programs such as CARE and FERA. He also asked about size limits on the apartment complexes receiving cooling assistance. Ms. O’Neill responded that a total property incentive cap is still being finalized, but staff will ensure that the budget is appropriately distributed to varying property sizes. Staff clarified for Committee Member Belden that staff welcome connections with Chambers of Commerce, as well as individual small and medium-sized businesses.

Staff Report – Agenda Item 3
To: Executive Committee
From: Ted Bardacke, Chief Executive Officer
Subject: Review Draft Agenda for the October 1, 2026, Board of Directors Meeting
Date: September 17, 2026
Staff will provide an overview of the proposed agenda items for the October 1, 2026, Board of Directors meeting for review and feedback from the Executive Committee. The draft Board agenda is attached to this staff report. Information on the main items for Board consideration is provided below.
CONSENT AGENDA
The following items are recommended for inclusion on the Consent Agenda of the October Board meeting.
Solar Star PPA
Staff is negotiating amendments to the long-term Renewable Generation Plus Storage Power Purchase Agreements for the Solar Star 3 and Solar Star 4 projects in Rosamond, California. The amendments would allow the solar and battery storage facilities to achieve commercial operation independently, rather than requiring both components to come online simultaneously under the current agreements.
The projects have experienced ongoing delays due to longer-than-anticipated CAISO commissioning review timelines and, at one of the two facilities, an equipment failure on the solar portion of the project that occurred during energization. The developer, Berkshire Hathaway Energy Renewables (BHER), has agreed to pay liquidated damages for the delays; however, both parties prefer to allow the batteries to enter commercial Agenda Page 8
Executive Committee Item 3
operation independently, and prior to the solar coming online, to reduce further delays and mitigate financial impacts.
Under the Energy Risk Management Policy, any amendment to Board-approved long-term contracts that make material changes to the terms of the contract must be approved by the Board.
REGULAR AGENDA
The following items are recommended for inclusion on the Regular Agenda of the October Board meeting.
Approve and Authorize Power Response PSA
The Power Response Program is an energy-saving program designed to support a more reliable power grid, by partnering with our customers to reduce or shift load during peak load days. Participants receive financial incentives for responding to Energy Saving Events, which occur on days when energy demand is higher than seasonally projected.
The Power Response Program includes three ways to participate, “Home”, “Smart Home”, and “Commercial Leaders”, providing participation pathway for all CPA customers.
Through 2025, the program has enrolled over 4,000 households, paid out $691,000 in incentives, and saved over 287 MWh during the most costly and emissions-intensive times of the day. In addition to the avoided cost from purchasing high-cost energy from the market, the Power Response Program also benefits CPA by aggregating and selling the capacity created by the load shift as a resource in the California Independent System Operator (“CAISO”) market.
In September 2024, the Board approved a Professional Services Agreement ("PSA") between CPA and AutoGrid for Demand Response Implementation Services for CPA's Power Response Program. AutoGrid was subsequently acquired by Uplight. The agreement with Uplight will conclude in March 2027, following the third and final renewal term.
Agenda Page 9
Executive Committee Item 3
Staff conducted a Request for Proposals (RFP) in April 2026 to assess the market and ensure the best value for a contractor to provide a demand response program for residential and business customers. As an outcome of this RFP, CPA is currently in contract negotiations with the vendor that had the lowest cost proposal and the strongest relevant experience, thus providing CPA with the best value. If negotiations are successful, staff will request approval at the October Board meeting.
