Subject: Review Draft Agenda for the November 5, 2026, Board of Directors Meeting
Date: October 15, 2026
Staff will provide an overview of the proposed agenda items for the November 5, 2026, Board of Directors meeting for review and feedback from the Executive Committee. The draft Board agenda is attached to this staff report. Information on the main items for Board consideration is provided below.

CONSENT AGENDA
The following items are recommended for inclusion on the Consent Agenda of the November Board meeting.

Social Security Resolution
At the March 5, 2026, Board meeting, Resolution No. 26-03-103 was adopted to approve a “divided vote” election for employee Social Security benefits, allowing current employees a one-time opportunity to elect to opt-out or stay in Social Security on an individual basis during their employment at CPA. Eligible employees completed the divided vote on August 31, 2026, choosing whether they wished to be covered under the Social Security program during their employment with CPA. All election forms were verified and returned to the State Social Security Administrator on September 1, 2026.

Now that the individual election process has concluded, the State Administrator and the Social Security Administration will validate the election results and subsequently require another Board Resolution to officially request formalization of Social Security coverage Agenda Page 7
Executive Committee Item 3
for employees who have not opted out and for all future employees. The State Administrator and the Social Security Administration must send us the Resolution text. If the Resolution is received in time, it will be presented to the Board at the November meeting.

Cape Station Amendments
On September 1, 2022, and February 27, 2025, CPA executed Power Purchase Agreements (PPAs) with Fervo Energy for the Cape Station Geothermal Facility totaling 30 MW and 18 MW, respectively. Both agreements resulted from bilateral offers submitted to CPA and subsequently approved by the Board of Directors on September 1, 2022 and February 6, 2025.

The Cape Station facility is located in Beaver County, Utah and must deliver its power to the CAISO balancing area in order for CPA to claim the associated Renewable Energy Credits and Resource Adequacy. Fervo Energy intends to use the Southern Transmission System (STS) to deliver the power and is in discussions with the line’s owner, the Los Angeles Department of Water and Power (LADWP), to secure transmission rights. To allow time for Fervo Energy to secure the necessary transmission rights, staff is currently negotiating amendments to the PPAs to extend the Guaranteed Commercial Operation Date and modify the Delivery Points in the PPAs. Should the negotiations be successful, the amendments will be presented to the Board for consideration.

REGULAR AGENDA
The following items are recommended for inclusion on the Regular Agenda of the November Board meeting.

Power Ready Contract Amendment with Coast Energy
On February 9, 2024, CPA executed 11 Power Purchase Agreements (PPAs) with Coast Energy Devco, LLC (Coast Energy) for 1.15 MW of solar photovoltaic capacity paired with

1.30 MW of battery energy storage. The PPAs resulted from Coast Energy's proposal Agenda Page 8
Executive Committee Item 3
submitted in response to CPA's Power Ready 1 RFO and were approved by the Board of Directors on February 1, 2024.

Coast Energy failed to meet the Guaranteed Construction Start Date (GCSD) under each PPA. Staff is currently negotiating amendments for five of the eleven projects to extend the GCSD and Guaranteed Commercial Operation Date (GCOD). For the remaining six projects, the parties are negotiating termination of the PPAs and transfer of project work papers so that CPA can develop those projects in the next round(s) of its Power Ready program. If negotiations are successful, the proposed amendments may be presented to the Board for consideration.

FY 2025/26 Results
Staff will present CPA’s audited FY 2025/26 Financial Statements. The audit is nearly complete, with the final report expected to be issued by October 23, 2026. On October 28, 2026, the Baker Tilly audit partner will present the audit results in detail to the Finance Committee. The audited Financial Statements will include the auditor’s opinion on CPA’s financial position for FY 2025/26 as of June 30, 2026.
2027 PCIA Outlook
This item will be subject to a separate presentation to the Executive Committee

October 15, 2026
Agenda Page 12
Summary
2 As anticipated earlier this year, CPA customer bills will likely go up in January 2027 due to an increase in the Power Charge Indifference Adjustment (PCIA)
SCE generation rates are likely to decrease as well. Together with the PCIA increase, this will worsen CPA’s competitive position
In response, staff expects staff expects the Board will want to consider a February 2027 interim rate adjustment The expected changes are being driven largely by declining prices for energy, Resource Adequacy (RA) and short-term renewable energy contracts Those same factors, plus the Board’s conservative ratemaking approach and diligent risk management, have CPA in sound financial health and well positioned to reduce rates The magnitude of the changes will be better known when SCE releases its October update in the Energy Resource Recovery Account (ERRA) proceeding, which sets PCIA and SCE generation rates each year. Actual PCIA and SCE rates, expected to go into effect on January 1, 2027, typically are not be finalized until the late December and will include October/November results
At the November 5 Board meeting, staff will present final FY2025/26 results, Fiscal Stabilization Fund balance, and Reserve %, along with initial analysis of the projected PCIA and SCE rate change impact on bills and competitiveness. Interim rate adjustment options would then be presented to the Executive Committee on November 19 and to the Board on December 3
If the Board approves an interim rate adjustment approach in December, staff would bring final rates to the Board for approval in January to go into effect on February 1, similar to what occurred last year in the December 2025- January 2026 timeframe.

Agenda Page 13
PCIA Refresher
The purpose of the PCIA is to recover “stranded costs” from unbundled customers by charging them the net costs of generation contracts procured on their behalf by the IOU while they were bundled customers. This ensures that bundled customers are “indifferent” to the departing load Under the current PCIA framework, per a 2018 CPUC decision, portfolio value is determined based on Market Price Benchmarks (MPB), reflecting actual market transactions, which is then subtracted from total portfolio costs to set the PCIA There are separate MPBs for brown power, RA and renewable energy (RPS) Each customer is assigned a PCIA “vintage” based on when they departed from SCE bundled service, and customers only have cost responsibility for resources procured up to the time of their departure. This means different vintages can have substantially different PCIA rates
Agenda Page 14
3 Market Price Trends
Market prices for RA, short-term Renewable Energy (RPS), and brown power have continued trending downward since 2025
o Brown power and RA prices have fallen as more capacity, particularly battery storage, has come online in the last several years
o Similarly, short-term RPS prices have fallen as large quantities of new solar and wind have begun deliveries

Agenda Page 15
PCIA Impact of Market Prices
Lower market prices increase the amount the IOU needs to collect from departed customers.

Conversely, higher market prices increase the value of the IOU’s PCIA portfolio, reducing the amount the IOU needs to collect from departed customers.

At the same time, lower market prices decrease generation costs/rates for bundled customers, while higher market prices increase IOU generation costs/rates for bundled customers.

As a result of market shifts over the last several years the PCIA has swung from positive (a bill charge) to negative (a bill credit) and back again for a majority of CPA customers Note: Includes Competitive Transition Charge and Generation Municipal Surcharges. 5 Agenda Page 16
CPA Customer Impact
The expected PCIA rate increase will cause CPA customer bills to go up starting in January 2027
A decrease in the SCE generation rate will have no impact on CPA customer bills, though in combination with the PCIA rate increase, it will worsen CPA’s competitive position
The CPA Board may want to prioritize mitigating the PCIA bill impact to customers in its consideration of a February 2027 interim rate adjustment Agenda Page 17
