Approve Amendment No. 1 to Contract No. CS-249, Planning and Design Services, Mountain Tunnel Improvements
Summary of
Proposed
Commission Action:
Approve Amendment No. 1 to Contract No. CS -249, Planning and Design Services for Mountain Tunnel Improvem ents Project, with McMillen Jacobs Associ ates (“Consultant” or “MJA”), increasing the contract by $7,780,000 and increasing the contract d uration by three years, for a total not -to-exceed contract amount of $28,780,000 and a total contract duration of 13 years, to provide specialized engineering services for the Mo untain T unnel Improvements P roject; and authorize the G eneral Manager , subject to Board of Supervisors approval as requ ired by Charter Section 9.118, to execute this amendment.
Background: Mountain Tunnel conveys the Hetch Hetchy water supply from Kirkwood Powerhouse approximately 19 m iles to Priest Reservoir. It is a critical, non-redundant link in th e Hetch He tchy water system.
Having been in service since 1925, sections of the original lining have deteriorated due to age, original constru
ction deficiencies, and
deferred maintenance, which have c reated vulnerabilities to water quality and delivery reliability level-of-service objectives.
The design and engineering required to restore Mountain Tunnel reliability cannot be accomplished exclusively with SFPUC staff.
Contract No. CS -249 provides the necessary s pecialized expertise in design and rehabilitation of deep tunnels through hard rock.
On October 27, 2015, by Resolution No. 15-0216, this Commission awarded Contract No. CS-249, Planning and Design Services, Mountain Tunnel Improvements , w ith an amount not- to-exceed $21,000,000, and with a duration of up to 10 years , to McMillen Jacobs Associates (MJA).
The original scope of services fo r Contract No. CS-249 was for Agreement: CS-249, Planning and Design Services, Mountain Tunnel Improvements Commission Meeting Date: April 12th, 2022
planning, design, and engineering support during construction of a new 12-mile bypass tunnel. However, based on recommen dations in Consultant’s alternatives analysis that were adopted by staff , staff changed the design and construction project scopes of work from a new bypass tunnel to r ehabilitation of the ori ginal tunnel, which achieved considerable construction cost sa vings (approximately $260M to $370M in construction cost s avings). In addition, s taff increased scope by adding design of a downstream flow control facility at Priest Reservoir.
This contract also provided design and e ngineering support during construction services during a tunnel i nspection in 2017, and an interim repair project of the existing tunnel in 2018, while staff and the Consultant were developing t he larger rehabilitation project.
Overall, the or iginal planning and design budget was s ufficient to cover all required support services to deliver the contract documen ts for the rehabilitation project.
When staff originally developed the scope for Contract No. CS-249, the engineering support during construction t asks for the construction project w ere not yet defined. Staff budgeted $3M for the originally envisioned level of effort for engineering support during construction of a new bypass tunnel. Staff ’s current revis ed es timate for engineering support during construction services for the construction project to rehabilitate the original tunnel is $10.6M due to the more complex nature of the construction work.
Scope of Services: The work under this Contract consists of:
• 2017 Tunnel inspection and condition assessment;
• 2018 Interim repair;
• Management and coordination of services (planning phase); • Background information review;
• Conceptual engineering;
• Geotechnical investigation and site characterization; • Tunnel engineering and design;
• Engineering support during environmental review phase; • Engineering support during bid and award phase;
• Engineering support during construction and closeout phase; • Technology transfer;
• Design of tunnel improv ements upstream of Adit 5/ 6 (optional);
• Land needs and property acquisition (optional); and
• Community benefits.

From: Jason Chow, CMD
Subject: CMD’s Amendment #1 Review for CS-249 Mountain Tunnel Improvements
The SFPUC has requested an amendment for the above referenced contract by increasing the contract amount by $7,780,000 for a total agreement amount of $28,780,000 with a total contract duration of 13 years. Per the SFPUC’s Agenda Item, the original design scope of the CS-249 contract was for the design of a new 12-mile bypass tunnel. This bypass tunnel was replaced with a rehabilitation project with downstream control as recommended by an alternative’s analysis report performed under a task order modification. This saved the SFPUC between $260 million to $370 million in capital costs. As such, the SFPUC’s Amendment #1 request is to cover the cost of the Engineering Support During Construction (ESDC) Phase.
The LBE subconsulting participation requirement established for this contract is 10%. The LBE subconsulting participation requirement applies to the entire contract including any amendments, change orders and amendments. The LBE subconsulting participation reflected on the Prime Consultant’s, McMillen Jacobs Associates (“McMillen Jacobs”), CMD Form 2A at the time of proposal is
13.84% and is as follows:

OFFICE OF THE CITY ADMINISTRATOR
Agreement: CS-249, Planning and Design Services, Mountain Tunnel Improvements Commission Meeting Date: April 12th, 2022
As of February 25, 2022, the LBE subconsulting participation achieved by McMillen Jacobs is as follows:
Based on the information provided by McMillen Jacobs, to-date, McMillen Jacob’s is currently exceeding its original overall LBE subconsulting participation commitment (referenced in the above table).
However, there are three (3) listed LBE firms that are currently short: Saylor, Structus and Telamon. To this end, McMillen Jacobs provided CMD the following explanations regarding the three (3) firms along with the CMD Form 10 information.
Saylor:
This firm was listed to perform cost estimate support. However, sometime after the agreement was signed, Saylor informed McMillen Jacobs that they could no longer provide services under this agreement and would like to be removed from its team. As such, Saylor never performed any work and will remain a non-participate for the remainder of this contract (referenced in both the above/below tables). This communication between Saylor and McMillen Jacobs was provided to CMD.
Structus:
This firm was listed to perform general structural engineering support. Based on the issuance of this work to-date, by the SFPUC, Structus has been offered/provided the opportunity to perform this work where feasible to the extent possible but Structus is currently short of its original percentage commitment (also referenced in the above table). As for the entire contract, including Amendment #1, McMillen Jacobs anticipates that Structus will continue to provide general engineering support services on this contract. As such, Structus is projected to exceed its original percentage commitment (also referenced in the below table).
Telamon:
This firm was listed to perform Survey, Civil and CAD. Based on the issuance of this work to-date, by the SFPUC, Telamon has been offered/provided the opportunity to perform this work where feasible to the extent possible. To-date, Telamon has invoiced a total of $695,425.02 on this contract, which is currently in line with its original percentage commitment (also referenced in the above table). As for the entire contract, including Amendment #1, Telamon is projected to fall short of its original percentage commitment because McMillen Jacobs doesn’t foresee any additional Survey, Civil and CAD work in the upcoming work (ESDC Phase). Therefore, Telamon will not be utilized for the remainder of this contract.
As such, its final LBE participation dollars will remain the same as its to-date current invoiced amount (also referenced in the below table).

Regarding the projected overall LBE subconsulting participation that is anticipated to be achieved on the entire contract, including Amendment #1, McMillen Jacobs is projected to meet its original overall LBE subconsulting participation commitment (also referenced in the below table). This is because, in good faith, McMillen Jacobs projected an increase in participation for three (3) of its listed LBE firms; Joe Hill, Robert Chew and Structus (also referenced in the below table).
Based on the foregoing and taking into consideration the proposed increase and the original contract amount, McMillen Jacobs projected LBE participation for the entire contract, including Amendment #1 is as follows:
The SFPUC staff and McMillen Jacobs shall continue to notify CMD of any changes that may impact LBE participation. Additionally, SFPUC staff and/or McMillen Jacobs must continue to notify CMD of any proposed sub additions and/or substitutions throughout the term of this contract. Contingent upon the conditions set forth above, CMD concurs with this amendment. Should you have any questions, please contact Jason Chow at [email protected].
