Authorize Memorandum of Agreement: Regular Calendar
Project Manager: Steven Ritchie, Assistant General Manager, Water Enterprise

Authorize A Nine-Year Amended and Restated Memorandum of Understanding with the San Francisco Recreation and Parks Department regarding the Management of a Portion of Lake Merced Lands

Summary of
Proposed
Commission Action:

Authorize the General Manager of the San Francisco Public Utilities Commission to execute an Amended and Restated Memorandum of Understanding with the Sa n Francisco Recreation and Parks Department regarding the management of a portion of the SFPUC’s Lake Merced lands.

Background: The City and County of San Francisco (City), under the jurisdiction of the San Francisco Public Utilities Commission ( SFPUC), owns a t ract of land designated as SFPUC Parcel No. 55 (“Lake Merced Tract”), which the City purchased in 1930 as part of its acquisition of the Spring Valley Water Company.

Since 1930, the City, th rough the SFPUC, conveyed portions of the Lake Merced Tract to other parties, and the remaining portion is called the “Revised Tract ” for the purposes of this agenda . The Revised Tract contains Lake Merced, which is an important natural, recreational, and water resource for the City and the surrounding region. Once a re mote and rural corner of the City, the lake environs have become increasingly urbanized over the decades, and the lake has had to endure the consequences, including a shrinking watershed, changes in stormwater runoff, decreased spring flow into the lake, increased demand for recreation, and increased
wear and tear on
facilities and the natural environment.

The Revised Tract constitutes a portion of the SFPUC’s regional water delivery system and contains SFPUC water supply and wastewater facilities and associated utility rights of way . Lake Merced currently serves as a nonpotable emergency water supply for firefighting purposes in San Francisco. The lake is also a surface expression of the Westside Groundwater Basin in western San Francisco and nor thern San Mateo Counties. A portion of the Revised Tract is located in the Agreement: Authorize Amended and Restated MOU
Commission Meeting Date: February 14, 2023

City and County of San Francisco and a portion of the Revised Tract is located in San Mateo County.

In 1950, the SFPUC pass ed a resolution (SFPUC Resolution No. 10,435) giving RPD the revocable “right to occupy, use, and improve for park and recreational purposes” the land surrounding the lake, while the SFPUC maintained ownership and ultimate responsibility to manage the watershed as a municipal water source.

Since the adoption of the 1950 SFPUC Resolution, RPD has operated and maintained the surface of portions of the Revised Tract for recreational purposes. To that end, RPD has awarded leases and agreements to third parties for use of the Lake Merced Boathouse and the Harding P ark Golf Course and Fleming Golf Course , and other leased premises.

Additionally, RPD manages the landscape
surrounding Lake Merced, including the natural areas, and leads monthly volunteer work part
ies to perform maintenance and
restoration activities.

In January 2006, t he San Francisco Board of Supervisors passed a resolution “urging the San Francisco Public Utilities Commission to work with the San Francisco Recreation and Parks Commission to modify provisions of resolution 10,435.” The intent was to tra nsfer primary responsibility for the management of the lands surrounding the lake back to the SFPUC in accordance with best management practices for sustainable watersheds, and obtaining and allocat e the resources necessary to do so.

In 2007, the San F rancisco Board of Supervisors adopted Resolution No. 14-07 urging the SFPUC and RPD to work together to modify the provisions in the 1950 SFPUC Resolution to allow the SFPUC to manage a portion of the Re vised Tract following standards applied to the management of an urban watershed and to allocate the resources necessary to have the SFPUC assume a greater role in the protection of water quality through the creation of a long- term vision for the Revised Tr act that sustainably balances multiple beneficial uses, including management of natural areas, watershed protection and restoration, public education, and recreation.

In 2013, the Parties entered into a Memorandum of Understanding (“Original MOU”) to defin e the framework of cooperation between the SFPUC and RPD regarding the ben eficial uses and facilities of the Revised Tract and to authorize RPD to be responsible for certain recreation-related activities on portions of the Revised Tract based upon RPD’s recreation expertise. The SFPUC approved the Original MOU under Resolution No. 13-0121 dated July 23, 2013. The RPC approved the Original MOU under Resolution No. 1308- 011 dated August 15, 2013.

The Original MOU has expired, and SFPUC staff and RPD now Agreement: Authorize Amended and Restated MOU
Commission Meeting Date: February 14, 2023

desire to enter into th e Amended and Restated Memorandum of Understanding (“Amended MOU”) to (1) continue a framework of cooperation regarding the use and operation of a portion of the Revised Tract; (2) to extend the term of the delegation of authority to RPD to manage recreational uses and certain other delegated activities on a portion of the Revised Tract; (3) to refine the description of the portions of the Revised Tract that RPD may use under the Amended MOU (“Revised RPD Premises”) ; (4) to extend the delegation of authori ty to RPD to enter into leases, conces sions, licenses, and other agreements regarding recreational uses on a portion of the Revised Tract ; and (5) to update other terms and conditions relating to the Lake Merced West site. (The Lake Merced West site compr ises a portion of the site formerly leased to the Pacific Rod and Gun Club and is now being redeveloped by RPD for recreational uses).

In addition, the SFPUC will continue providing funding to RPD to (a) operate and maintain existing public access f acilities, including public restrooms, pave d paths, park benches, trash collection facilities, and security structures on the Revised RPD Premises; and (b) provide gardening, maintenance, and custodial services to maintain the grounds and the natural areas on the Revised RPD Premises.

SFPUC staff worked on the Amended MOU with RPD staff for many months and recommends that this Commission approve the Amended MOU.

Description of
Agreement:

An Amended and Restated Memorandum of Understanding will allow the SFPUC to continue to document the respective management responsibilities of the SFPUC and RPD regarding portions of the Revised Tract and Lake Merced.

Parties to
Agreement:

SFPUC and RPD
Purpose: To state the parties’ respective management
responsibilities regarding the Revised Tract
and Lake Merced
Location: Portions of SFPUC Parcel No. 55 in San
Francisco
Effective Date: Upon the first business day on which each of the following events has occurred: (a) the
Parties have duly executed and delivered this
First Amended MOU, and (b) the San
Francisco Recreation and Parks Commission
and the SFPUC’s Commission have adopted
resolutions approving the Amended MOU.

Agreement: Authorize Amended and Restated MOU
Commission Meeting Date: February 14, 2023

Result of Inaction: Continuation of the current management practices at the Revised Tract without an executed agreement confirming the rights and obligations of the SFPUC and RPD.

Budget & Costs: Both RPD and the SFPUC contribute to the management and maintenance of the Revised Tract. The SFPUC provides annual work-ordered funding to RPD for (a) the maintenance of existing public access facilities, including public restrooms, paved paths, park benches, tr ash collection facilities, and security structures; and (b) gardening, maintenance, and custodial serv ices to maintain the grounds and the natural areas in the sum of $1,187,962 for fiscal year 2022 - 2023 for the Revised Tract.

Funds are available upon execution from the Water Enterprises Operating Budget.

Environmental
Review:

This action does not constitute a “project” under the California Environmental Quality Act Guidelines s ection 15378( b)(2) because the Amended MOU would continue administrative or maintenance activities, and under Guidelines section 15378 because it does no t involve commitment to any specific project that may result in a physical change in the environment.

The Am ended MOU includes provisions for future improvements, such as new permanent structures or additions to permanent structures, and allows RPD to ent er into future leases, concessions, licenses, and other agreements . No approvals for such future actions would be approved until the proposed work or entitlement is reviewed and any appropriate environmental review under the CEQA, if required, has been completed.

Recommendation: SFPUC staff recommends that the Commission adopt the attached resolution.

FIRST AMENDED AND RESTATED

MEMORANDUM OF UNDERSTANDING

REGARDING MANAGEMENT OF THE LAKE MERCED TRACT

THIS FIRST AMENDED AND RESTATED MEMORANDUM OF
UNDERSTANDING ("First Amended MOU"), dated for reference purposes only as of , 2023, is entered into by and between the SAN FRANCISCO RECREATION AND PARK DEPARTMENT ("RPD") and the SAN FRANCISCO PUBLIC UTILITIES COMMISSION ("SFPUC"), two departments of the City and County of San Francisco ("City") The RPD and the SFPUC are individually referred to as a "Party" and are collectively referred to as the "Parties."

RECITALS
A. City, through the SFPUC, owns a tract of land designated as SFPUC Parcel No. 55 ("Lake Merced Tract"), which was purchased in 1930 as part of City's acquisition of the Spring Valley Water Company. City, through the SFPUC, conveyed portions of the Lake Merced Tract to other parties. The revised boundaries of the Lake Merced Tract following these conveyances ("Revised Tract") are depicted on the attached drawing entitled "SFPUC Drawing No. E-793 - Lake Merced Area Properties acquired from the Spring Valley Water District" dated June 1, 1951 and attached as Exhibit A. The Revised Tract constitutes a portion of the SFPUC's regional water delivery system and contains SFPUC water supply and wastewater facilities and associated utility rights of way. A portion of the Revised Tract is in the City and County of San Francisco and a portion of the Revised Tract is in San Mateo County.

B. Pursuant to SFPUC Resolution No. 10,435 dated January 30, 1950 ("1950 SFPUC Resolution") and a February 9, 1950 letter from then SFPUC General Manager James Turner ("1950 SFPUC Letter") to the RPD, the SFPUC granted RPD the right to "occupy, use and improve, for park and recreational purposes" a portion of the Revised Tract in San Francisco ("Original RPD Premises"), along with the right to grant concessions or leases for use of portions of the Original RPD Premises. The SFPUC's water supply and wastewater facilities, utility rights of way, and the SFPD Premises (defined in Section 2 [Definitions] below) occupied the remaining portions of the Revised Tract in San Francisco.

C. Pursuant to Recreation and Park Commission ("RPC") Resolution No. 1919 on February 15, 1950 ("1950 RPC Resolution"), the RPC accepted the SFPUC's offer to manage the Original RPD Premises for recreational purposes, subject to certain specified SFPUC conditions.

D. Since the adoption of the 1950 SFPUC Resolution, RPD has operated and maintained the surface of the Original RPD Premises for recreational purposes. To that end, RPD has awarded leases and agreements to third parties for use of the Lake Merced Boathouse and the Harding Park Golf Course and Fleming Golf Course and other leased premises. Additionally, RPD manages the landscape surrounding Lake Merced, including the natural areas, and leads monthly volunteer work parties to perform maintenance and restoration activities.

E. Since the adoption of the 1950 SFPUC Resolution, the SFPUC has undertaken a number of studies to determine the relationship between the Revised Tract and the Westside Basin Aquifer, has taken steps to stabilize Lake Merced water levels through agreements with the City 1 of Daly City for the provision of recycled water to nearby golf courses, and is currently cooperating with the City of Daly City to implement a project using stormwater to maintain water levels in Lake Merced. Lake Merced is an emergency source of water for the City and County of San Francisco to be used for firefighting or sanitation purposes if no other sources of water are available.

F. In 2007, the San Francisco Board of Supervisors adopted Resolution No. 14-07 urging the SFPUC and RPD to work together to modify the provisions in the 1950 SFPUC Resolution to allow the SFPUC to manage a portion of the Revised Tract following standards applied to the management of an urban watershed, and to allocate the resources necessary to have the SFPUC assume a greater role in the protection of water quality through the creation of a long- term vision for the Revised Tract that sustainably balances multiple beneficial uses, including management of natural areas, watershed protection and restoration, public education, and recreation.

G. In its Water Quality Control Plan for the San Francisco Bay Basin, the San Francisco Bay Area Regional Water Quality Control Board identified beneficial uses of Lake Merced.

H. In 2013, the Parties entered into a Memorandum of Understanding ("Original MOU") to define the framework of cooperation between the SFPUC and RPD regarding the beneficial uses and facilities of Lake Merced and the Original RPD Premises in San Francisco and to authorize RPD to be responsible for certain recreation-related activities on the Original RPD Premises based upon RPD's recreation expertise. The SFPUC approved the Original MOU pursuant to Resolution No. 13-0121 dated July 23, 2013 ("2013 SFPUC Resolution"). The RPC approved the Original MOU pursuant to Resolution No. 1308-011 dated August 15, 2013 ("2013 RPC Resolution").

I. The Parties acknowledged and agreed that the Original MOU superseded and replaced the 1950 SFPUC Resolution, the 1950 SFPUC Letter, and the 1950 RPC Resolution.

J. Notwithstanding the rights granted pursuant to the 1950 SFPUC Resolution, the 1950 SFPUC Letter, and the 1950 RPC Resolution to RPD to use and occupy portions of the Revised Tract, at all relevant times, the SFPUC has retained underlying jurisdiction over the Revised Tract. Nothing in the 1950 SFPUC Resolution, the 1950 SFPUC Letter, the 1950 RPC Resolution, the 2013 SFPUC Resolution, the 2013 RPC Resolution, the Original MOU, or this First Amended MOU constituted or constitutes an interdepartmental jurisdictional transfer of property of the Revised Tract to the RPD.

K. The Original MOU has expired, and the Parties now desire to enter into this First Amended MOU to (1) continue a framework of cooperation regarding the use and operation of a portion of the Revised Tract; (2) to extend the term of the delegation of authority to RPD to manage recreational uses and certain other delegated activities on a portion of the Revised Tract; (3) to refine the description of the premises that RPD may use pursuant to this First Amended MOU, now referred to as the Revised RPD Premises (defined in Section 2 [Definitions] below) and depicted on the GIS map entitled "Map of Lake Merced Revised RPD Premises" attached as Exhibit B; (4) to extend the delegation of authority to RPD to enter into leases, concessions, licenses, and other agreements regarding recreational uses on the Revised RPD Premises; and (5) 2 to update other terms and conditions relating to the Lake Merced West site (defined in Section 2 [Definitions] below).

L. The Parties acknowledge and agree that this First Amended MOU amends and restates the Original MOU in its entirety, and thereby supersedes and replaces the Original MOU, the 1950 SFPUC Resolution, the 1950 SFPUC Letter, and the 1950 RPC Resolution. This First Amended MOU contains the entire understanding of the Parties regarding RPD's use of the Revised Tract.

Prior to issuing any new RFQ or RFP for the use of Lake Merced West, RPD shall (a) provide any new proposed RFQ or RFP as well as subsequent responses for the use of Lake Merced West to the SFPUC for review and comment, and (b) obtain the prior written approval of the SFPUC General Manager or his designee.

7.4. RPD shall not permit motorized watercraft in Lake Merced with the exception of (a) 4-stroke motorized craft used in support of competitive rowing as a management and safety measure; (b) 4-stroke motorized craft used by City staff for lake management and monitoring; or (c) electric-powered craft as may be specifically allowed by RPD as part of a boating concession.

7.5. RPD shall provide for public review any RFPs for recreational uses within the Revised RPD Premises and may negotiate and enter into new Recreational Agreements. RPD shall provide public notice to interested stakeholders in advance of any RPD-proposed changes in recreational uses within the Revised RPD Premises.

7.6. RPD shall administer a permitting process for all recreational activities on the Revised RPD Premises, including the charging and collecting of all permit fees.

7.7. RPD shall respond and begin to take corrective action at its sole expense within seven (7) days after receiving written notice from the SFPUC General Manager requesting RPD to modify or terminate any RPD activity that the SFPUC has determined has or will have an adverse impact on Lake Merced or is damaging to the SFPUC's utility operations or the Revised RPD Premises (each, an "Adverse Activity"). Notwithstanding the prior sentence, upon the written or oral notice from the SFPUC General Manager that an Adverse Activity has resulted in an 7 emergency, RPD shall take immediate action at its sole expense to modify or terminate the Adverse Activity as required by the SFPUC.

7.8. RPD shall use its best efforts to maintain and repair the Revised RPD Premises and RPD Improvements in a good, clean, secure, sanitary, and sightly condition.

7.9. RPD shall not construct or place any new permanent structure or make any permanent addition to a permanent structure each costing, in the aggregate, $50,000 or more (each, a "New Facility" and collectively, "New Facilities") in, on, under, or about the Revised RPD Premises, without the prior written approval of the SFPUC General Manager. The New Facility must not adversely affect SFPUC utilities or related facilities, and RPD must comply with the following process: (a) RPD shall complete and submit an In-City Project Review Application with related attachments to the SFPUC as soon as RPD has developed conceptual plans for a New Facility; (b) RPD shall participate in the SFPUC Project Review process as soon as RPD has developed conceptual plans for a New Facility; (c) RPD shall obtain the SFPUC's prior written approval of the conceptual, interim and final plans and specifications for a New Facility, which approval shall not be unreasonably withheld or delayed; and (d) once installed, RPD shall provide the SFPUC with a copy of the as-built drawings for such installation. RPD may obtain the SFPUC In- City Project Review Application by emailing [email protected]. RPD shall be responsible for any necessary CEQA compliance in connection with any such New Facility as may be determined by the San Francisco Planning Department.

7.10. RPD will use reasonable efforts to restore, re-vegetate, and conserve the ecological resources within the Revised RPD Premises through RPD's Natural Resources Program and other RPD programs in consultation with the SFPUC Natural Resources and Lands Management Division.

7.11. RPD shall use reasonable efforts to work with interested stakeholders regarding regularly scheduled maintenance and restoration efforts in, on and to the Revised RPD Premises.

7.12. RPD shall provide a public process for determining how park bond funds shall be spent within the Revised RPD Premises.

7.13. RPD shall not allow residential uses on the Revised RPD Premises.

7.14. RPD shall not: (a) cause any nuisance on the Revised RPD Premises; (b) cause Lake Merced or any wetlands on the Revised RPD Premises to be filled, flooded, or otherwise impaired; or (c) allow any refuse or hazardous material to be dumped by any RPD Agent on the Revised RPD Premises.

8. Joint Responsibilities of the SFPUC and RPD Regarding the Revised RPD Premises.

RPD and the SFPUC shall jointly be responsible for the following activities at the Revised RPD Premises:
8 8.1. The Parties shall create a biennial work program that responds to and addresses relevant management issues identified in reports such as the 2010 Lake Merced Watershed Report or arising from events or proposed activities that may impact the water quality or any existing uses on the Revised RPD Premises. The General Managers of the SFPUC and RPD shall jointly provide an annual memorandum to their respective Commissions no later than April 151h of each year during the Term that addresses. The annual memoranda shall address work program completion, RPD's use of funds provided by the SFPUC under Section 6.6, any changes to leases and concessions, the appearance and condition of Revised RPD Premises based on RPD quarterly park evaluations, and capital repair and replacement needs and activities conducted in the preceding year on the Revised RPD Premises.

8.2. The Parties shall convene periodic meetings with stakeholder groups to discuss management issues pertaining to the Revised RPD Premises and to solicit feedback from the community.

8.3. The Parties shall develop a signage strategy plan for the Revised RPD Premises that incorporates wayfinding signs, ecology awareness, and primary landmarks.

Funding for this plan has not yet been determined.

8.4. The Parties shall develop a prioritized list of potential projects and funding options to address deferred maintenance and capital improvements required at the Revised RPD Premises, including structures on the Revised RPD Premises.

8.5. The Parties shall manage a community planning process for how Lake Merced West will be utilized.

8.6. The Parties shall evaluate and possibly implement opportunities for apprenticeship, pre-apprenticeship and community workforce education and training programs in the Revised RPD Premises.

8.7. The Parties will meet and confer promptly and in good faith regarding any matter of concern under this First Amended MOU.

9. SFPUC Use of Lake Merced Boathouse Meeting Rooms. The SFPUC may use the Lake Merced Boathouse meeting rooms for SFPUC business meetings or other business purposes at no cost to the SFPUC provided that RPD staff will not be required to work overtime hours to assist with the opening and closing of the Lake Merced Boathouse for SFPUC use without the SFPUC reimbursing RPD for any overtime costs. Upon the conclusion of any such SFPUC event, the SFPUC shall leave the Lake Merced Boathouse in a locked, clean and orderly condition, with all trash, composting and recycling (together, "Refuse") stored in appropriate containers designed for such purposes. The SFPUC shall immediately remove from the boathouse site all excess Refuse not capable of being properly stored in appropriate onsite Refuse containers.

10. As-Is Condition of Revised RPD Premises; Disclaimer of Representations. RPD accepts the Revised RPD Premises in its "AS IS" condition, without representation or warranty of any kind by the SFPUC.
9 11. Notices.

11.1. Emergency Notices. The Parties must provide immediate telephonic notice of any emergency affecting the Revised RPD Premises as follows:

To RPD: Telephone: (415) 242-6390

11.2. Other Notices. All other notices, demands, consents or approvals that are or may be required to be given by either Party to the other under this First Amended MOU shall be in writing and shall be deemed to have been fully given when delivered in person to such representatives of RPD and the SFPUC as shall from time to time be designated by the Parties for the receipt of notices, or when deposited in the United States mail, postage prepaid, and addressed,

or such other address regarding either Party as that Party may from time to time designate by notice to the other given pursuant to the provisions of this Section.

12. Use of Lake Merced Watershed For Primary Utility Purposes. Notwithstanding anything to the contrary in this First Amended MOU and pursuant to the Framework for Land Management and Use adopted by the SFPUC's Commission by Resolution No. 12-0042 on March 13, 2012, because the Revised RPD Premises constitutes a portion of the Lake Merced Watershed and the SFPUC's retail water delivery system, all of RPD's activities on the Revised RPD Premises shall be subject and subordinate at all times to the SFPUC's existing and future use of the Lake Merced Watershed. While the SFPUC does not currently anticipate installing any SFPUC Project (as defined in Section 12.2 below) in and on the Revised Tract, from time to time during the Term the SFPUC may require future use, for primary utility purposes, of unoccupied and/or undeveloped 10 portions of the Revised Tract or require the temporary use of portions of Sunset Circle without any monetary obligation to RPD.

12.1. Primary Utility Use of Sunset Circle. The SFPUC acknowledges that Sunset Circle is subject to public recreational use since it is the starting and finishing area for numerous races and walks around Lake Merced and overflow parking for boating and golf events. RPD and the SFPUC have designated an approximate 15,000 square-foot portion of Sunset Circle ("Designated Utility Area") for the SFPUC's primary utility purposes. The Designated Utility Area is depicted on the map attached as Exhibit E. The SFPUC will provide at least ninety (90) days prior written notice to RPD of the SFPUC's intent to use the Designated Utility Area. If the SFPUC desires to use any portion of Sunset Circle outside the Designated Utility Area for a non-emergency primary utility purpose, the SFPUC General Manager will provide at least 365 days prior written notice to RPD after considering in consultation with the RPD General Manager (i) the potential impact any such primary utility use on the portions of Sunset Circle outside the Designated Utility Area may have on recreational uses; and (ii) any alternative work areas available to the SFPUC. The SFPUC may commence use of the Sunset Circle work area outside the Designated Utility Area 365 days after the date of the SFPUC notice.

12.2. Suspension During SFPUC Utility Emergency. For the avoidance of any doubt, the Parties' obligations regarding Emergency Work are governed by the terms and provisions of this Section 12.2 and Section 12.4. In the event that an emergency requires SFPUC repairs or construction on or about the Revised Tract ("Emergency Work"), the SFPUC may declare that the Parties' respective rights and obligations pursuant to this First Amended MOU with respect to the specific portions of the Revised Tract, including the Revised RPD Premises, required for the Emergency Work will be temporarily suspended. In such case, the SFPUC will not owe any monetary obligation to RPD except as described in this Section 12.2.

The SFPUC shall endeavor to provide as much practical notice as possible to RPD with regard to such Emergency Work, except if the emergency is of such a nature that no such notice may be practicable. The Parties will use prompt, good faith efforts to accomplish the removal of any of RPD personal property and vehicles from the Emergency Work Area subject to such suspension. During any Emergency Work, the SFPUC will make all reasonable efforts to avoid (i) damage to any structure, turf, or irrigation feature at Harding Park, and (ii) the disruption of golf course play at Harding Park. At its discretion, the SFPUC may fence the portion of the Revised RPD Premises required for the Emergency Work. The Emergency Work may impact RPD's ability to maintain the Revised RPD Premises. Upon completion of any Emergency Work, the SFPUC will (a) remove any such fencing and restore the Revised RPD Premises to pre-existing conditions, with grass or gravel or paving at the surface, including any areas disrupted by Emergency Work vehicles, (b) repair any drainage or irrigation feature damaged by the Emergency Work, and (c) promptly deliver a notice of completion to RPD with the commencement date for when this First Amended MOU will apply again to the entire Revised RPD Premises.
11 12.3. Suspension During SFPUC Utility Upgrades, Improvements, or Capital Projects on the Revised RPD Premises. For the avoidance of any doubt, the Parties' obligations regarding a SFPUC Project are governed by the terms and provisions of this Section 12.3 and Section 12.4. If at the sole discretion of the SFPUC General Manager, the SFPUC determines to undertake a utility improvement, upgrade, replacement, repair project, or capital project ("SFPUC Project") on the Revised RPD Premises, the SFPUC may, upon no less than one hundred eighty (180) days written notice to RPD, declare that the Parties' respective rights and obligations pursuant to this First Amended MOU, with respect to the SFPUC Project Work area will be suspended during the course of any such SFPUC Project Work, without any obligation to RPD except for the restoration obligations described in this Section 12.3. The Parties will use prompt, good faith efforts to accomplish the removal of any of RPD personal property and vehicles from the SFPUC Project Work area. During any SFPUC Project, the SFPUC will make all reasonable efforts to avoid the disruption of golf course play at Harding Park. At its discretion, the SFPUC may fence the portion of the Revised RPD Premises required for the SFPUC Project. Upon completion of any SFPUC Project, the SFPUC will (a) remove any such fencing and restore the Revised RPD Premises to pre-existing conditions, with grass or gravel or paving at the surface, including any areas disrupted by SFPUC Project vehicles, (b) repair any drainage or irrigation feature damaged by the SFPUC Project, and (c) promptly deliver a notice of completion to RPD with the commencement date for when this First Amended MOU will apply again to the entire Revised RPD Premises.

12.4. Special Provisions regarding SFPUC Projects or Emergency Work Occupying Harding Park Over Seven (7) Consecutive Days. The SFPUC will reimburse RPD for any Lost Revenue directly and solely attributable to the occupancy of Harding Park for Emergency Work or SFPUC Projects. "Lost Revenue" is defined as any decrease in RPD revenue due to a decrease in (i) net Harding Park golf play revenue, (ii) net Harding Park pro-shop merchandise revenue, and/or (iii) net Harding Park food, beverage and/or banquet sales revenue. RPD acknowledges that the SFPUC is subject to City and external audits and agrees to comply with the following financial procedures to obtain Lost Revenue reimbursement from the SFPUC. Not later than one hundred eighty (180) days following the conclusion of a SFPUC Project or Emergency Work occupying Harding Park for seven (7) consecutive days or more, the RPD General Manager will send to the SFPUC General Manager a detailed written request for reimbursement for Lost Revenue accompanied by the following supporting documentation: (1) RPD and/or Harding Park management company financial statements stating gross and net golf play revenue, pro-shop merchandise revenue, and food, beverage and/or banquet sales revenue for the prior three fiscal years and the fiscal year for which Lost Revenue is claimed, (2) copies of the current Harding Park lease and/or management agreement(s), and (3) any other written information supporting RPD's claim for reimbursement. The SFPUC will review RPD's request for completeness and accuracy and will reimburse RPD for the documented Lost Revenue within sixty (60) days following RPD's submittal of complete documentation to the SFPUC. 12 12.5. The duration of any First Amended MOU suspension shall not extend, toll, or otherwise affect the duration of the Term.

13. Resolutions. Following approval of this First Amended MOU, by resolutions duly adopted by RPC and the SFPUC's Commission, the respective resolutions indicating such approval shall be attached, respectively, as Exhibit C and Exhibit D.

14. Authority. The SFPUC General Manager and his or her delegee shall have the authority to make decisions on behalf of the SFPUC under this First Amended MOU, and the RPD General Manager and his or her delegee shall have the authority to make decisions on behalf of RPD under any matter that arises under this First Amended MOU. Either Party may change such designated principals by notice to the other Party given in accordance with Article 11 (Notices).

15. Miscellaneous Provisions. (a) This First Amended MOU may be amended or modified only in a writing signed by the RPD General Manager, and the SFPUC, through its General Manager, or his or her authorized designee. (b) The Parties shall execute and acknowledge such other and further documents as may be necessary or reasonably required to carry out the mutual intent of the Parties as expressed in this First Amended MOU. (c) All exhibits to this First Amended MOU are incorporated into this First Amended MOU by this reference and made part of this First Amended MOU as if stated in full in this First Amended MOU. (d) If by reason of inadvertence, and contrary to the intention of the Parties, errors are made in this First Amended MOU, then the Parties by mutual agreement may correct such error by written memorandum executed by them without the necessity of a formal amendment of this First Amended MOU. Each department director may execute such written memorandum on behalf of his or her respective department and the departments' employees, agents, consultants, contractors, authorized representatives, licensees, invitees, and guests.
[The rest of this page is intentionally left blank.]
13 IN WITNESS WHEREOF, the Parties have caused this First Amended MOU to be executed as of the date first written above.
