Summary of
Proposed
Commission
Action:
Approve the First A mendment of the Individual Water Sale Contract between the City and County of San Francisco (San Francisco) and the City of Redwood City (Redwood City), and the First Amendment of the Individual Water Sale Contract between San Francisco and California Water Service Company (Cal Water) , to (1) adjust the boundaries of the service areas where Redwood City and Cal Water may, respectively, use or sell water delivered by San Francisco, and (2) revise the lists of both Redwood City and Cal Water’s interties with other water systems, in accordance with the 2021 Amended and Restated Water Supply Agreement.
Background: Water Supply Agreement
On April 28, 2009, by Resolution No. 09- 0069, this Commission approved the Water Supply Agreement between San Francisco and Wholesale Customers in Alameda County, San Mateo County, and Santa Clara County (2009 Water Supply Agreement ),
pursuant to which San Francisco sells
potable water to 26 Wholesale Customers, including Redwood City and Cal Water. On January 26, 2021, by Resolution No. 21- 0009, the Commission approved the 2021 Amended and Restated Water Supply Agreement (Water Supply Agreement
), which was subsequently approved by the governing
bodies of each Wholesale Customer and executed by all parties to the Water Supply Agreement as of January 2023.
Individual Water Sales Contracts
Section 9.01 of the 2009 Water Supply Agreement contemplated that, except as provided, each of the Wholesale Customers would also enter into a new Individual Water Sales Contract with San Francisco concurrently with its approval of the 2009 Water Supply Agreement . The Individual Water Sales Contracts w ould “ describe the service area of each Wholesale Customer, identify the location and size of connections between the Regional Water Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City, Cal Water Commission Meeting Date: June 27, 2023
System and the Wholesale Customer’s distribution system, provide for periodic rendering and payment of bills for water usag e, and in some instances contain additional specialized provisions unique to the particular Wholesale Customer and not of general concern or applicability.”
On July 1, 2009, San Francisco and Redwood City entered into an Individual Water Sales Contract (R edwood City Contract), as authorized by SFPUC Commission Resolution No. 09- 0069, dated April 28, 2009, and Redwood City Resolution No. 14949, dated June 23, 2009.
On July 1, 2009, San Francisco and Cal Water entered into an Individual Water Sales Contra ct (Cal Water Contract), as authorized by SFPUC Commission Resolution No. 09- 0069, dated April 28, 2009, and the Cal Water Board of Directors on May 27, 2009.
An Individual Water Sales Contract may be amended with the written concurrence of San Francisco and the Wholesale Customer that is party to it pursuant to Section 2.03.D of the Water Supply Agreement.
Wholesale Customer Service Areas
Section 3.03.A of the Water Supply Agreement provides that each of the Individual Water Sales Contracts described in Section 9.01 will contain, as an exhibit, a map of the Wholesale Customer’s service area. A Wholesale Customer may not deliver water furnished to it by San Francisco outside the boundary of its
service area without the prior written consent of San
Francisco, except for deliveries to another Wholesale Customer on an emergency and temporary basis. Redwood City’s current service area map is included as Exhibit A to the Redwood City Contrac t. Cal Water’s current service area maps for its Bear Gulch District and Bayshore District, respectively, are included as Exhibit A -1 and Exhibit A -2 to the Cal Water Contract.
Section 3.03.E of the Water Supply Agreement provides that two or more Wholesale Customers may agree to adjust the boundaries of their respective service areas so that one assumes an obligation to serve customers in an area that was previously within the service area of another Wholesale Customer.
Such adjustments require only the consent of San
Francisco and the
Wholesale Customers involved, so long as the Supply Assurance and the Individual Supply Guarantees of other Wholesale Customers are not affected.
Service area boundary adjustments that would result in the expansion of any Cal Water service areas are subject to the requirements of Section 9.02.D of the Water Supply Agreement , which limits t
he total quantity of water
delivered by San Francisco to Cal Water to not in any calendar year exceed 47,400 acre feet.
2023 Agreement Between Redwood City and Cal Water To Transfer Certain Service Obligations
In a letter dated February 17, 2023, Cal Water notified the SFPUC that it Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City, Cal Water Commission Meeting Date: June 27, 2023
intended to acquire from Redwood City the obligation to serve seven customers located on Godetia Drive in Woodside, California, from Redwood City, pursuant to Section 3.03.E of the Water Supply Agreement . Redwood City and Cal Water informed the SFPUC that all affected customers agreed to the proposed transfer, which would enhance reliability of service and fire protection, given Cal Water’s recent installation of a new, larger water main along Godetia Drive. Both Redwood City and Cal Water subsequently provided the SFPUC with new maps illustrating the proposed adjustments to the boundaries of their respective ser vice areas, as currently shown in Attachment A of the Redwood City Contract and Attachment A-1 of the Cal Water Contract, which would effectuate the transfer of the Godetia Drive customers from Redwood City to Cal Water, and additional information requested by the SFPUC to inform its decision whether to consent to the proposed adjustments.
Cal Water Acquisition of Skyline County Water District
Section 9.02.D of the Water Supply Agreement provides, in part, that the SFPUC anticipated approving, before the July 1, 2009 effective date of the Water Supply Agreement, the expansion of Cal Water’s then-existing service area to include the then -existing service area of the Skyline County Water Dis
trict (Skyline) following the California Public Utilities Commission’s September 18, 2008 approval of Cal Water’s acquisition of Skyline. On April 28, 2009, by Commission Resolution No. 09-700, the SFPUC authorized the General Manager to amend Cal Water’s Individual Water Supply Contract to reflect the assignment of Skyline’s interests, including Skyline’s service area, to Cal Water upon the effective date of Cal Water’s acquisition of Skyline.
The SFPUC and Cal Water have not to date amended the Bear Gulch Service Area Map included in the Cal Water Contract as Exhibit A -1 to reflect Cal Water’s acquisition of Skyline.
Wholesale Customer Interties
Consistent with Section 9.01 of the Water Supply Agreement, the Redwood City Contract includes, as Exhibit C, a list of Redwood City’s interties with other water systems, and the Cal Water Contract includes, as Exhibit C-1 and Exhibit C -2, respectively, a list of Cal Water’s interties with other water systems for its Bear Gulch District and its Bayshore District. Both Redwood City and Cal Water have notified the SFPUC that they have updates to these exhibits.
Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City, Cal Water Commission Meeting Date: June 27, 2023
Description of
Amendments:
Proposed Amendments to Redwood City Contract
The SFPUC and Redwood City propose to amend the Redwood City Contract, in accordance with Water Supply Agreement Section 2.03.D, in two respects:
(1) To replace existing Exhibit A with new Exhibit A -1, which adjusts Redwood City’s service area boundary to reflect the transfer of water utility service for seven customers along Godetia Drive in Woodside, California, from Redwood City to Cal Water .
(2) To replace existing Exhibit C with new Exhibit C -1, which updates the list of Redwood City’s interties with other water systems.
Proposed Amendments to Cal Water Contract
The SFPUC and Cal Water propose to amend the Redwood City Contract, in accordance with
Water Supply Agreement Section 2.03.D, in three
respects:
(1) To replace existing Exhibit A-1 with new Exhibit A-1-1, which adjusts Cal Water’s service area boundary for its Bear Gulch District to reflect both: (a) the transfer of water utility service for seven customers along Godetia Drive in Woodside, California, from Redwood City to Cal Water, and (b) Cal Water’s acquisition of the Skyline County Water District
.
(2) To replace existing Exhibit C-1 with new Exhibit C-1-1, which updates the list of Cal Water ’s interties with other water systems within Cal Water’s Bear Gulch District.
(3) To replace existing Exhibit C-2 with new Exhibit C-2-1, which updates the list of Cal Water ’s interties with other water systems within Cal Water’s Bayshore District.
Result of
Inaction:
If the proposed amendments to the Redwood City Contract and Cal Water Contract are not approved, Redwood City and Cal Water will not be able to transfer the seven customers along Godetia Drive in Woodside, California, from Redwood City to Cal Water . In addition, the contracts will not accurately reflect the lists of interties that Redwood City and Cal Water have with other water systems.
Budget & Costs: The proposed amendments will have no financial impact to SFPUC funds or Budget.
Schedule: The proposed amendments will take effect following approval by this Commission and Redwood City and Cal Water.
Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City, Cal Water Commission Meeting Date: June 27, 2023
Environmental
Review:
Amendments to the Water Supply Agreement would result in new service connections for seven customers.
On May 22, 2023, the City of Redwood City determined that adjusting Redwood City’s service area boundary, which includes the construction of new service connections, to be categorically exempt from environmental review under Californi a Environmental Quality Act (CEQA) Guidelines section 15303, Class 3 (New Construction or Conversion of Small Structures). The exemption determination (as detailed in a staff report to the Redwood City C ouncil and Redwood City C ouncil minutes) can be found here:
