MEMORANDUM

Date: July 7, 2023

To: Tedman Lee, SFPUC

From: Michelle Kassatly, Contract Compliance Officer, CMD

Subject: PRO.0085.C PUC As-Needed HCIP Eng SVC

The San Francisco Public Utilities Commission (“SFPUC”) has requested an amendment for the above referenced contract by increasing the contract amount by $1,000,000 for a total agreement amount of $5,500,000. Per the SFPUC, the scope of work for Modification No.1 is “to increase the contract by $1,000,000, to continue providing engineering services for the San Francisco Public Utilities Commission Capital Improvement Projects in the Hetch Hetchy Region and other related projects, on an as-needed basis, increasing the total not-to-exceed contract amount to $5,500,000 with no change to the duration of the contract.”

LBE Subconsulting Participation
The Micro/Small LBE subconsulting participation requirement established for this contract is 12%. The Micro/Small-LBE subconsulting participation requirement applies to the entire contract including any amendments, change orders and amendments. The Micro/Small-LBE participation reflected on the Proposer’s, Stantec AGS JV, CMD Form 2A at the time of proposal is as follows:

7 As of June 8, 2023, Stantec AGS JV invoiced $ 2,970,916. The Micro/Small-LBE participation achieved by Stantec AGS JV is as follows:

Pursuant to communications with Stantec AGS JV and the SFPUC, and due to the as-needed nature of this contract, the scopes of work for Achievement Engineering Corp, Bay Area Coating Consultants, BioMaAS, Inc., Freyer & Laureta Inc., Galen-CM, Inc., and McGovern McDonald Engineers “have not arisen.” Moreover, the SFPUC is “not extending the contract duration. The contract will expire 6/30/2024 so by the time the amendment is completed, we will have less than a year remaining. It is unlikely that we would want to start new tasks with such little time left because it would be difficult to complete these tasks prior to contract expiration.” However, if there are other new modifications in the future, which will provide plentiful subcontracting opportunities for LBEs, Stantec AGS JV is required in good faith to offer the work to the LBEs first, and this may make the originally committed LBE percentages possible to achieve again.

Stantec AGS JV is required to make good faith efforts to utilize LBEs for any scope of work, or portions thereof, which can reasonably be subcontracted out throughout the life of the contract.

Stantec AGS JV confirmed that it will remain committed to assigning work that may arise from future task orders to its original listed LBE subconsultants. Stantec AGS JV informed the CMD that it anticipates meeting its 12.00% Micro/Small LBE commitment, as follows:

Additionally, as a recipient of the 7.5% Joint Venture/LBE Rating Bonus, AGS, Inc. (“AGS”), as the LBE JV Partner is to perform 40% of the total joint venture work. As of June 8, 2023, Stantec AGS JV invoiced to SFPUC, $ 2,970,916; and the LBE joint venture participation to date is as follows:

Going forward, SFPUC staff and Stantec AGS JV will obtain CMD approval for each subconsultant addition and LBE substitution according to established procedures. Additionally, in order to ensure compliance with the LBE ordinance and requirements, the SFPUC and Stantec AGS JV must notify CMD of any changes to the scope of work as well as any changes to information provided to CMD. Contingent on the conditions set forth above, CMD approves the subject modification.
