PUBLIC UTILITIES COMMISSION
City and County of San Francisco

RESOLUTION NO.

WHEREAS, The San Francisco Public Utilities Commission (SFPUC) has the “exclusive charge of the construction, management, supervision, maintenance, extension, expansion, operation, use and control of all water, clean water and energy supplies and utilities of the City as well as the real, personal and financial assets, that are under the Commission’s jurisdiction or assigned to the Commission . . .” (San Francisco Charter § 8B.121(a).); and WHEREAS, The General Manager is the department head of the SFPUC, with responsibility for the administration and management of the operations, personnel, and assets under the jurisdiction of the SFPUC; and
WHEREAS, This Commission nominated, and the Mayor appointed, Dennis J. Herrera to serve as General Manager effective November 1, 2021; and WHEREAS, On September 28, 2021, by Resolution No. 2100149, this Commission authorized the Commission President to execute the employment contract between the SFPUC and Dennis J. Herrera; now, therefore, be it
RESOLVED, That this Commission hereby authorizes the Commission President to execute an amendment to the employment contract to replace paragraph 4, Compensation & Benefits, subparagraph (a), with a new paragraph 4(a) to provide substantially in the form as follows:

Effective January 1, 2024 (or as soon after such date as administratively practicable), Herrera’s annual base salary shall be the equivalent of the mid-range of 0965 Department Head V, Range C, in the Memorandum of Understanding (“MOU”) between the City and the Municipal Executive’s Association (“MEA”), July 1, 2019 – June 30, 2022 (revised per Amendment #1) (“2022 MEA MOU”), and successor MEA MOU agreements, calculated as follows: The top of Range C minus 50% of the difference between the top and bottom of Range C. [For example, if the top of Range C were $100,000 and the bottom of Range C were $50,000, then Herrera’s base salary would be $75,000]. Consistent with paragraph 119 of the 2022 MEA MOU (and any successor MOU), Herrera will receive any base wage increase at the same time and at the same rate as other 0965 Department Head V Range C executives.

I hereby certify that the foregoing resolution was adopted by the Public Utilities Commission at its meeting of January 23, 2024.

Secretary, Public Utilities Commission
