Approve the novation of Contract No. PUC-0002.C, Master As-Needed Security System Maintenance and Integration Services from Ojo Technology, Inc., to DG Investment Intermediate Holdings 2, Inc., DBA Convergint Technologies LLC.
Background: On June 27, 2023, by Resolution No. 23-0131, this Commi ssion awarded Contract No. PUC-0002.C Master As-Needed Security System Maintenance and Integration Services to Ojo Technology, Inc., (Ojo) to provide security system inspection, maintenance, testing, and repair services on an if and as-needed basis.
In December 2023, Ojo informed the SF PUC that Convergint has acquired Ojo and requested that Ojo’s rights, responsibilitie s and obligations unde r Contract No. PUC-0002.C be novated to Convergint.
Under the terms of the Novation Agreement, Assignor and Assignee warrant and agree that:
• The novation will not result in any changes in personnel perform ing the work or any di sruptions or delays of the work under the C ontract or any change in price or duration; and
• The insurance as required under the original Contract will provid e continuous coverage for the entire Contract duration of all Contract obligations from award through Final Completion and extendi ng to provide coverage during the applicable warranty period and for any latent defects in the work discovered after Final Completion.

No work will commence u nder this contract until the proposed work is reviewed and an y appropriate environmental review under the CEQA, if required, has been completed.

RESOLUTION NO.
WHEREAS, The San Francisco Public Utilitie s Co mmission (SFPUC) requires construction services to furn ish, install, repair, replace, integrate, and maintain functionality of security surveillance and access control equipment throughout the organization; and WHEREAS, On June 27, 2023, by Resolution No. 23-0131 this C ommission awarded Contract No. PUC-0002.C Master As- Needed Security System Maintenance and Integration Services to Ojo Technology Inc; and
WHEREAS, Ojo Technology, Inc. (Ojo) requested to novate its rights, responsibil ities and obligations under Contract No. PUC-0002.C Master As- Needed Security System Maintenance and Integration Services to DG Investment Intermediate Holid ings 2, Inc., DBA Convergint Technologies LLC (Convergint); and
WHEREAS, Under the terms and conditions of the Novation Agreement, Contract PUC- 0002.C Master As-Needed Security System Maintenance an d Integration Services shall remain in full force and effect; and
WHEREAS, Under the ter ms and condi tions of the Novation Agreement, Ojo and Convergint warrant that: (1) the novation will not result in any changes in personnel performing the work or any disruptions or delays of th e project or any change in the Contract price or duration; and (2) the insurance required under the original Contract will provide continuous coverage for the entire dur ation of all Contract obligations from award through Final Completion and extending to provide coverage during the applicable wa rranty period and for any latent defects in the work discovered after Final Completion; and WHEREAS, Contract Monitoring Division waived the Local Business Enterpri se subcontracting participation requirement for this Contract; and WHEREAS, This as-needed contract does not constitute a “project” under the C alifornia Environmental Quality Act (CE QA) Guidelines Section 15378 because it does not involve commitment to any specific project that may result in a physica l change in the environment; and no w ork will commence under this contract until the proposed wor k is reviewed and any appropriate environmental review under the CEQA, if required, has been completed; and WHEREAS, Funds are available from operating, progra mmatic, and/or capital budgets from SFPUC enterprises and divisions; now, therefore, be it RESOLVED, That this Commission hereby approve s the novation of Contract PUC- 0002.C Master As-Needed Security System Maintenance and Integration Servi ces from Ojo to Convergint, whereby Convergint shall assume all of Ojo ’s rights, responsibilities, and obligations under the C ontract, and authorizes the General Manager to negotiat e and execute a Novation Agreement by and between Ojo , Convergint, and the San Fr ancisco Pub lic Utilitie s Commission, in a form approved by the City Attorney.
