Approve the novation of Contract No. PUC-0002.F, Master As-Needed Security System Maintenance and Integration Services from Universal Protection Security Systems, Limited Partnership DBA Allied Universal Technology Services , to Securadyne Systems Intermediate, LLC DBA Allied Universal Technology Services.
Background: The San Francisco Public Utilities Commission (SFPUC) requires services t o furnish, install, repair, replace, integrate , and maintain func tionality of s ecurity surveillance and access control equipment throughout the organization.
On June 27, 2023, by Resolution No. 23- 0131, this Commission awarded Contract No. PUC-0002.F Master As-Needed Security System Maintenance and Integration Services to Universal Protection Security Systems, Limited Partnership DBA Allied Universal Technology Services to provide security system inspection, main tenance, testing, and repa ir services on an if and as - needed basis.
In March 2024, Dennis Raefield, Regional Vice President, informed the SF PUC of the firm’s name change and requested that all rights, r esponsibilities and obligations under Contract No. PUC- 0002.F be novated to Securadyne Systems Intermediate, LLC DBA Allied Universal Technology Services.
Under the terms of the Novation Agreement, Assignor and Assignee warrant and agree that:
• The novation will not result in any changes in personnel perform ing the work or any di sruptions or delays of the work under the C ontract or any change in price or duration; and
• The insurance as required under the original Contract will provid e continuous coverage for the entire C ontract duration of all Contract obligations from award through Final Completion and extendi ng to provide coverage during the applicable warranty period and for any latent defects in the work discovered after Final Completion.

Review:
This as-needed contrac t does not constitute a “project” und er the California Environmental Quality Act (CEQA) Guidelines s ection 15378 because it does not involve com mitment to any specific project that may result in a physical change in the environment. The SFPUC will not authorize the contrac tor to commence any work under this contract until the proposed work is reviewed and any appropriate envir onmental review under the C EQA, if requir ed, has been completed.

WHEREAS, The San Francisco Public Utilitie s Co mmission (SFPUC) requires construction services t o furnish, install, rep air, replace, integra te, and maintain functionality of security surveillance and access control equipment throughout the organization; and WHEREAS, On June 27, 2023, by Resolution No. 23-0131, this Commission awarded Contract No. PUC-0002.F Master As- Needed Security System Maint enance and Integrat ion Services to Universal Protection Security Systems, Limited Partnership DBA Allied Universal Technology Services; and
WHEREAS, Universal Protection Security Systems, Limited Partnership DBA Allied Universal T echnology Services (Univeral Protectio n Security Systems ) requested to novate its rights, responsibil ities and obligations under Contract No. PUC-0002.F Master As- Needed Security System Main tenance and Integration Services to Securadyne Systems Intermedia te, LLC DBA Allied Universal Technology Services (Securadyne Systems Intermediate); and WHEREAS, Under the terms and conditions of the Novation Agreement, Contract PUC- 0002.F Master As-Needed Security System Maintenance an d Integration Services shall remain in full force and e ffect and Univeral Protectio n Security Systems and Securadyne Systems Intermediate warrant that : (1) the nova tion will not result in a ny changes i n pe rsonnel performing the work or any disruptions or delays of th e project or any change in the Contract price or duration; and (2) the insurance required under the original Contract will provide continuous coverage for the entire duration of all Contract obligations from award through Final Completion and extending to provide coverage during the applicable wa rranty period and for any latent defects in the work discovered after Final Completion; and WHEREAS, Contract Monitoring Division waived the Local B usiness Enterpris e subcontracting participation requirement for this Contract; and WHEREAS, This as-needed contract does not constitute a “project” under the C alifornia Environmental Quality Act (CE QA) Guidelines s ection 15378 because it does not i nvolve commitment to any specific project that may result in a ph ysical change in the environment; and the SFPUC will not authorize the contractor to commence any work under this contract until the proposed wor k is re viewed and any appropriate environmental re view under the CEQA, if required, has been completed; and
WHEREAS, Funds are available from operating, progra mmatic, and/or capital budgets from SFPUC enterprises and divisions; now, therefore, be it
RESOLVED, That this Commission hereby approves th e novation of Contract PUC-0002.F Master As-Needed Security System Maintenance and Integration Servic es from Univeral Protection Security Systems to Securadyne Systems Intermediate, whereby Securadyne Systems Intermediate sh all assume all of Univeral Protection Security Systems’s rights, responsibilities, and obligations under the Contract.
