AGENDA ITEM
Public Utilities Commission

Calendar: Regular Calendar
Project Manager: Deputy General Manager Ronald P. Flynn

Adopt Policy for Certain Delegations to the General Manager and Commission Calendar Instructions to Supersede Earlier Delegations

Summary of Proposed
Commission Action:

Adopt policy (1) delegating authority to the General Manager to award and amend certain types of contracts, grants, leases, and other agreements and (2) establishing instructions for which types of Commission actions on contracts, grants, leases, and other agreements will be heard on the Commission’s c onsent calendar or the r egular calendar, which policy shall supersede and replace in full earlier delegations and instructions.

Background: Under San Francisco Charter Section 8B.121(a), t he San Francisco Public Utilities Commission (SFPUC) has “exclusive charge of the construction, management, supervision, maintenance, extension, expansion, operation, use and control of all water, clean water and energy supplied and utilities of the city as well as the real, personal and financial assets, that are under the Commission’s jurisdiction or assigned to the Commission under Section 4.132.” Under Charter Sections 4.126 and 8B.121, the duly appointed General Ma nager is responsible for the administration and management of the department.

On January 27, 2009, by Resolution No. 09- 0017, this Commission adopted a policy for certain delegations to the General Manager (2009 delegation).

On January 13, 2015, by Resolution No. 15- 0013, t his Commission adopted the Real Estate Guidelines that included various delegations (2015 guidelines).

These policies facilitate the business of the department by identifying various types of transactions and level of authority required for action.

Additionally, t he instructions for calendar designation allow s the Commission to prioritize matters on its public agenda by focusing on items involving critical policy objectives for the SFPUC and other
significant matters for th e department . The instructions allow less Agenda Title: Adopt Policy for Certain Delegations to the General Manager and Commission Calendar Instructions to Supersede Earlier Delegations

significant items to be addressed either as consent calendar items or by the General Manager.

Both the 2009 delegation and the 2015 guidelines are outdated as laws have changed, such as the adoption of Administra tive Code Section

21.43 Power Purchases and Chapter 21G Grants.

Scope of Delegation and
Calendar Instructions:

The proposed delegations and calendar instructions are set forth in the attached (Attachment A) [Proposed] Matrix of Statutory Approval Authorities, Commission Delegations to General Manager, Commission Calendar Instructions, and Board of Supervisors Approval Requirements (Matrix).

This action will supersede all previous delegations that are covered by the matters specified in the Matrix, including but not limited to the delegations under Resolution Nos. 09-0017 and 15-0013.

The main differences between the proposed Matrix and the 2009 delegation and the 2015 guidelines include:
• Reorganization of the Matrix to reflect progressive approvals from General Manager for ease of reference;
• Added citations to statutory authorities for ease of reference; • Emergency Declarations: Consistent with Administrative Code Chapter 6 and Chapter 21, added statutory references for General Manager authority and moved Commission approval for
emergencies over $250,000 (construction) or $100,000 (commodity purchase) from the consent to the regular calendar;
• Removed Commission action for advertisement of design -build contracts and rejection of bids/readvertisement consistent with Administrative Code Chapter 6;
• Added grant programs, grants, and amendment of individual grants under Administrative Code Chapter 21G (adopted 2021);
• Added authorities for memoranda of understanding with other City and County of San Francisco departments and with non- City and County of San Francisco government entities;
• Added Power Purchases and Sales under Administrative Code Section 21.43 (adopted in 2022); and
• Added real estate matters that reflect the practice of the department.

The Matrix includes the same reporting requirements as the 2009 delegation (see Attachment A, Note 1).

Funding and Costs: There are no costs associated with this action.

Schedule: If adopted, the policy will be effective immediately.

Environmental Review: This action does not constitute a “project” under the California Environmental Quality Act (CEQA) Guidelines section 15378(b)(5) because the proposed policy is an o rganizational or administrative activity of the government and will not result in direct or indirect physical changes in the environment. Individual applications for contracts, grants, leas es, and other agreements would be subject to environmental review under the CEQA, if required, prior to issuance of any agreement or lease in compliance with the proposed policy.

Matrix of Commission Delegations to General Manager, Commission Calendar Instruction, and Board of Supervisors Approval Requi rements Page 6 of 6 Effective [DATE] (Commission Resolution No. https://sfwps.sharepoint.com/sites/app_aiwf/shared documents/12902/1290218367-2024_delegation_matrix.docx[XXXXXXXXXXXXXXX])

NOTES:

1. The General Manager shall issue a quarterly report of all actions taken under the Commission delegation set forth in this matrix except the power transactions under Admin Code § 21.43, which have prescribed reporting requirements.

2. Agenda items may be moved to/from the Consent Calendar or Regular Calendar at the discretion of the General Manager in consultation with the Commission President or at the request of a Commissioner.

3. In furtherance of the Competitive Selection Process Restricted Communications Policy (Resolution No. 21-0022), the SFPUC Contract Administration Bureau shall maintain a Contract Advertisement Report (CAR), issued to all Commissioners through the communications section of the Commission meeting agenda. The CAR list all contract solicitations, rejections, rebids, and cancellations for contracts in excess of the Threshold Amount (Administrative Code sections 6.1 and 21.1).

4. Please consult with the City Attorney’s Office for any question about the interpretation or application of the Administrative Code or Charter.

5. The Threshold Amount and the Minimum Competitive Amount are set by the Controller and posted at Chap 6 and 21 - Thresholds & Minimum Competitive Amount COLA Adjustments Memo - 20191230 v6 final.pdf (sfcontroller.org)

6. For contract or grant amendments/modifications [non-real estate transactions], once a threshold has been reached, the method of approval remains the same for all future amendments unless the next approval level is required.

7. Fair market value for real property: Fair market value may be determined by appraisal where appropriate, but otherwise will account for comparable rents, limitations on secondary uses due to the presence of SFPUC facilities (including preventing damage to SFPUC facilities and maintaining access), and constraints posed by existing third-party rights.

8. Real property rights: The General Manager has authority to consent to third party work within the scope of existing rights (e.g., easements held on SFPUC property or work by the fee owner where the SFPUC holds an easement).

9. Competitive process for leases: Much of the SFPUC’s rentable property is only reasonably usable by adjacent property owners or for government or public utility purposes and most agreements to use SFPUC property arise out of third-party requests rather than the SFPUC soliciting bids. Common reasons are (1) a lack of easy access, (2) reserved rights held by adjacent owners, (3) locations in non-commercial areas, and (4) limited compatible uses for operational property. The Commission finds that competitive bidding is unlikely to elicit multiple bids under these conditions and if the proposed agreement is within the authority delegated to the General Manager, competitive bidding is impractical and not required. For concessions or uses of SFPUC property that may be revenue-generating or are otherwise unconstrained by (1)-(4) above, competitive bidding is encouraged.

10. Rent credits (or similar credits under leases, licenses, permits): The General Manager is authorized to issue all rent credits as necessary or appropriate in the administration of any lease, license, or permit agreement.

For example, the General Manager may issue rent credits to a tenant or licensee when the subject property is unavailable due to SFPUC operations or capital projects so long as the rent credit does not involve an extension of the duration beyond nine years on a term-limited agreement.
