Approve Amendment No. 1 to modify the scholarship program procedures in the Wu Yee Children’s Services Childcare Lease at the Southeast Community Center in San Francisco
Summary of
Proposed
Commission Action:
Approve the terms and conditions of Amendment No. 1 to the Childcare Lease dated October 28, 2021 with Wu Yee Children’s Services, a California nonprofit public benefit corporation for the childcare facility at the Southeast Community Center, to modify the scholarship program procedures.
Background: The City and C ounty of San Francisco (City) owns certain real pro perty at 1550 Evans Avenue, San Francisco , under the juri sdiction of the San Francisco Public Utilities Commis sion (SF PUC), known as the S outheast Community Center (SECC).
The SFPUC operates the SE CC, which provides prog ramming in part to mitigate the environmental and social impa cts of t he SFP UC’s Southeast Treatment Plant’s expansion in the 1970s and 1980s . SECC programming is for the benefit first of the residents of the Bayview-Hunters Point community and surround ing District 10 neighborhoods, and then the greater San Francisco community.
On November 23, 2021, by Resolution No. 21- 0179, this Commission awarded a lease (Lease) to Wu Yee Children ’s Services , a Califo rnia nonprofit public benefi t corporation (Tenant) to operate a childcare facility on the first floor of the SECC.
The SFPUC seeks authority to ente r into a lease amendment to modify the scholarship program terms and procedures of the Lease.
In lieu of paying monetary rent to the SFPUC under the Lease, Tenant must distribute scholarships to qualifying families ear ning between 85% and 150% of the State of California’s Median Income. The annual scho larship amount to be distributed equals $124,000 for the first year of the Lease t erm, with four percent annual increases thereafter (Scholarship Monies).
Due in lar ge part to recent increases in City, state, and federal funding for childcare subsidies and changes to qualifying income thres holds, families that otherwise may have qualified for Scholarship Moni es were able to receive free tuition. Consequently, Tenant did not distribute the full amount of Scholarship Monies in the first and second years of the Lease term.
Agreement: Approve Amendment No. 1 to the Wu Yee Children’s Services Childcare Lease Commission Meeting Date: October 22, 2024
The SFPUC and Tenant have negotiated an amendment to the Lease ( Lease Amendment), subject to approval by this Commission, to improve the procedures governing the Scholarship Monies , ensure that they are properly distributed, and if not di stributed are retained as rent by the SFPUC . The Lease Amendmen t: (1) require s Tenant to pay to City an annual deposit equal to the s um of the Schola rship Monies to secure Tenant’s obligation to provide the Sc holarship Monies; (2) allows City to retain any undistributed Scholarship Monies; (3) requires Tenant to pay to City $232,557, which is the total undistributed Scholarship Monies for the first and second years of the Lease; (4) modifies Tenant’s reporti ng r equirements to better track Tenant’s efforts to market and distribute t he Scholarship Monies; (5) revises the qualifying Scholarship Monies income thresholds to better reflect the current childcare subsid y en vironment and improve the efficacy of the Scholarship Monies, based upon SFPUC staff consultat ions with the City’s Department of Early Childhood; and (6) specif ies the pertinent residency boundaries.
Budget & Costs: Tenant will pay to Cit y an amount equal to $232,557 as rent for undistributed Scholarship Monies from the fir st and second lease y ears. City will retain as rent any subsequent undistributed Scholarship Monies during the remainder of the Lease term.

1 AMENDMENT NO. 1 TO CHILDCARE LEASE
Wu Yee Children’s Services
SFPUC Lease No. L4531
This AMENDMENT NO. 1 TO LEASE (“Amendment”), dated as of August 28, 2028, for reference purposes (“Reference Date”), is made by and between the CITY AND COUNTY OF SAN FRANCISCO , a municipal corporation (“ City”), acting by and through its PUBLIC UTILITIES COMMISSION (“SFPUC”), and WU YEE CHILDREN’S SERVICES, a California nonprofit public benefit corporation (“ Tenant”). Capitalized terms not otherwise defined in this Amendment shall have the meanings as set forth in the Lease.
RECITALS
A. City and Tenant are parties to that certain Childcare Lease dated October 28, 2021, designated by the SFPUC as Lease No. L4531 (the “Lease”). Under the Lease, Tenant may use a portion of the first floor of the Southeast Community Center at 1550 Evans Avenue in San Francisco, California consisting of approximately 5,398 square feet of interior space designated as Suite 130, plus approximately 8,798 square feet of an outdoor play yard (“Premises”) to operate a childcare facility.
B. Under Section 27.3 of the Lease, Tenant must provide non-monetary consideration for Tenant’s use of the Premises to City by distributing Scholarship Monies (as hereinafter defined) to qualifying families earning between eighty-five percent (85%) and one hundred fifty percent (150%) of the State of California’s Median Income ( “State Median Income Threshold” ). The annual Scholarship Monies amount is equal to $124,000 for the first lease year of the Term with four percent (4%) annual increases thereafter.
C. Tenant acknowledged to City that Tenant did not distribute the full amount of Scholarship Monies for the first year of the Term because of, among other reasons, an increase in City, state, and federal income thresholds and funding for childcare subsidies . The increased subsidies resulted in free childcare facility tuition for families who may have otherwise qualified for Scholarship Monies.
D. City and Tenant desire to amend the Lease, among other reasons, to (1) specify the residency boundaries of the Bayview-Hunters Point Community; (2) revise the income thresholds for the Scholarship Monies from the State Median Income Threshold to the Area Median Income Threshold (as defined in Section 1.C. below); (3) require Tenant to pay to City an annual deposit equal to the sum of the Scholarship Monies to secure Tenant’s obligation to provide the Scholarship Monies; (4) allow City to retain any undistributed Scholarship Monies ; (5) require Tenant to pay to City the amount equal to the undistributed Scholarship Monies for the first and second years of the Lease; and (6) modify Tenant’s reporting requirements.
E. The Parties now desire to amend the Lease on the terms and conditions as set forth in this Amendment.
