Approve the Fourth Amendment to the California Water Service Company Individual Water Sales Contract

Summary of Proposed
Commission Action:

Approve the expansion of the California Water Service Company (Cal Water) Bear Gulch District service area due to the City of Menlo Park’s transfer to Cal Water of the service obligation for the County of San Mateo’s Flood Park; and approve the Fourth Amendment to the Individual Water Sales Contract between the City and County of San Francisco (San Francisco) and Cal Water, to adjust the boundaries of the service area where Cal Water may use or sell water delivered by San Francisco, in accordance with section 3.03.E of the 2021 Amended and Restated Water Supply Agreement.

This action constitutes the Approval Action for the Project for the purposes of the California Environmental Quality Act (CEQA), pursuant to San Francisco Administrative Code section 31.04(h). The Planning Department has determined that the Project is exempt from the CEQA. The Commission will rely on that determination to make its decision on this action.

Background: Water Supply Agreement
On April 28, 2009, by Resolution No. 09-0069, this Commission approved the Water Supply Agreement between San Francisco, by and through its Public Utilities Commission (SFPUC), and Wholesale Customers in Alameda County, San Mateo County, and Santa Clara County, pursuant to which San Francisco sells potable
water to 26 wholesale customers,
including Cal Water and the City of Menlo Park (Menlo Park). On January 26, 2021, by Resolution No. 21-0009, the Commission approved the 2021 Amended and Restated Water Supply Agreement, which was subsequently approved by the governing bodies of each W holesale C
ustomer and
executed by all parties to the Water Supply Agreement as of January 2023.

Individual Water Sales Contracts
Section 9.01 of the Water Supply Agreement require d each Wholesale Customer to enter into a new individual water sales contract with San Francisco. The individual water sales contracts describe the service area Agenda Title: Approve the Fourth Amendment to the California Water Service Company Individual Water Sales Contract Commission Meeting Date: February 25, 2025

of each Wholesale Customer; identify the location and size of connections between the Regional Water System and the Wholesale Customer, as well as interconnections with neighboring water systems ; and may include provisions unique to the particular W holesale Customer. An individual water sales contract may be amended with the written concurrence of San Francisco and the W holesale Customer that is party to it under Section

2.03.D of the Water Supply Agreement.

On July 1, 2009, San Francisco and Cal Water entered into an individual water sales contract
(Cal Water Contract), as authorized by SFPUC
Commission Resolution No. 09- 0069, dated April 28, 2009, and the Cal Water Board of Directors on May 27, 2009.

On July 1, 2009, San Francisco and Menlo Park entered into an individual water sales contract (Menlo Park Contract), as authorized by SFPUC Commission Resolution No. 09- 0069, dated April 28, 2009, and Menlo Park City Council Resolution No. 5856, dated May 19, 2009.

Wholesale Customer Service Areas
Section 3.03.A of the Water Supply Agreement provides that each of the individual water sales contracts described in Section 9.01 will contain, as an exhibit, a map of the Wholesale Customer’s service area. A Wholesale Customer may not deliver water furnished to it by San Francisco outside the boundary of its service area without the prior written c onsent of San Francisco, except for deliveries to another Wholesale Customer on an emergency and temporary basis. Cal Water’s current service area maps for its Bear Gulch District and Bayshore District, respectively, are included as Exhibit A-1-3 and Exhibit A-2 to the Cal Water Contract.

Section 3.03.E of the Water Supply Agreement provides that two or more Wholesale Customers may agree to adjust the boundaries of their respective service areas so that one assumes an obligation to serve customers in an area that was previously within the service area of another Wholesale Customer. Such adjustments require only the consent of San Francisco and the Wholesale Customers involved, so long as the Supply Assurance and the Individual Supply Guarantees of other Wholesale Customers are not affected.

Due to Cal Water’s status as an investor-owned utility and the requirement that Hetch Hetchy water be sold only to publicly owned utilities in section 6 of the 1913 Raker Act (38 Stat. 242), section 9.02.A of the Water Supply Agreement provides that the total quantity of water delivered by San Francisco to Cal Water cannot exceed 47,400-acre feet per year, which is the estimated average annual production of water from the SFPUC’s Peninsula and Alameda Creek Watershed sources. The a verage annual supply of wa ter from the SFPUC’s local system reservoirs exceeds Cal Agenda Title: Approve the Fourth Amendment to the California Water Service Company Individual Water Sales Contract Commission Meeting Date: February 25, 2025

Page 3 ends

Water’s current Individual Supply Guarantee of 35.68 million gallons per day. The available supply of water from SFPUC local watersheds is sufficient to supply Cal Water. The small additional demand of Flood Park (approximately 21,500 cubic feet per year, or 0.493-acre feet per year) that Menlo Park proposes to transfer to Cal Water’s service area, as described below, will not exceed Cal Water’s Individual Supply Guarantee.

The County of San Mateo’s Flood Park (Flood Park)
Flood Park is a 21 -acre recreational area in unincorporated Menlo Park that is owned by San Mateo County and provided water service by the Menlo Park Municipal Water District (MPMWD). San Mateo County is in the process of designing new and improved facilities for Flood Park, and Menlo Park has determined that it cannot provide the necessary water connections to currently unserved areas of Flood Park that would require water service with the proposed design,
due to the SFPUC water line
easement that runs through a portion of the property. Cal Water, however, has water mains adjacent to the property on the opposite sides from MPMWD’s wate r mains, and it would be able to serve the planned improvements and the property as a whole.

In a letter dated July 16, 2024, Cal Water notified the SFPUC of its intent to assume Menlo Park’s service obligations to Flood Park and adjust the service area boundaries between Cal Water and Menlo Park under Section

3.03.E of the WSA. On September 9, 2024, San Mateo County, Cal Water, and Menlo Park entered into an agreement to enable the transfer of Flood Park’s water service from MPMWD to Cal Water. The transfer will provide the property with enhanced reliability of service and fire protection through one 4- inch domestic service, one 4 -inch irrigation service, and one 8-inch fire service from Cal Water’s existing main on Bay Road. All expenses will be funded by San Mateo County. On November 19, 2024, the California Public Utilities Commission approved Cal Water’s Advice Letter No. 2534, dated September 27, 2024, allowing Cal Water to incorporate Flood Park within its Bear Gulch District service area.

Over the last three years, Flood Park’s average annual consumption has been 21,500 cubic feet per year, or 0.493-acre feet per year. It is possible that the planned improvements may increase the park’s demand, but the future consumption is currently unknown.

Description of
Amendments:

First Amendment to the Cal Water Contract
On June 27, 2023, by Resolution No. 23-0140, this Commission approved the First Amendment to the Cal Water Contract. The First Amendment authorized Cal Water to take over seven residential water customers within the City of Redwood City’s service area, with corresponding adjustments to the Cal Water and Redwood City service area maps appended to their Agenda Title: Approve the Fourth Amendment to the California Water Service Company Individual Water Sales Contract Commission Meeting Date: February 25, 2025

Individual Water Sales Contracts. The First Amendment also revised Cal Water’s Bear Gulch district service area map to include the service area of the former Skyline County Water District as required by Water Supply Agreement section 9.02.D and authorized on April 28, 2009 by Commission Resolution No. 09-0070.

Second Amendment to the Cal Water Contract
On October 10, 2023, by Resolution No. 23- 0191, this Commission approved the Second Amendment to the Cal Water Contract. The Second Amendment: (1) adjusted Cal Water’s Bear Gulch District service area map to reflect Cal Water’s acquisition of the former Skylonda Mutual Water Company (Skylonda) service area; (2) restricted any further expansion of the Skylonda service area; and (3) required Cal Water to rehabilitate, maintain, and operate the Skylonda local sources of supply, with water from the Regional Water System delivered only as a supplement to local supplies formerly used by Skylonda when not available due to drought or emergency conditions.

Third Amendment to the Cal Water Contract
On March 26, 2024, by Resolution No. 24- 0075, this Commission approved the Third Amendment to the Cal Water Contract. The Third Amendment: (1) adjusted Cal Water’s Bear Gulch District service area map to reflect Cal Water’s acquisition of the former Kings Mountain Park Mutual Water Company (Kings Mountain) service area; (2) restricted any further expansion of the Kings Mountain service area; and (3) required Cal Water to rehabilitate, maintain , and operate the Kings Mountain local sources of supply, with water from the Regional Water System delivered only as a supplement to local supplies formerly used by Kings Mountain when not available due to drought or emergency conditions.

Proposed Fourth Amendment to the Cal Water Contract
The proposed Fourth Amendment to the Cal Water Contract , which is included as Attachment 1 to this staff report, would adjust Cal Water’s Bear Gulch District service area map to reflect Cal Water and Menlo Park’s agreement to adjust the boundaries of their respective service areas so that Cal Water assumes Menlo Park’s obligation to provide water service to Flood Pa rk. A separate, more detailed map of the proposed Flood Park addition is included as Attachment 2 to this staff report.

No Amendment to Menlo Park Contract
The service area map attached to the Menlo Park Contract does not reflect the fact that Menlo Park provides water service to Flood Park. Staff for both the SFPUC and Menlo Park believe this was a technical oversight at the time that the service area map was prepared, as Menlo Park confirms that (1) it has provided water service to Flood Park since at least the effective date of the Menlo Park Contract , and (2) it has no record of Agenda Title: Approve the Fourth Amendment to the California Water Service Company Individual Water Sales Contract Commission Meeting Date: February 25, 2025

Page 5 ends

another water supplier ever providing water service to Flood Park and then transferring that water service obligation to Menlo Park. Adjusting Cal Water’s Bear Gulch District service area map to encompass Flood Park will resolve this technical oversight, and no amendment is necessary for the Menlo Park Contract.

Budget & Costs: The proposed Fourth Amendment will have no financial impact to SFPUC funds or Budget.

Schedule: The proposed Fourth Amendment will take effect following approval by this Commission and Cal Water.

Environmental
Review:

On February 13, 2025, the San Francisco Planning Department determined the Project to be statutorily exempt from environmental review under the CEQA section 21080.21 and the CEQA Guidelines section 15282(k) (Case No. 2025-001255ENV) because the proposed water pipeline connection will be in the public right-of- way and will not exceed one mile in length.

The exemption determination can be found here: link.

This action constitutes the approval action for the Project for the purposes of the California Environmental Quality Act (CEQA), pursuant to San Francisco Administrative Code section 31.04(h).
