Approve the Second Amendment to the Individual Water Sales Contract with Redwood City

Summary of Proposed
Commission Action:

Approve the Second Amendment to the Individual Water Sales Contract between the City and County of San Francisco (San Francisco) and the City of Redwood City (Redwood City), to (1) adjust the boundaries of the service area where Redwood City may use or sell water delivered by San Francisco to reflect Redwood City’s agreement to take over water service obligations to 12 SFPUC retail customers located in the Redwood City sphere of influence and (2) modify the terms of Section 3 to address the relationship of that retail customer transfer on the SFPUC’s determination of excess use charges that Redwood City may be required to pay during times of mandatory rationing in a declared water shortage emergency, in accordance with Sections 2.03.D and 3.03.B of the 2021 Amended and Restated Water Supply Agreement.

Background: Water Supply Agreement and Individual Water Sales Contracts

On April 28, 2009, by Resolution No. 09- 0069, this Commission approved the Water Supply Agreement between San Francisco, by its Public Utilities Commission (SFPUC), and Wholesale Customers in Alameda County, San Mateo County, and Santa Clara County (2009 WSA), pursuant to which San Francisco sells potable water to 26 Wholesale Customers, including Redwood City and the California Water Service Company (Cal Water). On January 26, 2021, by Resolution No. 21-0009, the Commission approved the 2021 Amended and Restated Water Supply Agreement (2021 WSA or WSA), which was subsequently approved by the governing bodies of each Wholesale Customer and executed by all parties as of January 2023.

Pursuant to Section 9.01 of the WSA , each of the Wholesale Customers entered into a new Individual Water Sales Contract with San Francisco concurrently with its approval of the 2009 WSA. The Individual Water Sales Contracts describe the service area of each Wholesale Customer; identify the location and size of connections between the Regional Water System and the Wholesale Customer’s distribution system , as well as interconnections with neighboring water systems; and may include special provisions unique to the particular Wholesale Customer . An Individual Water Sales Contract may be amended with the written concurrence of San Francisco and the Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City Commission Meeting Date: May 13, 2025

Wholesale Customer that is party to it pursuant to Section 2.03.D of the WSA.

Section 3.03.A of the WSA provides that each of the Individual Water Sales Contracts will contain, as an exhibit, a map of the Wholesale Customer’s service area. A Wholesale Customer may not deliver water furnished to it by San Francisco outside the boundary of its service area without the prior written consent of San Francisco, except for deliveries to another Wholesale Customer on an emergency and temporary basis . A Wholesale Customer may expand its service area with the consent of San Francisco pursuant to Section 3.03.B of the WSA, and two or more Wholesale Customers may agree to adjust the boundaries of their respective service areas so that one assumes an obli
gation to serve customers in an area that was previously within the service area of another Wholesale Customer.

Redwood City Individual Water Sales Contract

On July 1, 2009, San Francisco and Redwood City entered into an Individual Water Sales Contract (Redwood City Contract), as authorized by SFPUC Commission Resolution No. 09- 0069, dated April 28, 2009, and Redwood City Resolution No. 14949, dated June 23, 2009.

On June 27, 2023, San Francisco and Redwood City entered into the First Amendment to the Redwood City Contract, as authorized by SFPUC Commission Resolution No. 23-0140, dated June 27, 2023, and by the City Council of Redwood City on May 22, 2023. The First Amendment adjusted Redwood City’s service area boundary as shown on the new map designated as Exhibit A -1,
to reflect Redwood City’s agreement with Cal Water to
transfer water service for seven customers located on Godetia Drive in Woodside, California, from Redwood City to Cal Water , pursuant to WSA Section 3.03.E. The First Amendment also revised the list of Redwood City’s interties with other water systems as shown on new Exhibit C-1.

WSA Section 8.06 and SFPUC Rules and Regulations

Section 8.06 of the WSA provides that the sale and delivery of all water under the WSA shall be subject to the SFPUC’s Rules and Regulations Governing Water Service to Customers (Rules), established by Commission Resolution No. 19.786, dated December 15, 1959, and amended from time to time, as the Rules are applicable to the sale and delivery of water to the Wholesale Customers, reasonable, and not inconsistent with the WSA or an Individual Water Sales Contract.

Section A, Rule 6 of the Rules provides, in part, that the SFPUC may, within its discretion, provide service to individual retail customers located outside of the limits of the City and County of San Francisco that are also located outside of areas served
by the Wholesale Customers’ local distribution
systems until such time as those retail customers’ properties are included within the area served by one of the Wholesale Customers, which desires Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City Commission Meeting Date: May 13, 2025

and is able to provide such service, or until such time as it is no longer feasible for the SFPUC to continue to provide such service.

SFPUC Retail Customers in Unincorporated San Mateo County

The SFPUC provides retail water service to select customers outside San Francisco pursuant to Section A, Rule 6 of the Rules. In unincorporated San Mateo County, 85 residential
customers currently have direct retail
connections to the SFPUC’s large diameter (60 -inches and larger) Bay Division Pipelines Nos. 1, 2, 3, and 4. The Bay Division Pipelines deliver high volumes of water to the Wholesale Customers, as well as to San Francisco, for ultimate distribution to the SFPUC’s retail customers in the City. These large regional transmission pipelines are not intended for small retail customer connections for water service. The SFPUC, however, agreed to provide direct retail water service from the Bay Division Pipelines to a number of residential properties, pursuant to Sect ion A, Rule 6, in the
decades following the pipelines’ construction when the nearby retail water systems
of the SFPUC’s Wholesale Customers (such as Cal Water and Redwood City) were not yet developed or accessible for those properties.

Continuing to serve the 85 residential customers directly creates operational challenges for the SFPUC , as the customers rely exclusively on the Bay Division Pipelines for domestic and fire water service. Should the SFPUC need to shut down the Bay Division Pipelines for standard maintenance and repair, or in emergency situations , these customers have no backup water connection to serve their properties.

SFPUC Effort to Transfer SFPUC Retail Customers in Unincorporated San Mateo County to Wholesale Customers

For several decades, the SFPUC has sought solutions to the operational challenges of serving its retail customers in unincorporated San Mateo County. Since 2022, the SFPUC, Redwood City, and Cal Water have had focused discussions and collaborated on a study to determine how to transfer the SFPUC’s 85 customers to one of the more appropriate retail water systems in the area.

Twelve of the 85 customers are located in the Redwood City sphere of influence in and around Emerald Hills, California. Ten of those 12 customers are located within Redwood City’s existing service area boundary, shown on Exhibit A -1 of the Redwood City Contract, as amended. The SFPUC provided its prior written consent for Redwood City to serve the other two customers, pursuant to Section 3 of the Redwood City Contract, as amended, in a letter to Redwood City dated February 3, 2025.

Pursuant to Section A, Rule 6 of the Rules, Section 3 of the Redwood City Contract, and the SFPUC’s consent, Redwood City has agreed to take over the SFPUC’s water service obligations to those 12 individual retail customers, providing water service to those customers directly from the Redwood City water distribution system. The SFPUC has agreed that it will Agreement: Authorize Amendments to the Individual Water Sales Contracts of Redwood City Commission Meeting Date: May 13, 2025

not include the de minimis demands of those customers in its calculation of Redwood City’s total annual purchases from the SFPUC when determining the excess use charges that Redwood City may be required to pay during times of mandatory rationing in a declared water shortage emergency under the Water Shortage Allocation Plan set forth in WSA Attachment H.

Description of
Amendments:

Proposed Amendments to Redwood City Contract

The SFPUC and Redwood City propose to amend the Redwood City Contract in two respects, in accordance with WSA Sections 2.03.D and

3.03.B:

(1) To replace existing Exhibit A-1 with new Exhibit A-2, which adjusts Redwood City’s service area boundary to reflect to Redwood City’s agreement to take over water service obligations for 12 SFPUC retail customers located in the Redwood City sphere of influence in and around Emerald Hills, California.

(2) To modify the terms of Section 3 of the Contract to provide that San Francisco will not include the de minimis demands of those 12 customers in its calculation of Redwood City’s total annual purchases from the SFPUC when determining the excess use charges that Redwood City may be required to pay during times of mandatory rationing in a declared water shortage emergency under the Water Shortage Allocation Plan set forth in WSA Attachment H.

Environmental
Review:

Approval of the Second Amendment to the Individual Water Sales Contract with Redwood City to adjust the boundaries of the service area does not constitute a “project” under the California Environmental Quality Act (CEQA) Guidelines s ection 15378(a) because there would be no physical change in the environment, and because the action is an organizational or administrative activity under CEQA Guidelines section 15378(b)(5).

NOW, THEREFORE, San Francisco and Redwood City agree as follows:

Article 1 Definitions

The following definitions shall apply to this Second Amendment:

1.1 Contract. The term “Contract” shall mean the Individual Water Sales Contract dated July 1, 2009 between San Francisco and Redwood City, as amended by the First Amendment to that Contract dated June 27, 2023.
3 of 7

1.2 Other Terms. Terms used and not defined in this Second Amendment shall have the meanings assigned to such terms in the Contract.

Article 2 Modifications to the Contract

The Contract is hereby modified as follows:

2.1 Service Area. Section 3 of the Contract, entitled “Service Area,” currently reads as follows:

Water delivered by San Francisco to the Customer may be used or sold within the service area shown on the map designated Exhibit A-1 attached hereto. Except as provided in Section

3.03 of the WSA, Customer shall not deliver or sell any water provided by San Francisco outside of this area without the prior written consent of the General Manager of the SFPUC.

Such section 3 is hereby amended in its entirety to read as follows:

Water delivered by San Francisco to the Customer may be used or sold within the service area shown on the map designated Exhibit A-2 attached hereto. Except as provided in Section

3.03 of the WSA, Customer shall not deliver or sell any water provided by San Francisco outside of this area without the prior written consent of the General Manager of the SFPUC.

The 12 individual retail customers listed below, who are located within the Customer’s service area, became retail customers of the Customer, rather than retail customers of the SFPUC, in Fiscal Year 2025-26, pursuant to Section A, Rule 6 of the SFPUC’s Rules and Regulations Governing Water to Customers and the SFPUC’s consent. San Francisco will not include the de minimis demands of these 12 retail customers in its calculation of the Customer’s total annual purchases from San Francisco when determining the excess use charges that the Customer may be required to pay during times of mandatory rationing in a declared water shortage emergency pursuant to Section 4 of the Tier 1 Shortage Plan (WSA Attachment H). In order to assist San Francisco with this calculation, the Customer shall send San Francisco a letter, by July 10 of every year during times of mandatory rationing, verifying the Customer’s total water deliveries to the 12 retail customers individually and collectively during the preceding fiscal year (July 1 to June 30). The letter shall be addressed to the General Manager of the SFPUC and signed by the Customer’s City Manager or the City Manager’s designee. If the Customer does not send San Francisco the letter as provided in this Section 3, San Francisco may require that the Customer pay excess use charges based on the Customer’s total annual purchases from San Francisco without considering the portion of those purchases that comprises deliveries to these 12 retail customers.
