MEMORANDUM
Date: August 13, 2025
To: Amelia Clark, SFPUC
From: Jason Chow, CMD
Subject: PRO.0188.A As-Needed Technical and Specialized Services, Water Enterprise CMD Amendment #1 (SFPUC’s Amendment #2) Review
SFPUC has requested to modify the above referenced contract by $2,500,000.00 for a total contract agreement amount of not-to-exceed $7,500,000.00 with no change to the contract duration. This request is to perform short-term, highly specialized work on an as-needed basis related to the operations and management of the SFPUC Water Enterprise covering the following service areas: Water supply services, Water quality services, Water treatment services, Natural resources services, Management improvement services, Asset management services, Land management services, Security and emergency response services, Environmental and regulatory compliance services, Health and safety services, and Customer-related analytical services.
LBE Joint Venture Partner Participation Commitment:
At the time of award, KJ/ATS JV received a 7.5% rating bonus because the proposed joint venture included 40% in prime level participation by ATS, the LBE joint venture partner. This commitment applies to the entire contract, including any amendments.
The breakdown of the to-date achieved/projected to be achieved prime level work by the joint venture KJ/ATS JV is as follows:
JV Partners JV Commitment JV Participation To-Date Projected JV Participation— Including Amendment #1
KJ (Non-LBE)
60% $1,324,146.00 92.79% $2,989,420.00 58.74%
ATS (LBE) 40% $102,939.00 7.21% $2,100,000.00 41.26%
TOTAL: $1,427,085.00 100.00% $5,089,420.00 100.00%
Based on the information provided by KJ/ATS JV, they plan to exceed their LBE JV participation commitment percentage for the overall contract (see table above). However, the LBE JV partner’s participation to-date is less than the 40% commitment. As such, CMD will continue to closely monitor the JV participation on this contract. That said, CMD reminded the JV, that the LBE JV partner

participation commitment of 40% will need to be achieved at the end. If not, then CMD, potentially can impose sanctions—KJ/ATS JV acknowledged the importance of this matter.1

Pursuant to communication between AECOM/WRE JV and the SFPUC, due to the As-Needed nature of this contract, some of the listed LBE subconsultants have not yet been utilized to date, this is because the LBE scopes of services have not yet been requested by the SFPUC. Due to said circumstances, CMD followed-up with AECOM/WRE JV and, the JV acknowledged its commitment to meeting its original overall commitment percentage from time of proposal for the entire contract— will remain committed to assigning work to its listed LBE subcontractors and continue to look for opportunities to utilize LBEs on its task orders.
5 That said (also for the entire contract), AECOM/WRE JV does anticipate some of its listed LBE firms will not receive its original listed percentage commitment from time of proposal based on how the task or- ders have been trending. As such, the JV reallocated the projected LBE participation for some of its listed LBE firms accordingly.
Further, in good faith, the JV added four (4) LBE firms onto its team to increase its overall LBE participation (as referenced in footnote)
Based on the foregoing and taking into consideration the proposed increase and the original contract amount, AECOM/WRE JV foresees it will meet its original overall LBE subconsulting participation commitment of 20.25% with the following:
