DEPARTMENT Real Estate Services Division AGENDA NO. 8 MEETING DATE October 28, 2025

AGENDA ITEM
Public Utilities Commission
City and County of San Francisco
Calendar: Regular Calendar
Real Estate Director: Rosanna Russell

Approve the Negotiated Purchase of Approximately 41.14 Acres of Real Property Located at 10115 Moccasin Switchback Road, in the Unincorporated Town of Moccasin in Tuolumne County

Summary of Proposed
Commission Action:

Approve the terms and conditions and authorize the General Manager to execute a purchase and sale agreement and associated exhibits for the acquisition of an approximat ely 41.14- acre property located at 10115 Moccasin Switchback Road , in the unincorporated T own of Moccasin in Tuolumne County. The property is improved with an approximately 1,616- square-foot vacant modular dwelling unit. The negotiated $525,000 purchase price includes a $105,000 deposit to be credited against the negotiated purchase price, plus associated closing costs. If approved by this Commission, the acquisition is expected to occur on or before February 16, 2026. This action constitutes the Approval Action for the Project for the purposes of the California Environmental Quality Act (CEQA), pursuant to San Francisco Administrative Code section 31.04(h). The Planning Department has determined that the Project is exempt from the CEQA. The Commission will rely on that determination to make its decision on this action.

Background: The San Francisco Public Utilities Commission (SFPUC or Buyer) has long been interested in potentially acquiring the approximately 41.14-acre parcel in Tuolumne County, located at 10115 Moccasin Switchback Road, in the unincorporated Town of Moccasin and designated as Assessor’s Parcel No. 065-160-018 (Property). Until earlier this year, the Property had never been available for sale but recently the SFPUC was contacted by Cathy L. Davis, as Successor Trustee of the William A. McElwaine Revocable Trust, dated November 2, 2004 (Seller), regarding a potential purchase of the Property by the SFPUC. The Property is identified as a strategic land acquisition by the SFPUC, with some known immediate benefits and future ones that have not yet been specifically identified or detailed.

The most immediate benefit is that City’s ownership of the Property would enable the SFPUC to better protect, secure, and maintain its existing assets, initially installed and maintained under easement rights, including the water conveyance system and overhead power transmission lines. The ongoing security of SFPUC assets is a critical objective of the federal Protected Critical Infrastructure Information Program. Acquiring the Property would also improve the SFPUC’s access to the SFPUC’s Moccasin Penstocks, the Moccasin Power Tunnel, the Surge Shaft, and other facilities (collectively referred to as the Facilities) located within the Property. Acquiring the Agenda Title: Approve Acquisition of Fee Property located in the town of Moccasin within Tuolumne County Commission Meeting Date: October 28, 2025

Page 2 ends

Property would also enhance the SFPUC’s access rights to maintain, repair, and improve critical existing access roads and points of ingress and egress.

Regarding future benefits, owning the Property in fee would provide the SFPUC with greater flexibility in the planning and design of critical capital projects and improvements. The Property could also potentially serve as a resource for alternative emergency ingress and egress for the Town of Moccasin. Note that any future project, improvement, or new use of the Property post-acquisition would be subject to its own unique, discretionary environmental review and be subject to applicable zoning and laws.

Since discussing the potential acquisition of the Property with the Seller earlier this year, the SFPUC , in consultation with the Office of the City Attorney where applicable, has (i) negotiated the purchase and sale agreement and associated exhibits ( collectively, the Purchase and Sale Agreement); (ii) received a satisfactory Phase 1 environmental assessment; (iii) reviewed and satisfied itself with any title concerns or exceptions from a preliminary title report; ( iv) obtained an appraisal of the Property, which valued the Property at $500,000; (v) determined that when combining the appraised value with the utility system benefits listed above including the assemblage value with existing SFPUC assets on the Property, the benefit to the SFPUC is greater than or equal to ,
the negotiated purchase price of
$525,000; and (vi) prepared a draft survey of record to be recor ded as part of the SFPUC’s acquisition.

Environmental
Review:

On October 7, 2025, the San Francisco Planning Department determined the Project to be categorically exempt from environmental review under the CEQA Guidelines section 15301, Class 1 (Existing Facilities) under Case No. 2025- 009149ENV. The exemption determ
ination can be found here:

This action constitutes the Approval Action for the Project for the purposes of the CEQA, pursuant to San Francisco Administrative Code section

31.04(h).

Budget & Costs: Buyer will pay the negotiated Purchase Price plus all typical closing costs, including title insurance, title research, recording costs, escrow fees, and other customary expenses necessary to close the transaction and acquire the Property. Within 30 days of the date the SFPUC executes the Purchase Agreement, the SFPUC will deposit $105,000 (Deposit) into escrow, to be credited against the negotiated Purchase Price. If the sale of the Property is not consummated due to a City default, t he Deposit will become non- refundable and payable to the Seller.

If a Phase II report is required, City may require an extension of the Due Diligence Period for additional physical inspection.

(l) Title Company will have agreed to be the real estate reporting person for the Closing in compliance with the Reporting Requirements as defined in Section 6.7[Title Company as Real Estate Reporting Person] below.

The Conditions Precedent contained in the foregoing Subsections (a) through (k) are solely for the benefit of City. If any Condition Precedent is not satisfied, City will have the right in its sole discretion either to waive in writing the Condition Precedent in question and proceed with the purchase or, in t he alternative, terminate this Agreement, provided that the Conditions Precedent described in items (h) and (i) above may not be waived. The waiver of any Condition Precedent will not relieve Seller of any liability or obligation with respect to any representation, Docusign Envelope ID: B3195099-2733-4B52-837E-B5CEC4FD5B57 6 McElwaine Property – Execution Copy

warranty, covenant, or agreement of Seller. If City will not have approved or waived in writing all of the Conditions Precedent in item (i) by December 31, 2025 , then this Agreement will automatically terminate. In addition, the Closing Date may be extended, at City ’s option, for a reasonable period of time specified by City, to allow such Conditions Precedent to be satisfied, subject to City ’s further right to terminate this Agreement upon the expiration of the period of any such extension if all such Conditions Precedent have not been satisfied.
