• The SFPUC approved implementation of the Regional Groundwater Storage and Recovery Project ("Project") on August 12, 2014
• The Project is based on in-lieu storage of groundwater and was developed in corporation with the SFPUC’s Partner Agencies:
• Daly City
• San Bruno and
• Cal Water (Water provider for South San Francisco)
• The Project is part of the Water System Improvement Project and would allow SFPUC jointly manage the south westside groundwater basin 2 Project Background Continued

Requirement for Partner Agency
Wells
• The GSR Operating Agreement requires all partner agencies to operate new Project wells installed by SFPUC within their respective service areas. • SFPUC has installed or is in the process of installing project wells in Daly City and South San Francisco.
• SFPUC has been unable to install any wells in San Bruno. • SFPUC was unable to come to agreement with the Veteran’s Administration to install wells in the Golden Gate National Cemetery
• SFPUC had been unable to come to agreement with the City of San Bruno on an alternative location for the project wells.
• In lieu of SFPUC construction, SFPUC and San Bruno have proposed use of the new Acapella Well (SB-21) as a Shared Facility and RGSR Project well

5 Project Operation
• During normal and wet years, SFPUC provides additional regional system water to the partners
• This allows them to pump less groundwater and increase storage in the basin
• During dry years San Bruno would operate SB-21 as a Project Well similar to other Partners in accordance with the RGSR Operating Agreement
• This will allow the SFPUC to extract previously stored In-Lieu water and recover its share of costs of prior In Lieu deliveries to San Bruno.
Proposed Facilities and Agreement
• The new well (SB-21) will be constructed by San Bruno with SFPUC contributing approximately 38% of capital construction costs
• San Bruno has completed Phase I construction; which entailed well installation.
• Phase II will entail construction of associated treatment facilities and a conveyance pipeline (currently in design)
• This Memorandum of Agreement would Authorize San Bruno and SFPUC to operate SB-21 as a Shared Facility and Project well during drought conditions and emergencies consistent with the RGSR Operating Agreement

Summary of Proposed
Commission Action:
Authorize the General Manager to execute a Memorandum of Agreement with the City of San Bruno to establish the operational rules for San Bruno ’s new Acapella Well No. 21 as a Shared Facility as defined under the terms of the Operating Agreement for the Regional Groundwater Storage and Recovery Project , dated August 12, 2014.
Background: On August 12, 2014, by R esolution No. 14 -0127, th is Commission approved the implementation of the Regional Groundwater Storage and Recovery Project (Project), which is one of the key water supply projects in the San Francisco Public Utilities Commission (SFPUC) Water System Improvement Program. The Project also involves as partner agencies three of the SFPUC’s wholesale water customers: the City of Daly City, the City of San Bruno, and California Water Service Company. The Project allows for the storage of water in the South Westside Groundwater Basin aquifer through the SFPUC’s delivery of additional surface water from its Regional Water System to the partner agencies in wet and normal years in lieu of the partner agencies pumping groundwater.
The Project will allow the SFPUC to conjunctively manage the South Westside Groundwater Basin, increase dry -year and emergency pumping capacity, provide a new dry- year groundwater supply, and increase water supply reliability. The Project will also provide drinking water for emergency supply in the event of an earthquake or other major catastrophe for the benefit of the Regional Water System.
On August 12, 2014, by Resolution No. 14-0127, the Commission also authorized the approval of an agreement related to the Project entitled “Agreement for Groundwater Storage and Recovery from the Southern Portion of the Westside Basin by and among the San Francisco Public Utilities Commission, the City of San Bruno, the City of Daly City, and California Water Service Company” (Operating Agreement). The capitalized terms in this agenda item are defined in the Operating Agreement.

The Operating Agreement requires all partner agencies , including the City of San Bruno (San Bruno), to operate new Project wells installed by the SFPUC within their respective service areas for delivery of water to their retail customers. To date, the SFPUC has completed, or is in the process of completing, the construction of four new Project wells and their connections to the City of Daly City water system and the California Water Service Company’s City of South San Francisco water system, in accordance with the Operating Agreement.
The SFPUC has been unable to conclude negotiations with the United States Department of Veterans Affairs to construct two other proposed Project Wells in San Bruno on the grounds of the Golden Gate National Cemetery, or to find a suitable alternative location in San Bruno for a Project well.
In lieu of the SFPUC constructing a new Project well in San Bruno, the SFPUC and San Bruno have proposed use of the newly
constructed Acapella Well No. 21 (SB-21), in the San Bruno Southern portion of the Westside Groundwater Basin, which San Bruno would own and operate as a Shared Facility under the terms of the Operating Agreement. During dry years, San Bruno would operate Well SB-21 for Project purposes to extract previously stored In Lieu water from the SFPUC Storage Account . To date, the SFPUC has delivered 13,893 acre feet of In Lieu water from the Regional Water System to San Bruno at no cos t, in accordance with the terms of the Operating Agreement. Operation of Well SB-21 as a Shared Facility will allow the SFPUC to recover a portion of the cost of prior In
Lieu water
deliveries to San Bruno through the metered delivery of water pumped by Well SB -21 during Recovery Periods .
During normal and wet
years, San Bruno would operate Well SB-21 along with its remaining municipal supply wells to produce its designated groundwater quantities, consistent with the Operating Agreement.
The proposed Memorandum of Agreement ( MOA) memorializes the parameters that the SFPUC and San Bruno have agreed to for the operation of Well SB-21 as a Shared Facility, consistent with the terms of the Operating Agreement.
As of the date of this Commission action, San Bruno has completed Phase 1 of the installation of W ell SB -
21 including the well and
casing. SFPUC staff plans to present to the Commission for approval at another meeting a separate cost reimbursement agreement for funding the SFPUC’s share of Well SB-21’s Phase 1 capital costs. San Bruno is currently developing 35% design and anticipates completing Phase 2 of the installation of Well SB -21, consisting of the well structure, treatment facilities and connection to San Bruno’s water distribution system, in 2027 . SFPUC staff expects to present to the Agreement: Authorize Memorandum of Agreement with City of San Bruno Setting Operational Rules for San Bruno’s New Acapella Well No. 21 as a Shared Facility for the Regional Groundwater Storage and Recovery Project Commission Meeting Date: March 10, 2026
Commission for approval a second cost reimbursement agreement for funding the SFPUC’s share of Well SB -21’s Phase 2 capital costs at a future date, as well.

Agreement:
If approved, the proposed MOA will establish the operating rules for San Bruno Well SB -21 as a Shared Facility under the terms of the Operating Agreement.
Parties to Agreement: The City of San Bruno and the SFPUC Purpose: The MOA sets forth operational rules
agreed to by both parties for new Well SB-
21 as a S hared Facility, consistent with the
terms of the Operating Agreement.

Budget & Costs: There is no cost associated with the proposed MOA. In another action, at a later date, SFPUC staff will present to the Commission for approval proposed agreement s, under which the SFPUC will reimburse San Bruno for a share of the Well SB-21 Phase 1 and 2 construction costs. SFPUC staff currently expects the SFPUC’s share of Phase I construction costs will total $368,000.
Schedule: The proposed MOA would be in place for the life of the Project in accordance with the term provision of the Operating Agreement.
Environmental
Review:
On October 30, 2008, the San Francisco Planning Commission certified the Final Program Environmental Impact Report (Program EIR) (Case No. 2005.0159E) for the Water System Improvement Program (WSIP), prepared pursuant to the California Environmental Quality Act (CEQA).
On October 30, 2008, by Resolution No. 08- 0200, this Commission approved the WSIP and adopted the CEQA F indings and a Mitigation Monitoring and Reporting Program, as required by the CEQA.
On August 7, 2014, the San Francisco Planning Commission certified the Final Environmental Impact Report (Final EIR) for the Regional Groundwater Storage and Recovery Project (Project) (Case No. 2008.1396E), which is tiered from the Program EIR.
On August 12, 2014, by Resolution No. 14- 0127, this Commission approved the Project and adopted the CEQA Findings and a Mitigation Monitoring and Reporting Program, as required by the Agreement: Authorize Memorandum of Agreement with City of San Bruno Setting Operational Rules for San Bruno’s New Acapella Well No. 21 as a Shared Facility for the Regional Groundwater Storage and Recovery Project Commission Meeting Date: March 10, 2026
CEQA, and authorized the approval of the Operating Agreement with the partner agencies for wells installed by the Project.
On February 18, 2026, the San Francisco Planning Department issued a Note to File to the Final EIR, determining that no additional environmental review was needed to modify the Project to forgo installation of the two originally planned Project wells in San Bruno and instead operate San Bruno’s Well SB-21 as a Shared Facility.

WHEREAS, On August 12, 2014, by Resolution No. 14- 0127, the SFPUC also authorized the approval of an agreement related to the Project entitled “Agreement for Groundwater Storage and Recovery from the Southern Portion of the Westside Basin by and Among the San Francisco Public Utilities Commission, the City of Daly City , the City of San Bruno, and California Water Service Company” (Operating Agreement); and

WHEREAS, This Commission has reviewed and considered the information contained in the Program EIR, Final EIR and Note to File, the CEQA Findings and the Mitigation Monitoring and Reporting Program, and all written and oral information provided by the San Francisco Planning Department, the public, relevant public agencies, SFPUC staff and other experts, and the administrative files for the Project; and
WHEREAS, In accordance with the terms of the Operating Agreement, the SFPUC has delivered 13,893 acre feet of In Lieu water from the Regional Water System to San Bruno at no cost during prior Storage Periods, and the operation of the proposed Well SB -21 as a Shared Facility will allow the SFPUC to recover a portion of the cost of prior In Lieu water deliveries to San Bruno through the metered delivery of water pumped by Well SB -21 during Recovery Periods; and

RESOLVED, That this Commission has reviewed and considered the Program EIR, Final EIR, and Note to File to the Final EIR , and the record as a whole, and finds that the Program EIR, Final EIR, and Note to File to the Final EIR are adequate for its use as the decision–making body for the Project, and incorporates the CEQA Findings in Resolution No. 08- 0200 and the CEQA Findings in Resolution No. 14- 0127 by reference thereto as though set forth in these resolutions; and, be it,
FURTHER RESOLVED, That t his Commission further finds that since the Program EIR, Final EIR, and Note to File to the Final EIR were finalized, there have been no substantial Project changes and no substantial changes in Project circumstances that would require major revisions to them due to the involvement of new significant environmental effects or an increase in the severity of previously identified significant impacts, and there is no new information of substantial importance that would change the conclusions set forth in them; and, be it,
FURTHER RESOLVED, That this Commission hereby authorizes the General Manager to execute a Memorandum of Agreement with the City of San Bruno to establish the operational rules for San Bruno Acapella Well No. 21 ( SB-21) as a Shared Facility as defined under the terms of the Operati ng Agreement for the Regional Groundwater Storage and Recovery Project, dated August 12, 2014.

THIS Memorandum of Agreement ("MOA") is entered into this __ day of ___________, 2026, by and between the City of San Bruno ("San Bruno") and the San Francisco Public Utilities Commission ("SFPUC") for the purpose of setting forth the Parties’ mutual understanding of the operational rules for San Bruno Well No. 21 (“SB-21”) as a Shared Facility under the terms of Operating Agreement for the Regional Groundwater Storage and Recovery Project.
WHEREAS, the SFPUC approved the implementation of the Regional Groundwater Storage and Recovery Project ("RGSR Project") on August 12, 2014 in Resolution No. 14-0127 following completion and certification of the RGSR Project environmental impact report under the California Environmental Quality Act by the San Francisco Planning Commission on August 7, 2014 in its Motion No. M-19209; and
WHEREAS, SFPUC Resolution No. 14-0127 and San Bruno Council resolution no. 2014-103 dated September 23, 2014 authorized the approval of an agreement entitled "Agreement for Groundwater Storage and Recovery from the Southern Portion of the Westside Basin by and Among the San Francisco Public Utilities Commission, the City of Daly City, the City of San Bruno, and California Water Service Company" ("Operating Agreement"); and
WHEREAS, the RGSR Project approved by the SFPUC in Resolution No. 14-0127 included the construction of two RGSR Project Wells in San Bruno located on the grounds of the Golden Gate National Cemetery, shown as well numbers 14 and 15 on Attachment C to the Operating Agreement, that would have been operated by San Bruno under license from the SFPUC; and
WHEREAS, the SFPUC has been unable to conclude negotiations with the United States Department of Veterans Affairs to construct the two Project Wells on National Cemetery grounds, or to find a suitable alternative location in San Bruno for a Project well; and
WHEREAS, in accordance with the terms of the Operating Agreement, the SFPUC has delivered 13,893 acre feet of In Lieu water from the Regional Water System to San Bruno at no cost during prior Storage Periods, and the operation of the proposed Well SB-21 as a Shared Facility will allow the SFPUC to recover a portion of the cost of prior In Lieu water deliveries to San Bruno through the metered delivery of water pumped by Well SB-21 during Recovery Periods; and
WHEREAS, San Bruno has proposed the construction of well SB-21 that would be owned and operated by San Bruno as a Shared Facility under the terms of the Operating Agreement, with the SFPUC contributing an agreed upon share of Project Capital Costs for the new well in proportion to the dry year water supply benefits provided to SFPUC retail and wholesale water customers from using the new well to extract previously stored In Lieu water from the SFPUC Storage Account; and

WHEREAS, section 9.1 of the Operating Agreement requires the SFPUC to pay proportional RGSR Project Capital Costs, which include construction and construction management costs related to the construction of SB-21 that are necessary for RGSR Project operation as a “Shared Facility” as defined in section 1.34 of the Operating Agreement; and
WHEREAS, San Bruno and the SFPUC wish to set forth their agreements regarding the rules for operating SB-21 as a Shared Facility;
NOW, THEREFORE, it is mutually agreed and understood as follows:
SECTION 1: AUTHORITY OF PARTIES
1.1 San Bruno is a California municipal corporation that delivers potable water to its retail customers in San Bruno’s water service area from (1) a network of Existing groundwater wells that extract water from the Westside Basin; and (2) imported wholesale water supplies purchased from the SFPUC Regional Water System.
1.2 The SFPUC is responsible for managing San Francisco's municipal utilities pursuant to the Charter of the City and County of San Francisco, including the Regional Water System.
SECTION 2: DEFINITIONS
2.1 “Designated Quantity” is defined in Operating Agreement sections 1.7, 4.5 and 4.5.3.
2.2 “Effective Date” refers to the date that the San Francisco Public Utilities Commission adopts a resolution approving this MOA following approval by the San Bruno City Council.
2.3 “Emergency” is defined in Operating Agreement section 1.8.
2.4 “Existing Facilities” is defined in Operating agreement section 1.9.
2.5 “Hold Period” is defined in Operating Agreement section 1.11.
2.6 “In Lieu Water” is defined in Operating Agreement section 1.12.
2.7 "Operating Agreement" refers to the agreement titled "Agreement for Groundwater Storage and Recovery from the Southern Portion of the Westside Basin by and Among the San Francisco Public Utilities Commission, the City of Daly City, the City of San Bruno, and California Water Service Company" authorized by SFPUC Resolution No. 14-0127 and San Bruno Council resolution no. 2014-103 dated September 23, 2014.
2.8 "Parties" means San Bruno and the SFPUC.
2.9 “Project Capital Costs” is defined in Operating Agreement section 1.24 and as used in this MOA refers to the SFPUC’s share of SB-21 Project capital costs.
2.10 “Project Operation and Maintenance Expenses” is defined in Operating Agreement section 1.26.

2.11 “Recovery Notice” is defined in Operating Agreement section 1.28.
2.12 “Recovery Period” is defined in Operating Agreement section 1.29.
2.13 "RGSR Project" refers to the SFPUC's Regional Groundwater Storage and Recovery Project.
2.14 "San Bruno" refers to the City of San Bruno.
2.15 “SB-21” refers to the proposed Project well on Commodore Drive in San Bruno that is shown on Attachment C to the Operating Agreement as an Existing Facility of San Bruno.
2.16 "SFPUC" or "San Francisco" means the San Francisco Public Utilities Commission.
2.17 “SFPUC Storage Account” is defined in Operating Agreement section 1.33.
2.18 “Shared Facility” is defined in Operating Agreement section 1.34.
2.19 “Shortage” is defined in Operating Agreement sections 5.1.1 and 5.1.2.
SECTION 3: CONSTRUCTION OF WELL SB-21; ALLOCATION OF PROJECT
CAPITAL AND OPERATING COSTS
3.1 Introduction; Operation of SB-21 as a Shared Facility Under the Operating Agreement.
San Bruno intends to install a new groundwater production well (SB-21) to replace its Existing Facility well SB-15. Initial evaluations indicate the new well would be up to 535 feet deep and produce up to 400 gallons per minute (gpm) or approximately 0.57 million gallons per day (mgd). The SFPUC is interested in funding a portion of SB-21 capital and operating costs in lieu of constructing an RGSR Project well in San Bruno, provided that the new well SB-21 can be operated as a Shared Facility in accordance with the terms of the Project Operating Agreement. The SFPUC’s share of SB-21 Capital Costs is based on the projected future use of well SB-21 for Project purposes as agreed to by San Bruno and the SFPUC. The parties’ construction funding agreements will include an attachment that incorporates the methodology for the allocation of SB-21 Capital Costs.
3.2 No Effect on Terms of Operating Agreement.
This MOA, and the related MOAs between San Bruno and the SFPUC for the funding of the SFPUC’s share of Capital Costs for San Bruno’s new well SB-21, incorporates the terms of the 2014 “Agreement for Groundwater Storage and Recovery from the Southern Portion of the Westside Basin by and among the San Francisco Public Utilities Commission, the City of Daly City, the City of San Bruno, and California Water Service Company” (“Operating Agreement).” In adopting this MOA and the related SB-21 construction funding agreements, San Bruno and the SFPUC do not intend to amend, modify, or override any of the existing terms, obligations, or requirements of the Participating Pumpers or the SFPUC as provided in the Operating Agreement.

3.3 Project Participants/ roles.
A. San Bruno. San Bruno will have the following responsibilities for the construction and operation of SB-21 as a Shared Facility.
1. Owner and operator of the new groundwater production well SB-21 as a Shared Facility.
2. Manager of project engineering, design, and construction of the new well SB-21, associated treatment facilities and required conveyance facilities.
3. Procurer and holder of all required permits for operation of the production well and associated water treatment assets.
4. Supplier of groundwater produced from SB-21 to its retail water customers in San Bruno, either as water pumped within San Bruno’s Designated Quantity during Hold and Storage Periods, or water pumped at the SFPUC’s direction during Recovery Periods as a withdrawal of previously stored In Lieu water from the SFPUC Storage Account.
B. SFPUC. The SFPUC will be a Shared Facility project beneficiary responsible for paying a share of Project Capital Costs and Project Operations and Maintenance Expenses based on water supply benefits of SB-21 to Regional Water System customers during Recovery Periods. These water supply benefits include dry year water supplies that benefit the SFPUC’s wholesale and retail water customers; Emergency water supplies, and the use of groundwater as a substitute for SFPUC surface water supplies during necessary maintenance and repair of the SFPUC Regional Water System.
3.4 Project Capital and Operating Costs.
SB 21 Capital Costs include all assets on the SB-21 well head site that are necessary for operation as a Shared Facility, up to and including the connection to the nearest San Bruno water system transmission main. Project Capital Costs do not include expenses incurred in the decommissioning and destruction of San Bruno’s Existing Facility known as well SB 15, which will be replaced by SB-21 as a Shared Facility.
A. Allocation of Project Capital Costs. Project Capital Costs will be allocated as follows, based on the operational parameters in section 5:
1. SFPUC. 38% of total SB-21 Capital Costs.
a. Exception: SFPUC would fund 100% of cost of flow meters and revenue meters that allow the SFPUC to bill San Bruno for water pumped from SB 21 during Recovery Years at the direction of the SFPUC.
2. San Bruno. 62% of total SB-21 Capital Costs.
3. Basis for capital cost allocation. The proposed cost share percentages are based on the estimated amount of time that SB-21 would be operated

by San Bruno during Storage and Hold periods for its sole benefit, and during Recovery Periods at SFPUC’s direction for Project purposes that benefit SFPUC Regional Water System customers.
a. The 38%/62% Capital Cost allocation ratio is based on the anticipated future Project operation and presented in the attached Table 1.
4. Staff costs. SFPUC and San Bruno would each fund their own staff time as an element of SB-21 Capital Costs.
B. Allocation of SB-21 Project Operation and Maintenance (O & M) Expenses. O & M expenses for SB-21 will be allocated in accordance with Operating Agreement section 9.2 based on the actual use of SB-21 during Storage, Hold, and Recovery periods:
1. SFPUC will reimburse 100% of San Bruno’s SB-21 O & M expenses during Recovery periods.
2. San Bruno will pay 100% of SB-21 O & M costs during Storage or Hold periods.
SECTION 4: SB-21 OPERATIONAL PARAMETERS, WATER ACCOUNTING, AND BILLING.
4.1 SB-21 Operational Parameters.
Operation of SB-21 shall be subject to the following operational parameters as a Shared Facility:
A. Storage and Hold Year Operation. San Bruno would have the discretion to operate SB-21 as necessary to supply its retail water customers, subject to the following principles in the Operating Agreement:
1. Total pumping of SB-21 and San Bruno’s Existing Facilities will not exceed San Bruno’s share of the Aggregate Designated Quantity as set forth in Operating Agreement section 4.5.
2. In accordance with Operating Agreement section 7.2, San Bruno would continue to maintain its Existing Facilities in a manner that allows for continued pumping of its Designated Quantity during a future Recovery Period declared by the SFPUC.
3. San Bruno would continue to maintain SB-21 as a Shared Facility so that the well is available for pumping from the SFPUC Storage Account during a future Recovery Period declared by the SFPUC.
B. Operation of SB-21 for Project Purposes Under Article 5 of the Operating Agreement. San Bruno will operate SB-21 during Shortages caused by drought in accordance with Operating Agreement section 5.1.1, and during Shortages caused by Emergencies, malfunctioning, or scheduled maintenance of the SFPUC System in accordance with Operating Agreement section 5.1.2. The

volume of water to be pumped from SB-21 by San Bruno during Shortages will be set forth in the terms of the Recovery Notice issued by the SFPUC, which will not exceed (1) an average rate of 400gpm (approximately 0.57mgd), or (2) the final well design flow rate, whichever is greater. In the alternative, San Bruno will operate SB-21 to pump an equivalent or lesser volume as may be authorized by the Operating Committee for the purpose of managing the SFPUC Storage Account under Operating Agreement sections 5.1.3 and 10.2.7.
4.2. Water Billing and Accounting.
A. Billing for Water Pumped from the SFPUC Storage Account Using SB-
21. SB-21 is a Shared Facility that will be owned and operated by San Bruno.
Recovery Period accounting for water pumped by San Bruno will be in accordance with Operating Agreement Article 6. Water pumped by San Bruno from SB-21 during Recovery Periods that is directed by SFPUC, or authorized by the Operating Committee for purposes of managing the SFPUC Storage Account, shall be considered pumping for Project purposes. All water produced from SB-21 during the Recovery Periods will be metered as a debit from the SFPUC Storage Account and billed to San Bruno at the established SFPUC Regional Water System Wholesale water rate. When the first Recovery notice is provided by the SFPUC, San Bruno will be entitled to pump 3,915 acre foot of water at no cost that was previously paid for by San Bruno under the Conjunctive Use Pilot Program referenced in Operating Agreement section 6.3.3. Pumping volumes that exceed 3,915 acre feet will thereafter be paid for by San Bruno at the established Wholesale Water rate.
B. Water pumped by San Bruno within its designated quantities during Storage and Hold Periods. Water pumped by San Bruno from SB-21 during Storage and Hold Periods that is within its Designated Quantity is not considered pumping for Project purposes, and such pumping will not be considered a withdrawal of water from the SFPUC Storage Account. Since SB-21 will not be idled during Storage and Hold Periods, there will be no debit to the SFPUC Storage Account for maintenance pumping authorized in Operating Agreement section 6.1.2.
4.3.Facilities Preventative Maintenance.
San Bruno will agree to perform all regular and preventative maintenance at SB-21 and associated facilities to ensure operational readiness for Project purposes during Recovery Periods.
A. Meter Maintenance. San Bruno will inspect, test, service and calibrate the SB-21 flow meter and associated revenue meter. Modified maintenance and calibration procedures for new or replaced equipment will conform to industry standards set forth in AWWA Manual M33, the applicable standards of the International Society of Automation, and will implement the manufacturer’s instructions for maintenance and calibration. San Bruno will provide the SFPUC

with advance written notice of any proposed changes to the SB-21 flow and revenue meters, together with a brief explanation of the reasons therefor and a description of the type of equipment modified or replaced.
4.4 Emergency Use.
San Bruno may utilize SB-21 to pump groundwater during local or regional Emergencies as described in section 8.9 of the Operating Agreement.
SECTION 5: LICENSE TO ACCESS SB-21 BILLING AND FLOW METER; DATA SHARING.
5.1 Access to Billing Meter.
San Bruno will grant SFPUC a license to access the SB-21 billing meter, as well as provide electronic access to SB-21 flowmeter data of all groundwater produced from SB- 21 for the purpose of accurate billing during Recovery years. Access requests would be made with a minimum of 14 days’ notice unless during emergency conditions, where such advance notice may not be possible, on terms consistent with the form license included as Attachment G to the Operating Agreement.
5.2 Data Sharing for Model Development and Basin Management Purposes.
San Bruno and SFPUC agree to continue to share pumping data from the new and existing production wells, groundwater levels from monitoring wells within the southern Westside Basin (including the newly installed Monitoring Wells 190, 270 and 450) for the purpose of improving the existing Westside Basin hydrogeologic conceptual model.
All groundwater pumping data including from SB-21 will continue to be provided to the SFPUC by San Bruno on a monthly basis in accordance with the Operating Agreement.
Water level data from monitoring wells will be shared on a quarterly basis. SFPUC will continue to share basin wide water level data collected as part of the Westside Basin Groundwater Monitoring Program on an annual basis and as requested.
SECTION 6: GENERAL PROVISIONS
6.1 Term.
The term of this MOA shall remain in force consistent with the term provisions of section
2.2 of the Operating Agreement.
6.2 Invalidity of Any Term Not to Invalidate Entire MOA.
In the event that any of the terms, covenants, or conditions of this MOA or the application of any such term, covenant, or condition shall be held invalid as to any party by any court of competent jurisdiction, all other terms, covenants, or conditions of this MOA and their application shall not be affected thereby, but shall remain in full force and effect unless any such court holds that those provisions are not separable from all other provisions of this MOA.

6.3 Construction of Terms.
This MOA is for the sole benefit of the Parties and shall not be construed as granting rights to or imposing any obligations on any person or entity other than the Parties.
6.4 Incidental, Consequential and Indirect Damages.
To the extent permitted by law, neither of the Parties shall be liable to the other Party for consequential, indirect, or special damages, or lost profits.
6.5 Conflict of Interest.
Through its execution of this MOA, San Bruno acknowledges that it is familiar with the provisions of Section 15.103 of the San Francisco Charter and Sections 87100 et seq. and Sections 1090 et seq. of the Government Code of the State of California, and certifies that it does not know of any facts that constitute a violation of said provisions, and San Bruno agrees that if it becomes aware of any such fact during the term of this MOA, San Bruno shall immediately notify the SFPUC.
6.6 Amendment.
The Parties may agree to modify the terms of this MOA by written agreement authorized by the governing boards of both Parties.
6.7 Waiver. The Parties agree that waiver by either Party of any breach or violation of any term or condition of this Agreement will not be deemed to be a waiver of any other term or condition contained herein, or a waiver of any subsequent breach or violation of the same, or any other term or condition. The acceptance of the performance of any work or services by either Party will not be deemed to be a waiver of any term or condition of this Agreement.
6.8 Assignment.
This MOA may not be assigned by any of the Parties without the express written consent of the other Party.
6.9 Dispute Resolution.
The Parties shall make good faith efforts to resolve disputes or disagreements arising from this MOA through a meet and confer process. If a dispute or disagreement arises, the Parties shall meet and confer within ten (10) calendar days of receiving written notification from the other Party describing the dispute and shall thereafter schedule and participate in further meetings, if appropriate, in an effort to resolve the dispute or disagreement.
6.10 Entire Agreement.
This MOA sets forth the entire agreement of the Parties, and supersedes all other oral or written agreements or understandings related to the design and construction of the Project. This MOA may only be modified by writing executed by both Parties.
6.11 San Francisco Sunshine Ordinance.

San Bruno understands and agrees that the San Francisco Sunshine Ordinance (San Francisco Administrative Code Chapter 67) and the California Public Records Act (Govt.
Code Section 6250 et seq.) apply to this Agreement and any and all records, information, and materials may be subject to public disclosure in accordance with the terms of the ordinance and state law.
6.12 Nondiscrimination.
In the performance of this MOA, San Bruno shall not discriminate against any employee, subcontractor, applicant for employment with San Bruno, or against any person seeking accommodations, advantages, facilities, privileges, services, or membership in all business, social, or other establishments or organizations, on the basis of the fact or perception of a person’s race, color, creed, religion, national origin, ancestry, age, height, weight, sex, sexual orientation, gender identity, domestic partner status, marital status, disability or Acquired Immune Deficiency Syndrome or HIV status (AIDS/HIV status), or association with members of such protected classes, or in retaliation for opposition to discrimination against such classes.
6.13 Joint Drafting.
The Parties have participated jointly in the negotiation and drafting of this Agreement. In the event an ambiguity or question of intent or interpretation arises, this Agreement will be construed as if drafted jointly by the Parties, and no presumption or burden of proof will arise favoring or disfavoring any Party, by virtue of the authorship of any of the provisions of this Agreement.
6.14 Governing Law.
The Parties agree that the law governing this Agreement will be that of the State of California. The Parties will comply with all applicable laws and regulations. As the Party fully responsible for the design, construction, operation, and maintenance of the Project, San Bruno will comply with all applicable laws and regulations concerning the design, construction, operation, and maintenance of the Project.
6.15 Notices. All notices and other communications required or permitted to be given under this Agreement will be in writing and will be e-mailed, personally served or mailed, postage prepaid and return receipt requested, and addressed to the Parties as follows:
