Director Kim stated that the Ad Hoc Committee heavily discussed the security measures, and all the security concerns would be addressed in the new location.

From: Joe Mosca, Interim Chief Executive Officer
Subject: RISK OVERSIGHT COMMITTEE UPDATE
Date: October 18, 2023
--------------------------------------------------------------------------------------------------------------------

RECOMMENDED ACTION

BACKGROUND
The Risk Oversight Committee (ROC) was established via the Board-adopted Energy Risk Management Policy (Policy No. 11). Per the policy, members of the ROC will be selected by the Chief Executive Officer, who will serve as the ROC’s Chair. The ROC currently consists of the CEO, CFO, Pacific Energy Advisors (PEA) representatives, and transactional counsel from the Authority’s contracted law firm.

The ROC has the authority to:
• Meet at least once per quarter or as otherwise called to order by the ROC’s Chair. • No less than once per quarter, provide a report to the Board regarding its meetings, deliberations, and any other areas of concern.
• From time to time, adopt and/or adapt risk management guidelines defining internal controls, strategies, and processes for managing market risks incurred through or attendant upon wholesale trading, retail marketing, long-term contracting, CRR trading, and load and generation scheduling.
• Specify the categories of permitted transactions and set risk limits for wholesale trading.

The ROC will receive and review information and reports regarding risk management, wholesale trading transactions, and the administration of supply contracts. • Have direct responsibility for enforcing compliance with this Policy. Any material violations of this Policy, as determined by the ROC, shall be reported to the Board for appropriate action.

As part of its recent audit of OCPA, the State Auditor recommended that the Board consider amending the Energy Risk Management Policy (Policy No. 11) to alter the membership of the ROC to include a limited subset of Board members in a manner that does not violate open meeting requirements of the Brown Act. Following review and discussion with the Interim General

ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 10.2
Counsel, it was determined that formally adding Board members to the ROC through an amendment to the Energy Risk Management Policy would make the ROC meetings subject to the Brown Act, which is incompatible with the ROC’s responsibilities for reviewing and analyzing market-sensitive information and prospective transactions, substantial aspects of which are confidential under CPUC rules and best practices for CCAs. As an alternative, the CEO has initiated a practice of inviting the Board Chair and Vice Chair to ROC meetings to observe. This is intended to provide additional Board oversight of the ROC without making Board members official members of the ROC under the Energy Risk Management Policy. This practice was initiated with the April 3, 2023 meeting and will continue for future meetings.

ANALYSIS AND DISCUSSION
The Risk Oversight Committee (ROC) met on Thursday, October 5, 2023, at 11:00 AM. Attendees at the ROC meeting included Joe Mosca Interim CEO, Tiffany Law CFO, PEA consultants Kirby Dusel and John Dalessi, Glen Price of Best, Best & Krieger. Fred Jung, Chair of the Board of Directors, and Kathleen Treseder, Vice Chair of the Board of Directors, attended the ROC meeting, but only observed the meeting.

The ROC discussed the following:
• Role of the ROC
• Q3 2023 Risk Management Report Hedge Positions
o Renewable Energy Positions
o RPS Compliance for Period 4 (CP4)
o Resource Adequacy Positions
o Market Exposure and Risk
o Counterparty Credit Exposure
• Position Reports
There are no Policy violations to report.

The final ROC meeting for the year will take place on December 7, 2023.

ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 10.3
-------------------------------------------------------------------------------------------------------------------- To: Orange County Power Authority Board of Directors
From: Joe Mosca, Interim Chief Executive Officer
Subject: SUPPORT SOLAR ON MULTIFAMILY AFFORDABLE HOUSING

PROGRAM
Date: October 18, 2023
--------------------------------------------------------------------------------------------------------------------

RECOMMENDED ACTION
Support Solar on Multifamily Affordable Housing Program

BACKGROUND
The Solar on Multifamily Affordable Housing Program (SOMAH) was created largely by the advocacy efforts of environmental justice groups and funded by greenhouse gas auction revenues through California's Cap-and-Trade Program, SOMAH's work to expand clean energy access to low-income and environmental justice communities in particular has clear restorative and environmental justice implications.

The program serves environmental justice communities or Disadvantaged Communities (DACs) — the 25% most pollution-burdened census tracts in CalEPA’s California Communities Environmental Health Screening Tool (CalEnviroScreen). Primarily Latino and African American, these communities face the highest disparities with respect to air pollution and health vulnerabilities, according to the agency’s report “Analysis of Race/Ethnicity, Age, and CalEnviroScreen 3.0 Scores.” And with the May 2022 publication of the California Environmental Protection Agency’s (CalEPA’s) “Final Designation of Disadvantaged Communities Pursuant to Senate Bill 535,” federally recognized tribal lands in California are also included within the designation, acknowledging these territories as important domains of environmental justice despite data gaps that previously impeded their inclusion. The SOMAH Program helps reduce barriers for these communities to access the benefits of solar for residents living in multifamily affordable housing, through energy bill credits and job training opportunities.

The SOMAH Program is looking to establish a partnership with Orange County Power Authority (OCPA). The goal of this partnership is to co-market and raise awareness about the program and its benefits. There is 200+ likely SOMAH-eligible properties in Orange County, and this partnership would greatly benefit the local community through energy bill savings for tenants and property owners, decreasing pollution and workforce career opportunities.

At the July 10, 2023, meeting of the Community Advisory Committee (CAC), the CAC received a presentation on the SOMAH Program from representatives of the program. The CAC agreed to further discuss, at the September CAC meeting, the possibility of requesting a support position for this program from the OCPA Board of Directors.

At the September 11, 2023, CAC meeting, the CAC voted 5-0-1 to request that the OCPA Board of Directors support the SOMAH program.

The CAC seeks to have OCPA co-market the SOMAH program, including, but not be limited to:
 Sharing about SOMAH with your connections, especially housing authorities, government offices and networks
 Add a SOMAH marketing statement to the OCPA website
 Provide a quote about SOMAH to use in OCPA online marketing materials  Promote SOMAH on social media using SOMAH templates
 Add your logo to the SOMAH partner's webpage
 Add SOMAH blurb to newsletter or email communications  Participate in or co-host a webinar
 Provide SOMAH materials in outreach to affordable housing developers and solar contractors
 Co-present with SOMAH at speaking engagements, forums, and etc.  Attend a SOMAH ribbon-cutting ceremony event in your local community

ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 10.4
--------------------------------------------------------------------------------------------------------------------- To: Orange County Power Authority Board of Directors
From: Joe Mosca, Interim Chief Executive Officer
Subject: APPROVE AMENDMENT NO. 1 WITH GOLDEN

COMMUNICATIONS FOR WEBSITE DEVELOPMENT AND

DIGITAL MARKETING SERVICES
Date: October 18, 2023
---------------------------------------------------------------------------------------------------------------------

RECOMMENDED ACTION
Approve Amendment No. 1 with Golden Communications for website development and digital marketing services to increase the not-to-exceed amount by $20,000.

BACKGROUND
On March 1, 2022, OCPA executed an agreement with Golden Communications for website development and digital marketing services with a term from March 1, 2022 through February 29, 2024, and a not-to-exceed amount of $120,000. Golden Communications had previously been selected by OCPA following a Request for Qualifications (RFQ) process in 2021 for various marketing and communications services, including website services.

ANALYSIS AND DISCUSSION
Due to the recent and ongoing efforts to substantially overhaul OCPA’s website, expenditures under the existing agreement with Golden Communications are nearing the original not-to-exceed amount.

Staff has continued to be satisfied with Golden Communications’ performance under the agreement and is requesting that the Board increase the not-to-exceed (NTE) amount by $20,000, which is intended to be sufficient for the remainder of the existing term (through February 29, 2024).

Staff intends to release a new Request for Proposals (RFP) or Request for Qualifications (RFQ) for long-term website development and digital marketing services during Fall 2023, and the awarded contract would begin upon the expiration of the existing service agreement.

FISCAL IMPACT
The additional NTE of $20,000 will be funded from other unutilized marketing expense funds within the FY2023/24 budget.

ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 11.1
--------------------------------------------------------------------------------------------------------------------- To: Orange County Power Authority Board of Directors
From: Tiffany Law, Chief Financial Officer
Subject: APPROVE OCPA RATES EFFECTIVE OCTOBER 19, 2023
Date: October 18, 2023
---------------------------------------------------------------------------------------------------------------------

RECOMMENDED ACTION
Approve OCPA rates effective October 19, 2023.

BACKGROUND
The rate design of Orange County Power Authority (OCPA) is dependent on Southern California Edison’s (SCE’s) generation rates and the Power Charge Indifference Adjustments (PCIA).

Historically, SCE has adjusted its generation rates five to six times a year. So far this year SCE has updated its rates in January, March, and June.

The California Public Utilities Commission (CPUC) has authorized SCE to change various components of its revenue requirement and rates on October 1, 2023. SCE’s consolidated revenue requirement change to be reflected in rate levels effective October 1, 2023 is an increase of $50.383 million. Most of the change is related to distribution rates; however, SCE is increasing generation revenue requirement by $17.991 million, or approximately 0.2% increase in generation rates.

On September 28, 2023, SCE filed an advice letter to outline rate changes effective October 1, 2023. The advice letter identifies the various rate components affected by the change.

Distribution revenue requirement is increasing due to vegetation management and income tax accounting costs. Generation revenue requirement is increasing to recover the Commission-approved costs of a new utility owned battery storage facility.

ANALYSIS AND DISCUSSION
On October 6, 2023, SCE published its updated final October 1 rates. Due to our billing system requirements, OCPA’s rates became effective October 19, 2023.

The October 2023 OCPA rate schedules will be published on OCPA’s website. The rates will be communicated on customer bills, and the October 2023 Joint Rate Comparison which will be posted on the SCE and OCPA websites in December 2023.

FISCAL IMPACT
The Board approval of the OCPA October 2023 rates has no fiscal impact.

OCPA Rates in SCE Territory
The ongoing Competition Transition Charge (CTC) recovers the CPUC‐approved market price limit for legacy electricity contracts (signed prior to 1998), as well as statutorily authorized costs that are related to restructuring of California’s electric industry prior to the energy crisis. These charges are assessed to all customers, including SCE‐only customers, but are collected separately for CCA customers and go directly to SCE.

The Wildfire Fund Non‐Bypassable Charge (WFC) supports the California Wildfire Fund. This charge is assessed to all customers, including SCE‐only customers, but is collected separately for CCA customers. The funds go to the State of California for potential disbursement to IOUs, such as SCE, if a catastrophic event occurs. Customers on CARE and Medical Baseline Programs are currently exempt from these charges.

OCPA Rates in SCE Territory
Surcharge
The Generation Municipal Surcharge (GMS) Factor recovers franchise fees paid by SCE to operate within certain municipal jurisdictions within California. This charge is assessed to all customers, including SCE‐only customers, but is collected separately for CCA customers. The charge equals the product of the GMS factor and the SCE rates or charges that have been removed from the bill of a customer receiving CCA service. An exemption applies to CA political subdivision and certain cogeneration or nonutility generation facilities. It is the responsibility of the customer to self-identify for exemption.

The Power Charge Indifference Adjustment (PCIA) is a fee collected by SCE and assessed to customers who receive their electric generation services from another provider. The PCIA is considered an "exit fee" assessed by SCE to cover costs for departing customers; resources acquired prior to a customer's change in service providers, and to ensure their current customers are “indifferent” to costs associated with the departed customers. SCE assigns customers a "PCIA Vintage" based on the date a customer’s respective community enrolled in alternative service; this date is reset upon reenrollment if a customer opts‐out and later re‐enrolls in OCPA service. The PCIA is charged on a per kWh basis based on net monthly usage, and is unaffected by time of use.

From: Joe Mosca, Interim Chief Executive Officer
Subject: CHIEF EXECUTIVE OFFICER’S REPORT
Date: October 18, 2023
--------------------------------------------------------------------------------------------------------------------- Launch of Orange County Power Authority Marketplace
To help customers with their energy-saving goals, OCPA recently launched an online marketplace where our customers qualify to receive rebates and major discounts on energy-efficient products. Among the large variety of products available are air purifiers, outdoor lawn equipment, lighting, power strips, home energy monitors and more.

Rate Design Workshop
An OCPA Rate Design Workshop is tentatively scheduled for November 8, aimed at providing a comprehensive understanding of rate making for Community Choice Aggregation (CCA) vs.

Investor-Owned Utility (IOU), as well as the development process for OCPA's 2024 rate design.

This workshop will foster informed and collaborative decision-making with the Board.

SCE is set to release their final 2024 rates on November 30. Staff will use this information, along with input gathered from the board, to develop OCPA's 2024 rate design. We will present our recommendation for Board approval on December 20.

Orange County Power Authority Ongoing Net Energy Metering (NEM) Enrollments The final Net Energy Metering (NEM) Enrollment phase began on October 1st. This phase includes nearly 500 NEM customers. NEM customers are being enrolled every other month based on their “true up” date with SCE. This allows customers to enjoy the full benefit of their NEM program.

OCPA offers many benefits to NEM customers, such as a 10% increase above SCE’s Net Surplus Compensation (NSC) rate, a true up month in April, and monthly billing instead of annual. NEM customers are encouraged to visit http://www.ocpower.org/nem to learn more about the benefits OCPA offers to NEM customers.

Human Resources Update
We are pleased to announce that Gabriele Friedman joined our team on October 16th as our Senior Human Resources Analyst. Gabriele has many years of experience in the HR field in both the private and public sectors. A major focus for Gabriele will be on recruitment, overseeing the joint salary survey currently being conducted, HR policies/procedures, advising on all HR matters, and assisting in creating a positive culture at OCPA, especially as the OCPA team grows.

Recently, we completed final interviews for the positions of Community Engagement Manager, External Affairs Manager, Data Analyst, and Finance & Administrative Analyst. Overall, it was a very good recruitment with lots of amazing candidates to interview. I expect to make further announcements related to these positions in the coming weeks.

Selection interviews for the Management Analyst and the Director of Power Resources positions have been scheduled and should be concluded by the first week in November.

We will be posting additional planned job openings in the coming months, including Energy Program Analyst, Data & Systems Manager, Administrative Assistant/Office Manager, Finance Manager, Trading Manager, Risk Management Analyst, and Energy Contract & Compliance Specialist.

We will keep https://www.ocpower.org/about-us/careers/ up to date on job openings at OCPA.
