2. UPDATE ON SURVEY AND RESEARCH FINDINGS

Director Sonne stated that climate change was important to the younger voices in the Orange County communities. She also supports the need for outreach and getting the OCPA messaging to all communities.
Director Kim requested clarification on the types of surveys, who the target audience was, and if the surveys were offered in different languages such as Korean, Taiwanese and Chinese. Requested information on why there was a huge delta amongst Vietnamese, Korean and Chinese.
Vice Chair Treseder provided her takeaways from the presentation. She believed OCPA should lower rates. She would like to hear from the residents of Santa Ana to see if they would like to join OCPA in the future. She asked if there was a possibility to target the messages to specific groups. Groups that are in favor of climate change provide them that messaging. She was happy to see that climate change researchers are well respected because she is one.
Brenda Deely, Reveille representative, further provided an update on the various messaging done after these surveys. She reported that the campaigns have been well received. She further stated that the media sentiment had shifted in a positive direction.

BACKGROUND
The Treasurer’s Report is the financial statement of the Orange County Power Authority (OCPA) and should be presented to the governing body quarterly. The report is created in accordance with accounting principles generally accepted in the United States of America. The Treasurer’s Report comprises the statement of net position and the related statement of revenues, expenses, and changes in net position, and the statement of cash flows.
OCPA has prepared unaudited financial statements for the year-to-date July 1, 2023, through September 30, 2023, along with budgetary comparisons.
ANALYSIS AND DISCUSSION
In September and November of 2023, OCPA received renewable energy invoices from Southern California Edison (SCE) under the 2023 Voluntary Allocation Market Offer (VAMO) Agreement.
These invoices were for renewable energy produced from January to June 2023. An unexpected development significantly impacted these invoices: the 2023 Power Charge Indifference Adjustment (PCIA) benchmark price, set by the California Public Utilities Commission (CPUC), was increased. Originally, the 2023 invoices were calculated based on a projected 2023 PCIA benchmark price of $12.63, as determined by the CPUC in late 2022. However, the CPUC recently revised this benchmark to $30.30, leading to the necessity of retroactive payments for all 2023 renewable energy volumes.
This critical rise in the PCIA benchmark price for 2023 affected OCPA’s financial projections for FY2022/23. It resulted in an additional cost of approximately $11 million in energy expenses, reducing the projected Rate Stabilization Reserve Fund (RSF) from an anticipated $50 million to $38.5 million. This adjustment will be reflected in the Cost of Energy section of OCPA’s audited financial statement for FY2022/23, underscoring the volatility and challenges load-serving entities (LSEs) like OCPA face in today’s energy market.
Despite these challenges, OCPA's unaudited financial statements as of September 30, 2023, demonstrate a commendable start in financial performance for FY 2023/24. The results have exceeded the FY2023/24 Operating Budget expectations, with a net position increase significantly above projections. In its first full year of both commercial and residential operations, OCPA’s fiscal year-to-date bottom line as of September 30 stands at a robust $34 million, a surplus of approximately $6.5 million or 24% over the budgeted amount.
There were no unusual transactions of note during this period of reporting.

Budget Item
Actual /
Budget % Comment
Electric Sales Revenue 105.2% Year-to-date energy sales are slightly more than forecast by approx. $6.6M or 5.2%.
Sales revenue includes revenues actually billed to customers as well as estimated customer usage during the reporting period that is not yet billed.
Cost of Energy 101.7% The variance is primarily due to the timing difference between projected and actual delivery of Renewable Energy Certificates (RECs) and fluctuating market prices.
Data Manager 107.4% These are Calpine fees charged on a per active account basis. The discrepancy related to Calpine's service fees was higher than expected due to the bi-monthly enrollment of Net Energy Metering (NEM) accounts, which were not accounted for in the original budget. By October 2023, all NEM accounts had been enrolled into the OCPA service, contributing to the increased fees. Staff plans to update the service fee projections in the mid-year FY23/24 budget review in March 2024.

REGULATORY UPDATE
Orange County Power Authority (OCPA) staff are monitoring several ongoing regulatory proceedings at the California Public Utilities Commission (CPUC). A brief description of the proceeding and any current status updates are provided below.
Income-Graduated Fixed Charge Proposals (Demand Flexibility – R.22-07-005) On April 7, 2023, Southern California Edison Company, Pacific Gas and Electric Company, and San Diego Gas & Electric Company (the Joint IOUs), filed joint testimony describing their Income-Graduated Fixed Charge Proposals. 1
The Joint IOUs’ proposal combines an Income Graduated Fixed Charge (IGFC) with lower volumetric rates on all residential rate schedules. This change comes after the passage of Assembly Bill 205 which removed the statutory language requiring default residential rates to be almost exclusively charged on a volumetric basis.
The proposal creates four household Income Brackets: 1) CARE customers with incomes less than 100% of the Federal Poverty level (FPL), 2) Remaining CARE and FERA customers, 3) Non-CARE or FERA customers with incomes up to or equivalent to 650% of FPL, and 4) Non-CARE customers with incomes above 650% of FPL.
Households with incomes less than $28,000 a year would pay a $15 monthly fee in SCE territory, households earning between $28,000 and $69,000 a year would pay $20, households earning $69,000 to $180,000 would pay $51, and those earning more than $180,000 would pay $85.
In November 2023, CalCCA filed a Reply Brief in the Demand Flexibility proceeding refuting party proposals that the PCIA should be included in the IGFC. A Proposed Decision (PD) on the IGCF is scheduled for March or April 2024.
ERRA Compliance, ERRA Forecast and General Rate Case (GRC) Energy Resource Recovery Account (ERRA) Compliance applications are filed annually by the IOUs for review of costs associated with Utility Owned Generation (UOG) operations and fuel procurement, Portfolio Allocation Balancing Account (PABA) entries, economic dispatch of electric resources, and contract administration. IOUs are required to demonstrate compliance with CPUC decisions and the California Public Utilities Code. SCE Compliance Intervenor Testimony is due December 15, 2023.
ERRA Forecast Applications are filed annually by IOUs to forecast energy procurement-related revenue requirements, which includes forecast allocation of costs across PCIA vintages. SCE Intervenor Testimony is due August 8, 2023.
In four-year cycles, IOUs submit General Rate Case (GRC) applications for authority to adjust rates and charges for electric and gas service based on a future Test Year (TY). The revenue requirements include electric and gas distribution system costs, administrative expenses, and customer service costs.
SCE filed its 2024 ERRA Forecast Reply Brief on November 2, 2023. A proposed decision was published on November 10, 2023. SCE’s 2025 GRC Intervenor Testimony is due February 29, 2024.
Resource Adequacy (RA) – R.21-10-002 and R.23-10-011
The commission opened the new RA proceeding through its Order Instituting Rulemaking (OIR) on October 12, 2023. The OIR proposes the scope, schedule, and administration of this next RA proceeding. The OIR for R.23-10-011 continues the CPUC’s oversight of the RA program, establishes forward RA procurement obligations applicable to load-serving entities beginning with the 2025 compliance year, and considers structural reforms to the program. This proceeding is the successor to Rulemaking 21-10-002, and includes the following issues in scope: Adoption of local and flexible RA requirements, LOLE study and PRM, 24-hour SOD framework, unforced capacity (UCAP), qualifying capacity (QC) counting conventions, RA compliance and penalties, and other refinements to the RA program.
OCPA submitted comments on November 9, 2023 to gain party status in this proceeding and recommending slight changes to the schedule for the OIR.
BioMAT – R.22-10-010
The CPUC issued an Order Instituting Rulemaking (OIR) on October 20, 2022 to implement Assembly Bill (AB) 843 authorizing CCAs to participate in the Bioenergy Market Adjusting Tariff (BioMAT) program. AB 843 amended Public Utilities Code section 399.20 to extend to CCAs within an electrical corporation’s service territory the existing renewable feed-in tariff for qualifying bioenergy electric generation facilities. The Proposed Decision will be considered at the November 16, 2023 Commission voting meeting.
Provider of Last Resort (POLR) – R.21-03-011
The CPUC issued a Scoping Memo and Ruling on September 16, 2021 to set forth the scope in the POLR proceeding. This proceeding implements the POLR requirements and framework directed by SB 520. The POLR proceeding will be considered in three phases. Phase 1 will focus on issues necessary to establish a comprehensive framework for existing POLRs. Phase 2 will set rules that allow a different entity to be designated as the POLR. Phase 3 may be opened to consider any additional issues not covered in Phase 1 or 2. A Proposed Decision was expected in October 2023 but has not been received.
Renewable Portfolio Standard (RPS) R.18-07-003 / Voluntary Allocation and Market Offer (VAMO)
The RPS proceeding monitors compliance by “retail sellers,” including IOUs, CCAs and ESPs, within the RPS program. Current RPS rules require 60 percent of retail sales to be from RPS-eligible resources by 2030, and at least 65 percent of the procurement a retail seller counts toward the RPS requirements to be from long-term contracts (ten years or more in duration). In addition, the RPS proceeding is the venue in which the PCIA/RPS Voluntary Allocation and Market Offer (VAMO) is being considered. SCE is expected to file an advice letter with formal VAMO recommendations on December 20, 2023.

ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 9.4
--------------------------------------------------------------------------------------------------------------------- To: Orange County Power Authority Board of Directors
From: Joe Mosca, Interim Chief Executive Officer
Subject: APPROVE COMPENSATION POLICY UPDATE
Date: November 20, 2023
---------------------------------------------------------------------------------------------------------------------
RECOMMENDED ACTION
1. Approve Amendments to Policy No. 5, Board of Directors’ Compensation and Expense Reimbursement Policy, to update Board compensation in compliance with the requirements of Section 3.8 of the OCPA Joint Powers Agreement, effective November 26, 2023.
BACKGROUND
Section 3.8 of OCPA’s Joint Powers Agreement provides that the OCPA Board of Directors shall adopt policies for compensation and reimbursement to Directors for attendance at meetings or other service on behalf of OCPA. Section 3.8 of the Joint Powers Agreement also specifically provides that “in no instance shall the per meeting or per day compensation be less than the compensation provided to directors of the Orange County Sanitation District.” On February 9, 2021, the Board of Directors adopted Policy No. 5, which governs the compensation and reimbursement of expenses for members of the Authority’s Board of Directors, and the amount of compensation was set to match the then-current compensation provided to the Board of Directors of Orange County Sanitation District (OCSD), $212.50.
On September 27, 2023, the Board of Directors of OCSD adopted Ordinance No. OC SAN-62, increasing the compensation for each OCSD Director for each day’s service rendered as a member of the Board to $300, and providing that such compensation shall automatically increase by five percent (5%) each year on January 1, beginning with January 1, 2025, unless said increase is waived by the OCSD Board of Directors. OCSD’s updated compensation Ordinance will take effect on November 26, 2023.
The proposed amendments to Policy No. 5 ensure compliance with Section 3.8 of OCPA’s Joint Powers Agreement by updating OCPA Directors’ compensation for attendance at meetings of the Board or for otherwise providing a day of service to OCPA, and would authorize an automatic annual five percent (5%) increase in such compensation on January 1 of each year, beginning on January 1, 2025, in order to satisfy the requirements of Section 3.8, unless such an increase is waived for a particular year by the OCSD Board of Directors or OCSD repeals its ordinance or amends the ordinance to eliminate automatic increases.
FISCAL IMPACT
The FY2023/24 operating budget contains adequate funds to cover the proposed compensation increase. Additionally, an automatic annual increase of 5%, effective January 1, 2025, will be incorporated into OCPA’s future annual budgets.

In compliance with OCSD’s current ordinance relating to OCSD director compensation, Oon January 1 of each year, beginning with January 1, 2025, the amount of compensation for attending each meeting of the Board of Directors or otherwise providing a day of service to the Authority shall increase automatically by five percent (5%) unless said increase is waived by the OCSD Bboard of dDirectors or OCSD’s ordinance is repealed or amended to eliminate such automatic increases. The Policy limits compensation to a specified maximum number of days per month. Each Director shall be entitled to compensation for attendance at the ethics training required by Government Code Section 53235 and the sexual harassment training and education required by Government Code Section 12950.1.
3. Other Activities
The Chair of the Board of Directors and Chief Executive Officer may, on a case-by- case basis, authorize compensation of individual Directors for a day of service when participating in the following types of activities: (1) meetings with representatives of local, regional, state, or national government on issues affecting the Authority; (2) meetings, conferences, and seminars relating to the business and operation of community choice aggregation entities, (3) ceremonial events sponsored by the Authority; (4) ceremonial events sponsored by another organization; (5) meetings of agencies, nonprofit organizations, or service clubs where the Director makes a presentation on behalf of the Authority; and (6) meetings with Authority staff, including telephone conferences when physical attendance is impractical.
4. Considerations
The Board Chair and the Chief Executive Officer shall approve compensation under Section 3 above only for activities that provides a benefit to the Authority. Benefits include, but are not necessarily limited to, the acquisition of information, education, training, and skills that will further the Authority’s mission and purpose. Other benefits include positive changes to federal and state statutes and regulations that govern the Authority, and maintenance of positive relations with the public and other governmental agencies.
Limitation
In no event shall a Director receive compensation for more than one meeting or other activity on the same day. Directors may not be compensated for more than six meetings per month.
Non-Compensable Activities
Notwithstanding the section above, Board members shall not receive compensation for the following activities: (1) attendance at meetings or events of nonprofit organizations or service clubs, except when the Board Chair and Chief Executive Officer has authorized the Director to make a presentation on behalf of the Authority as described above; (2) Authority sponsored employee events including, but not limited to, the annual employee holiday luncheon and retirement events; (3) parades, festivals, holiday events, or retirement dinners; (4) meetings, without Authority staff present, with existing or potential contractors, vendors, or consultants; (5) meetings of partisan political organizations; (6) meetings, tours, and similar events conducted at the request of the Board member; or (7) any activity not described above.
REIMBURSEMENT OF DIRECTORS’ EXPENSES
Approved Activities
In accordance with the terms of this Policy, the Authority will reimburse Directors for certain expenses incurred in connection with the compensable activities described above in Directors Compensation; provided, however, that alternate Directors shall be authorized to attend CalCCA conferences and shall be eligible for reimbursement of associated expenses as set forth below, whether or not the alternate Director is attending the conference in place of the regular Director. The Authority will not reimburse Directors for any other expenses.
Reimbursable Expenses
1. Transportation
In travelling to and from events, Directors must use the most economical form of transportation that is reasonably consistent with the Director’s travel and scheduling requirements.
2. Mileage for Personal Vehicles
a. The Authority will reimburse Directors for use of personal vehicles based on actual miles traveled at the then-current “standard mileage rate” adopted by the U.S. Internal Revenue Service for use in deducting the cost of operating an automobile for business purposes. The Authority will not reimburse Directors for any other personal vehicle expenses.
b. When calculating mileage traveled by a Director to attend an event, the Authority will use the lesser of (1) the distance from the administrative headquarters of the Director’s member agency to the event, and (2) the actual distance traveled. Mileage reimbursements shall not exceed the cost of the lowest available airfare.
3. Other Transportation Expenses
a. When travel by personal vehicle is impractical, the Authority will reimburse Directors for the actual cost of (1) regularly-scheduled travel by airplane, train, bus, or other commercial carrier, (2) rental cars, and (3) taxis and other comparably- priced for-hire vehicles. The Authority will also reimburse Directors for related necessary travel expenses such as baggage fees, toll charges, and parking fees. Directors must take advantage of any government or group rates offered by a transportation provider. b. Before deciding to travel by air, each Director must consider the total cost of alternatives, including the cost of ground transportation and any necessary lodging.
Each Director should also consider alternative departure times, departure and arrival airports, dates, departure times, and stopovers to minimize airfare. Directors should request travel arrangements as early as possible to take advantage of lower airfares. c. Generally, the Authority will only reimburse Directors for air travel in coach class.
When necessary based on a Director’s physical needs and/or the need to conduct meaningful work during a flight, the Board Chair has the discretion to approve reimbursement of first-class air travel. For trips that will exceed 24 hours, Directors must use their personal cars to travel to and from the airport, and utilize long-term airport parking, rather than pay for a taxi or other transportation to and from the airport.
4. Lodging
a. The Authority will reimburse Directors for actual and necessary lodging expenses incurred in attending a conference, seminar, or meeting. Directors must take advantage of any government rate or group rate for lodging whenever possible. If there is no government or group rate, the Authority will reimburse Directors for lodging up to the per diem rate used by the U.S. Internal Revenue Service as the maximum allowable deduction for business-related lodging expenses. The per diem rates are set by the General Service Administration (“GSA”) for federal employees. The rates are set forth at GSA.gov/per diem.
b. Lodging in connection with an activity that lasts only one day is considered “necessary” when the travel time to and from the activity exceeds two hours.
5. Meals
The Authority will reimburse Directors for actual and necessary dining expenses incurred while attending (1) a conference, seminar, or meeting outside of the Authority, or (2) an Authority-related business meeting within the Authority. The Authority will reimburse Directors up to the applicable GSA per diem rate for each separate meal set forth at GSA.gov/per diem.
6. Incidentals
The Authority will reimburse Directors for actual and necessary incidental expenses incurred while attending a conference, seminar, or meeting outside the Authority, up to the applicable GSA per diem rate set forth at GSA.gov/per diem. Reimbursable expenses include tips given to drivers, porters, bellhops, baggage carriers, and hotel housekeepers.
7. Travel Arrangements
a. Each Director must utilize Authority staff to arrange all travel, lodging, and event registrations. The Chief Executive Officer shall designate an Authority employee responsible for making these arrangements. The Chief Executive Officer shall designate a single travel agency for use in making all travel arrangements.
Expenses That Are Not Reimbursable
The Authority will not reimburse Directors for the costs of: (1) barber and/or beauty shop services; (2) fines for traffic or parking violations; (3) any person accompanying a Director on a Authority- approved trip or event; (4) personal telephone calls; (5) fitness/health facility use; (6) massages; (7) alcoholic beverages; (8) entertainment (movies, sporting events, etc.); or (9) vehicle expenses other than the standard mileage charge.
Reimbursement Procedure
Each Director seeking reimbursement must file with the Secretary of the Board an expense report no later than three weeks after the conclusion of the compensable activity. The report shall attach detailed, actual receipts for all expenses. The report shall document that each expense meets the requirements for reimbursement set forth in this policy. Without limiting the foregoing, each report shall identify the compensable activity and the date, nature, and purpose of each expense for which reimbursement is sought. For reimbursement of a personal vehicle expense at the standard mileage rate, the expense report shall identify the date of the travel, the actual miles traveled, and the business purpose of the travel. The Chief Executive Officer shall prepare a standard form of expense report for use by Directors in seeking reimbursement.
Board Reports
Each Director seeking reimbursement of expenses incurred in connection with an activity shall provide a brief report of the activity at the next regular meeting of the Board of Directors.
Other Expenses
Any expense that does not meet the requirements of this Policy may be reimbursed only if the Board of Directors approves the expense at a public meeting before the expense is incurred.
PENALTIES
Any Director that misuses public resources or falsifies an expense report required by this Policy is subject to the following penalties: (1) loss of reimbursement privileges; (2) restitution of the Authority; (3) civil penalties for misuse of public resources pursuant to Government Code Section 8314; and/or (4) prosecution for misuse of public resources pursuant to Penal Code Section 424.
ORANGE COUNTY POWER AUTHORITY
Staff Report – Item 10.1
--------------------------------------------------------------------------------------------------------------------- To: Orange County Power Authority Board of Directors
From: Joe Mosca, Interim Chief Executive Officer
Subject: APPROVE UPDATES TO PROCUREMENT POLICY AND DELEGATED
CONTRACT AUTHORITY POLICY
Date: November 20, 2023
---------------------------------------------------------------------------------------------------------------------
RECOMMENDATIONS
Approve Amendments to Policy No. 1, Procurement Policy, and Policy No. 2, Delegated Contract Authority Policy, relating to contracts to assist with hiring of positions within the Chief Executive Officer’s hiring authority.
BACKGROUND
On January 26, 2021, the Board of Directors adopted Policy No. 1, Procurement Policy, and Policy No. 2, Delegated Contract Authority Policy. The Procurement Policy governs the procurement of services and supplies and describes the processes and provisions for procurement. The Delegated Contract Authority Policy describes the contract authority granted to the Chief Executive Officer (CEO). Both policies have been periodically amended by the Board of Directors, including recent amendments in June 2023 in response to recommendations made by the State Auditor.
As OCPA continues hiring Board-approved employment positions within the CEO’s hiring authority, there may be rare circumstances where OCPA would require the services of a professional employer organization (PEO), employer of record (EOR), or similar entity to assist OCPA with hiring, payroll, benefits, and taxes for an employee who is not currently domiciled in California. On such occasions, OCPA would pay the PEO, EOR, or similar entity the amounts sufficient to cover the employee’s payroll, benefits, taxes, and other amounts typically paid by OCPA for other employees, as well as a fee for the PEO/EOR’s services.
To ensure that OCPA can timely conduct recruitment and hiring activities for positions within the CEO’s hiring authority, staff is proposing updates to Policy No. 1, Procurement Policy, and Policy No. 2, Delegated Contract Authority Policy. The amendments would:
• Add a provision to the Procurement Policy clarifying that for PEO/EOR contracts, the thresholds in the policy are based on the fees paid by OCPA to the PEO/EOR entities, but do not include the amounts paid to cover the employee’s salary, benefits, taxes, or other amounts typically paid for employees.
• Add a provision to the Delegated Contract Authority Policy authorizing the CEO to execute contracts with PEO/EOR entities for hiring positions within the CEO’s hiring authority.
Similar to the other provisions in this policy, any contracts entered into by the CEO with a PEO/EOR entity under which the service fees would exceed $50,000 per year would be reported to the Board at the next regular meeting.
As noted above, these provisions would only apply to PEO/EOR contracts to assist with hiring of positions within the CEO’s hiring authority under the rare circumstances where such a hiring approach is necessary.
FISCAL IMPACT
None.

Orange County Power Authority
Policy Number 001: Procurement Policy
Purpose
It is in the interest of the Orange County Power Authority (“Authority”) to establish administrative procurement practices that facilitate efficient business operations and provide fair compensation and local workforce opportunities whenever possible within a framework of high quality, competitive service offerings.
Policy
1. Procurement of Professional Services
The Authority may contract for professional services, including, but not limited to, consultant, legal, or design services, in its sole discretion. The Authority shall procure professional services in compliance with the Competitive Procurement Requirements in Section 5 of this Policy. The Authority shall endeavor to secure the highest quality professional services available and is not required to award a contract for services to the lowest proposer.
2. Procurement of General Services
The Authority may contract for general services, including, but not limited to, cleaning or maintenance services, in its sole discretion. Authority shall procure general services in compliance with the Competitive Procurement Requirements in Section 5 of this Policy. Although the Authority shall not be required to award to the lowest proposer, Authority staff shall seek to procure general services at the lowest costs.
3. Procurement of Supplies
The Authority shall procure supplies in compliance with the Competitive Procurement Requirements in Section 5 of this Policy. Although the Authority shall not be required to award to the lowest proposer, Authority staff shall seek to purchase supplies at the lowest costs. The Authority is encouraged to jointly procure supplies with other governmental agencies to obtain the lowest cost when possible. In the event one or more Authority employees are designated as purchasing agents, those individuals shall be included in Authority’s Conflict of Interest Code as persons who must file an annual statement of economic interest.
4. Procurement of Public Works Projects
Authority shall comply with California Public Contract Code § 20160 et seq. and other applicable laws and regulations when procuring public projects in excess of $5,000. For purposes of this section, a “public project” shall have the same meaning as defined in Public Contract Code § 20160, and includes, among other things, projects for the erection, improvement, painting, or repair of public buildings and works.
5. Competitive Procurement Requirements
a. Formal Bidding. Authority shall issue a request for proposals (RFP), a request for qualifications (RFQ), or similar competitive instrument for the purchase of goods or services or a combination of goods and services in excess of $100,000 55735.00001\41802710.1
in any given contract year. Proposals shall be evaluated in accordance with Section 7 of this Policy. These contracts are subject to Board approval before final execution.
b. Informal Bidding Procedures.
i. For contracts valued between $50,000 and $99,999.99, staff shall solicit informal written proposals from at least three providers, if feasible. An informal written proposal consists of a written proposal that includes the provider’s name, address, phone number, professional license number (if applicable), the work to be performed, and the amount of the proposal. A written proposal may be in an electronic format. ii. For contracts valued between $10,000 and $49,999.99, staff shall solicit informal verbal proposals from at least three providers. Staff shall note the three verbal proposals by including the provider’s name, address, phone number, and amount of the verbal proposal in Authority’s records. iii. For contracts valued at less than $10,000, no formal or informal proposals shall be required, but Authority staff is directed to seek the lowest cost supplies and the highest quality services available. iv. The Chief Executive Officer (“CEO”), in his or her discretion, may direct that Authority to solicit competitive procurements through the formal bidding process for contracts under $100,000.
c. General Provisions. The provisions below shall apply to all methods of procurement described above.
i. A purchase requisition shall be completed for all contracts and purchases unless described in Section 5.d.
ii. When procuring goods and services utilizing state or federal funds (e.g., grant or loan funds), Authority shall comply with all state or federal project requirements in securing any goods or services necessary. If there is conflict between the foregoing, the more restrictive requirements shall apply.
iii. Authority shall not be required to award a contract to purchase goods or services from the lowest responsible bidder, unless required by California law.
iv. No Authority officer or employee shall split purchases into more than one purchase in order to avoid the Competitive Procurement Requirements in this Policy.
v. No Authority officer or employee shall accept, directly or indirectly, any gift, rebate, money or anything else of value from any person or entity if such gift, rebate, money or anything of value is intended to reward or be an inducement for conducting business, placing orders with, or otherwise using the officer’s or employee’s position to secure a contract with Authority.
vi. All thresholds in this policy apply to contract amendments. vii. For purposes of contracting with professional employer organizations, employers of record, or similar entities for hiring of positions within the 55735.00001\41802710.1
CEO’s hiring authority, the thresholds in this policy shall be determined based on the net cost to OCPA (e.g., not including employee salary, benefits, taxes, or other amounts typically paid for direct-hire employees).
viii. Staff shall perform evaluations of contractors’ performance and include those evaluations in reports for the Board’s review when requesting approval of new contracts or contract amendments with those contractors in amounts that exceed $100,000.
d. Exceptions to Competitive Procurement Requirements.
i. Based on the unique facts or circumstances described below and a written justification retained in Authority’s records, the CEO, after consultation with the General Counsel, may waive one or more purchasing procedures in this Policy and/or use sole source procurement if the CEO determines that the best interests of Authority are served; provided, however, that such method is not in violation of applicable law or policy.
ii. Sole source purchasing is authorized when the goods or services contemplated are capable of being supplied or performed by a sole provider, such as the holder of an exclusive patent or franchise, for purchase of unique or innovative goods or services including but not limited to computer software and technology, or for purchases of goods or services when there is a demonstrated need for compatibility with an existing item or service. Sole source procurement may also be utilized when it is apparent that a needed product or service is uniquely available from the source, or for all practical purposes, it is justifiably in the best interest of Authority to utilize sole source procurement. The following factors shall not apply to sole source procurements and shall not be included in the sole source justification: personal preference for product or vendor; cost, vendor performance, or local service (this may be considered an award factor in competitive procurements); features that exceed the minimum requirements for the goods or services; explanation of the actual need and basic use for the equipment, unless the information relates to a request for unique factors.
iii. No competitive procurement shall be required for goods or services valued at less than $10,000 in any one contract term or contract year. iv. No competitive procurement shall be required for: Rent or lease of equipment; Utilities, where there is no reasonable basis for competitive procurement, including but not limited to telephonic communications, electric power, internet/cable, water, solid waste and debris collection (unless in relation to a construction project), and sewage; Tariffed costs and fees, including but not limited to SCE service fees and CAISO fees and costs, including OCPA’s Estimated Aggregate Liability (EAL); Fees and taxes required by law; Routine office supplies; Insurance policies consistent with OCPA’s approved benefits policy; Postage costs; Employee professional development expenses such as seminars, 55735.00001\41802710.1
training, professional body license renewal; Refreshments, meals for meetings and events held for the purpose of conducting OCPA business. v. Competitive procurement shall not be required when the contract, goods or services will be provided by another governmental agency. Authority can rely on the competitive procurement process provided by another governmental agency, provided that such agency’s procurement is in compliance with California law.
vi. In the event of an emergency situation, contracts with a not-to-exceed maximum dollar amount of: (i) $150,000 in the aggregate; or (ii) $500,000 in the aggregate with the prior written consent of the Chair of the Board of Directors shall not be subject to competitive procurement under this Policy. An “emergency situation” for purposes hereof is a situation creating an imminent danger to life or property or other material financial loss that calls for immediate action with inadequate time for prior Board approval. The CEO shall within thirty (30) days of the emergency, deliver a report to the Board of Directors explaining the necessity for the action, a listing of expenditures made under these emergency powers and any recommended future actions. The above provisions shall not apply to emergency “public projects” (as defined in Public Contract Code section 20160), which may be approved in accordance with the provisions of Public Contract Code sections 20168 and 22050.
6. Signing Authority:
Authority’s CEO and designated staff are authorized to execute contracts and related documents in accordance with Authority’s Delegated Contract Authority Policy.
7. RFP/RFQ Issuance and Proposal Evaluation
a. Proposals received through formal bidding procedures shall be subject to a set of criteria and a scoring system, reviewed and evaluated by relevant Authority staff and an evaluation committee selected by the CEO or, at the discretion of the Board, members of a designated Board committee. Proposals received shall be evaluated based on competency to perform the scope of work, best fit, price competitiveness, and other additional criteria added pursuant to any Authority workforce policy. The preferences below may not apply to procurements conducted jointly with other public agencies, and shall not apply when prohibited by state or federal statutes or regulations that require award to the lowest responsible bidder.
b. Authority is committed to the highest standards of responsible behavior and integrity in all of its business relationships. Authority will consider a company’s business practices, environmental record, and commitment to fair employment practices and compensation in its procurement decisions.
8. Nondiscrimination Contract Clause
Each Authority contract and subcontract shall contain a nondiscrimination clause that reads substantially as follows:
55735.00001\41802710.1
Contractor shall not discriminate on the basis of race, gender, gender expression, gender identity, religion, national origin, ethnicity, sexual orientation, age, or disability in the solicitation, selection, hiring, or treatment of subcontractors, vendors, or suppliers.
Contractor shall provide equal opportunity for subcontractors to participate in subcontracting opportunities.
9. Procurement of Power and Energy Attributes
Authority must secure sufficient power resources and energy attributes to serve its customers, comply with State law, and meet Authority’s and its member agencies’ goals. Authority may adopt a Risk Management Policy authorizing certain Authority staff to enter into power purchase agreements and other agreements to secure power and energy attributes, provided that such agreements are in substantially the same form as the Board- approved master power purchase agreements, and that all transactions and agreements are in strict compliance with Authority’s Risk Management Policy.
10. Review and Approval as to Form by General Counsel
All Authority agreements must be approved as to the form and content by the General Counsel, or designee, prior to signature by any authorized individual. 55735.00001\41802712.1
Orange County Power Authority
Policy Number 002: Delegated Contract Authority Policy
Purpose
It is in the interest of Orange County Power Authority (“Authority”) to establish administrative contracting procedures that facilitate efficient business operations for the Authority.
Policy
1. The Chief Executive Officer (“CEO”) is authorized as follows without prior Board approval:
a. To execute contracts of up to $100,000 for goods and services; provided, however, that all new contracts in excess of $50,000 shall be reported at the next regular Board meeting. This authorization does not include power supply or wholesale energy services. The Authority shall comply with all legal requirements applicable to the award of the contract, if any.
b. To execute contracts with professional employer organizations, employers of record, or similar entities (“PEO/EORs”) for hiring of positions within the CEO’s hiring authority; provided, however, that all contracts with a net cost in excess of $50,000 per year shall be reported at the next regular meeting. For purposes of this section, “net costs” means amounts payable to the PEO/EOR except for employee salary, benefits, taxes, or other amounts typically paid for direct-hire employees. b.c. To increase the aggregate contract price of Board-approved non-energy contracts by no more than 10% of the original contract price over the life of the contract. c.d. To delegate signature authority for purchases of goods or services to other Authority senior staff members up to the amount of $50,000. Such delegation shall be memorialized in a written instrument signed by the CEO and maintained by the Authority.
d.e. The thresholds in this policy also apply to contract amendments.
2. Prior to signing any contracts requiring the expenditure of money, the individual signing shall ensure: (1) that all contract expenses have been budgeted for in the current Authority budget; (2) that adequate funds have been appropriated by the Board; (3) that such funds are unexpended, unencumbered, and sufficient to pay the expenses of the contract, and (4) that the contract has been reviewed and approved as to form and content by the General Counsel or his/her designee.
3. For any contracts, whether Board-approved or executed under delegated authority, the CEO is further authorized to exercise all rights and powers specified under the contract as belonging to the Authority, including, but not limited to, changes in original scope, authorization of subcontractors, amendments (provided that the amendment shall be consistent with the limits in this Policy), assignment, insurance, termination, and to perform other acts related to the delivery of non-energy goods and services under the contract.
Exception: For scope changes to Board-approved contracts, any core programmatic changes of more than 25% of the original scope shall be approved by the Board.
4. All contracts shall include sufficient cost details to clearly support the services being 55735.00001\41802712.1
procured and establish a maximum obligation amount.
5. A quarterly contract report will be presented to the Board specifying the dollar value of each service contract, the amount paid to each contractor to date, and the amount owed to the contractor for work performed but not yet paid.

The discussion yielded valuable insights and directives from the Board regarding the desired objectives for the upcoming rate design. However, a recent development from SCE has emerged, necessitating a revision of our 2024 Rate Design timeline from December 20, 2023 to January 17, 2024.
The CPUC issued a proposed decision on November 7th in SCE’s 2024 ERRA proceeding. This decision, pending adoption on November 30th, aligns with a CalCCA-proposed adjustment. It proposes a decrease in 2024 PCIA rates while increasing bundled generation rates, compared to SCE’s initial proposal for 2024. This change is crucial as it directly influences the final SCE rates for 2024. Additionally, SCE will update its PABA and ERRA balancing accounts with the latest actuals through October or November 2023, depending on the data availability in early December 2023. These updates will affect PCIA and bundled generation rates, which will be incorporated into January 2024 rate adjustment. Following the CPUC’s final decision in the ERRA case, SCE will file an advice letter to the CPUC by December 31st, consolidating all determinative data for the January 2024 rate revision.
In light of these new developments, and considering that the finalized 2024 SCE rates will only be accessible by the end of December 2023, staff find it imperative to reschedule our 2024 Rate Design discussion to ensure our rate design decisions are informed by the most current and comprehensive information available.

Loan from the city of Irvine
During my State of the Agency presentation to the city of Irvine, which took place on October 24th, I was asked by a city council member whether OCPA was willing to prepay a loan made to OCPA by the city of Irvine. In 2021, a loan was made to OCPA by the city of Irvine to fund OCPA’s start-up cost and to be used as collateral. Under the loan agreement, the loan amount, together with interest, is to be paid in full on January 1, 2027. Under a subsequent subordination agreement, the city of Irvine agreed to subordinate its loan to US Bank’s line of credit to OCPA, which is used for our operations and collateral needs. A week after the city council discussion on October 24th, a follow-up conversation was held between me and the city council member in which I made it clear that OCPA intends to honor the original repayment schedule. To be clear, the city of Irvine has not inquired about repayment of the loan.
OC Leadership Roundtable
On November 4th, I attended an OC Leadership roundtable hosted by Climate Action Campaign in Irvine. This event was attended by several local elected leaders who were eager to learn more about Community Choice Aggregators and OCPA. Also in attendance was the Chief Operating Officer of Clean Power Alliance, the largest CCA in California.
Public Outreach Update
The OCPA team has been very active conducting public outreach over the past several months.
Please see attached an update on our public outreach efforts. This presentation was given to the Community Advisory Committee at their last regular meeting.

He constructed the castle as a symbol of his power and grandeur after unifying Japan under his rule.
Above left: Here's a photo of The David Family with the Fullerton Observer at The Lahaina Banyan Court Park on Maui. The tree is over 150 years old! A fire happened soon after we were there, however the tree is reported to have new growth!
I am so disappointed in the 3-2 Council decision to forego the grant and cancel the Trail project. Mayor
Jung’s comment that “the City was
already not maintaining well the things
the City has now” is directly related to
the budget cuts and layoffs this Council has instituted. Yes, medians and grass areas around town, overgrown with weeds, look
embarrassing, but I say look in the mir-ror, Mayor Jung. And Dunlap’s com-ment that districts cause Councilmembers to “pick fights. Council should consider what is best for the town instead of politicizing.” I
agree. But, again, look in the mirror Mr. Dunlap. You all do represent the entire City; the District system is to assure that all
areas of the City have a representative who listens to them. You certainly don’t represent me.
