Staff Report – Item 3
To: The Governing Board
From: Donald Eckert Jr., Chief Executive Officer
Item 3: Appoint Members to the Energy Procurement Review Committee, Audit & Finance Committee, and the Expansion Committee through January 2027.
Date: 2/26/2026
RECOMMENDATION
Appoint members to Pioneer Community Energy’s (“Pioneer”) Audit & Finance Committee, Energy Procurement Review Committee, and Expansion Committee through January 2027.
BACKGROUND
Section 6E of Pioneer’s Joint Exercise of Powers Agreement provides the authority to establish committees and states “The Board may establish any advisory commissions, board, and committees as the Board deems appropriate to assist the Board in carrying out its functions and implementing the CCA Program, other energy programs, and the provisions of this Agreement which shall comply with the requirements of the Brown Act. The Board may establish rules, regulations, policies, bylaws, or procedures to govern any such commission, boards, or committees.”
There has been no turnover in the Board this year resulting in no inherited vacancies unless there is a request to be removed from the current committee assignment. Each of these committees are important to Pioneer’s success as it provides an opportunity to discuss issues and potential solutions with regards to budgets, rates, audits, long-term power purchase agreements (“PPAs”), and expansion and fine tune those discussions before reaching the Governing Board.
ANALYSIS & DISCUSSION
Energy Procurement Review Committee (“EPRC”)
The Chief Executive Officer is authorized to execute energy contracts greater than five (5) years in length (from contract execution date) subject to the review and approval by the EPRC. Long-term PPAs are periodically necessary to fulfill mandatory requirements (e.g., Renewable Portfolio Standards), and for portfolio optimization. The role of the EPRC is to review pending long-term PPAs or other significant energy procurement issues. The committee meets as needed but typically three to five times per year. The committee is not subject to the Brown Act. The table below shows the composition of the committee, the current roster, and the member agency represented.
Audit & Finance Committee
The purpose of the Audit & Finance Committee is to oversee the accounting and financial reporting process, the annual audit of Pioneer’s financial statements by the independent auditor, budgeting, rate-setting, monitor internal controls, review administrative policies, and oversee investment strategies.
