BACKGROUND
On July 1, 2004, The Preserve Development Agreement (DA) was executed between the City and the master developer in The Preserve, Lewis Management Corporation (Lewis). The DA required Lewis to design and construct several drinking water wells at sites east of Euclid Avenue, as approved by the City (Well Nos. 16, 17, and 20).

Well Nos. 16 and 17 are located on property at the southeast corner of Schaefer and Campus Avenues in the City of Ontario. At the City's request, Lewis agreed to construct Well No. 16 with the acknowledgement that it would provide water to the existing City water infrastructure, and not for use in The Preserve. Additionally, Lewis drilled Well No. 17 in anticipation of the well eventually supplying the Eastside Water Treatment Facility (EWTF), which has been in operation since 2016. However, Lewis did not equip Well No. 17 because it was determined not to be necessary since other new wells were being added to supply groundwater to the EWTF.

Currently, the City is moving forward with the Phase III expansion of the EWTF, which includes the redevelopment and equipping of Well No. 17 as a supp ly source to the expanded plant. The City’s Public Works Department amended its existing design contract for the Phase III expansion of the EWTF with Hazen & Sawyer to include Well No. 17. Thus, on October 20, 2020, the City Council accepted the partial pu blic improvements constructed by Lewis for Well No. 17 as complete. Although it is not typical for the City to take over a partially completed project from Lewis, it was determined necessary to ensure the timely delivery of the project to support the continued development in The Preserve area.

At the City's request, Lewis also agreed to provide an additional well site (Well No. 20) to supply groundwater to the expanded EWTF moving into the future. The proposed well site is on Lewis- owned property located at the northeast corner of Bon View and Schaefer Avenues in the City of Ontario (the "Bon View Well site").

Lastly, on June 6, 2023, the City Council approved an amendment to the existing DA to ensure responsible Long -Range Planning and Fiscal Stability by a ddressing and further clarifying Lewis's water infrastructure obligations. Moving forward, Lewis will only be required to design and construct potable water and recycled water pipelines as it relates to the remaining Lewis properties in The Preserve. The p rior condition that Lewis provide supply, storage, and treatment facilities as conditioned per the terms of the original DA was removed. The City will act as the lead on all the large -scale water projects moving forward unless mutually agreed upon in writing by both parties.

ISSUES/ANALYSIS
The City is now moving forward with the Bon View Well project mentioned above, which is included in the Fiscal Year 2023 -24 Capital Improvement Program Budget as Project No.

WA233, entitled Well 20 Bon View/Schaefer Project. Public Works is currently preparing a Request for Proposals for the preliminary engineering and soils testing of the Bon View Well site.

As previously mentioned, the Bon View Well site is a Lewis -owned property. Per the terms of the amended DA Sec tion 6.5.1, entitled Water Facilities, the City agrees to purchase a

0.19-acre portion of the 9.025-acre vacant site. The actual well site is located at the southeast corner of the larger parcel on the property (Exhibit A - Bon View Location Map). Per the amended DA, a third -party appraisal was performed by Newmark Valuation & Advisory, dated February 24, 2023. The fair market value for the Bon View Well site is $150,000. Therefore, Lewis and the City desire to enter into a Purchase and Sale Agreement, atta ched as Exhibit B, 795

to clarify the joint escrow instructions. The City will deposit into escrow (one day prior to closing) the purchase price amount. The City is also responsible for closing costs and associated fees for the owner's title insurance and title report, which are estimated to be $7,500.

Another provision of the amended DA, Section 6.5.1, is the City's obligation to pay Lewis $72,800 for water lines and valves constructed by Lewis associated with the EWTF as shown in Exhibit C, entitled EWTF Reim bursement Improvements . As part of the amended DA negotiations, the City agreed to reimburse Lewis for two (2) 12" onsite water lines and associated gate valves. These costs are associated with the EWTF Phase I improvements, which were not included in the City's initial true-up of all the costs associated with the Phase I improvements. The City is required to pay Lewis within 30 days of the effective date of the amended DA.

Costs associated with the purchase of the well site and the additional obligation for the City to pay Lewis for the water lines and valves benefitting the EWTF are completely offset by The Preserve Water Source, Storage & Distribution Facilities DIF progra m, Fund 261 . Therefore, staff recommends the City Council approve the Purchase and Sale Agreement between the City and Lewis for the Bon View Well site and authorize an immediate reimbursement to Lewis in the amount of $72,800 for costs associated with the EWTF per the terms of the amended DA.
