CALGON CARBON CORPORATION
AMENDMENT 1
TO THE
MASTER CARBON PRODUCT SUPPLY AND
CUSTOM REACTIVATION SERVICES AGREEMENT
This Amendment 1 is made and entered into as of August 15, 2025 and effective as of September 2, 2025 (“Effective Date”) by and between Calgon Carbon Corporation (“CCC”) and City of Chino (“Customer” and, together with CCC, the “ Parties”), and amends that certain Master Carbon Product Supply and Custom Reactivation Services Agreement, dated 1st of July 2025 (“Agreement”) between the Parties.
WHEREAS, the Parties desire to amend the Agreement to increase the annual not to exceed amount.
NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and accepted, the Parties, intending to be legally bou nd hereby, hereto agree to amend the Agreement as follows:
ARTICLE 1. Section 4 is hereby amended and restated as follows:
4. This Agreement shall be in effect from the Effective Date for a period of five (5) years (the “Initial Term”). With annual pricing review done every 12 months based on the price indices for Virgin Carbon and CMR that are listed below for the life of the “Initial Term”, unless terminated by either party upon sixty (60) days written notice. a. Annual amount not to exceed $500,000
ARTICLE 2. Effectiveness of Amendment. Except as amended hereby, all other requirements of the Agreement, as currently amended, shall remain in full force and effect, and shall apply to this Amendment.
