WHEREAS,theCountywouldIiketoprovidefundstotheCityfortheLibraryandfortheCitytoprovideoversight oftheconstructionoftheLibrary(Services);
WHEREAS,theCountyfindstheCityqualifiedtoprovidetheseServices; WHEREAS,providingfundingtotheCityservesthepublicpurposeofprovidingfortheeducationalandsocial serviceneedsofCountyresidents;
WHEREAS,theCountyresidentsofChinoandthesurroundingcommunitiesoftheFourthDistrictwillbeserved bytheconstructionoftheLibrary;and
WHEREAS,theCountydesiresthatsuchServicesbeprovidedbyCityandCityagreestoperformtheseservices assetforthbelow.
NOW,THEREFORE,theCountyandCitymutuallyagreetothefollowingtermsandconditions:
A. PURPOSEOFCONTRACT
ThisContractismadeforthepublicpurposeofprovidingfundingtosupportCityinprovidingeducation andliteracythroughtheconstructionofanewlibraryonAssessor’sParcelNumbers(APN1057-181-14) tomeettheneedsoftheresidentsofChinoandsurroundingcommunities.
B. CITYRESPONSIBILITIESANDSCOPEOFSERVICES
B.1 FundingarisingoutofthisContractwillbeusedtoprovidefundingthroughtheCityforthe constructionoftheProjectwhichisa new9,371squarefootorlargerLibraryintheChino Preserve,SanBernardinoCounty(Assessor’sParcelNumbers(APN1057-181-14)).Thefunding willgototheCity,whointurnwillenterintothenecessarycontractswiththeProjectdevelopers ChinoHoldingCompanyLLC,ChinoDevelopmentCorporation,aCaliforniacorporation,and ChinoPreserveDevelopmentCorporation,aCaliforniacorporation(collectively,CPDC).CPDC willberesponsibleforhiringdesignprofessionalsandcontractorsforconstructionofthe underlyingProject.
B.2 CityshallallowtheCounty,itsofficers,agentsandemployeestheprivilegeandrighttoon-site inspectionofthenewlyconstructedLibraryforthedurationofthisContract.Citywillensurethat itsemployeesoragentsfurnishanyinformationthatinthejudgmentoftheCounty,maybe relevanttoaquestionofcompliancewithcontractualconditions,ortheeffectiveness,legality,and achievementsoftheProject.
B.3 CityshallprovidetheCountyalldocumentationregardingthescopeofservicescoveredbythis ContractthattheCountyrequestsfromCitywithin10daysofCounty’srequestunlessadifferent timeisagreedtobytheCounty.
B.4 CityshallprovidetheCountywithacopyoftheCertificateofOccupancywithin3Odaysof Issuance.
B.5 Cityacknowledgesandagreesthatitwillmakeamatchingcontributionofatleast$500,000which is25%ofthe$2,000,000contributionfromtheFourthDistrict’sBoardofSupervisorsDiscretionary FundunderthisContract.

Improperlnfluence
CityshallmakeallreasonableeffortstoensurethatnoCountyofficeroremployee,whoseposition intheCountyenableshim/hertoinfluenceanyawardoftheContractoranycompetingoffer,shall haveanydirectorindirectfinancialinterestresultingfromtheawardoftheContractorshallhave anyrelationshiptotheCityorofficeroremployeeoftheCity.
ImproperConsideration
Cityshallnotoffer(eitherdirectlyorthroughanintermediary)anyimproperconsiderationsuch as,butnotlimitedtocash,discounts,service,theprovisionoftravelorentertainment,oranyitems ofvaluetoanyofficer,employeeoragentoftheCountyinanattempttosecurefavorable treatmentregardingthisContract.
TheCounty,bywrittennotice,mayimmediatelyterminatethisContractifitdeterminesthatany improperconsiderationasdescribedintheprecedingparagraphwasofferedtoanyofficer, employeeoragentoftheCountywithrespecttotheproposalandawardprocess.Thisprohibition shallapplytoanyamendment,extensionorevaluationprocessoncea contracthasbeen awarded.
CityshallimmediatelyreportanyattemptbyaCountyofficer,employeeoragenttosolicit(either directlyorthroughanintermediary)improperconsiderationfromCity.Thereportshallbemade tothesupervisorormanagerchargedwithsupervisionoftheemployeeortheCounty AdministrativeOffice.Intheeventofaterminationunderthisprovision,theCountyisentitledt0 pursueanyavailablelegalremedies.
InformalDisputeResolution
IntheeventtheCountydeterminesthatserviceisunsatisfactory,orintheeventofanyother dispute,claim,questionordisagreementarisingfromorrelatingtothisContractorbreachthereof, thepartiesheretoshallusetheirbesteffortstosettlethedispute,claim,questionordisagreement.
Tothiseffect,theyshallconsultandnegotiatewitheachotheringoodfaithand,recognizingtheir mutualinterests,attempttoreachajustandequitablesolutionsatisfactorytobothparties.
LegalityandSeverability
Theparties’actionsundertheContractshallcomplywithallapplicablelaws,rules,regulations, courtordersandgovernmentalagencyorders.TheprovisionsofthisContractarespecifically madeseverable.lfaprovisionoftheContractisterminatedorheldtobeinvalid,illegalor unenforceable,thevalidity,legalityandenforceabilityoftheremainingprovisionsshallremainin fulleffect.
Licenses,Permitsand/orCertifications
Cityshallensurethatallarchitects,engineers,contractors,subcontractorsthatworkonthe Projecthaveallnecessarylicenses,permitsand/orcertihcationsrequiredbyFederal,State, County,andmunicipallaws,ordinances,rulesandregulations.CitywillnotifyCountyimmediately oflossorsuspensionofanysuchlicenses,permitsand/orcertifications.

MutualCovenants

CitywillissueCertificateofOccupancyandinvoicetoCounty.Cityshallmaintainallrecordsand bookspertainingtothefundingoftheProjectbytheCountyandtodemonstrateaccountabilityfor Contractperformance.AllrecordsshallbecompleteandcurrentandcomplywithallContract requirements.Failuretomaintainacceptablerecordsshallbeconsideredgroundsforwithholding ofpaymentunderthisContract.
AllrecordsrelatingtotheServices/ScopeofWorkandexpensespaidfortheProjectthroughthis Contractshallbekeptinagenerallyacceptableaccountingformat.Recordsshouldinclude primarysourcedocuments.FiscalrecordsshallbekeptinaccordancewithGenerallyAccepted AccountingPrinciplesandmustaccountforallfunds,tangibleassets,revenueandexpenditures.
FiscalrecordsmustcomplywiththeappropriateOfficeofManagementandBudget(OMB) Circulars,whichstatetheadministrativerequirements,costprinciplesandotherstandardsfor accountancy.
RelationshipoftheParties
NothingcontainedinthisContractshallbeconstruedascreatingajointventure,partnership,or employmentarrangementbetweenthePartieshereto,norshalleitherPartyhavetheright,power orauthoritytocreateanobligationorduty,expressedorimplied,onbehalfoftheotherParty hereto.
ReleaseofInformation
Nonewsreleases,advertisements,publicannouncementsorphotographsarisingoutofthe ContractorCity’srelationshipwithCountymaybemadeorusedwithoutpriorwrittenapprovalof theCounty.
RepresentationoftheCounty
IntheperformanceofthisContract,City,itsagentsandemployees,shallactinanindependent capacityandnotasofficers,employees,oragentsoftheCounty.
StrictPerformance
FailurebyapartytoinsistuponthestrictperformanceofanyoftheprovisionsofthisContractby theotherparty,orthefailurebyapartytoexerciseitsrightsuponthedefaultoftheotherparty, shallnotconstituteawaiverofsuchparty’srighttoinsistanddemandstrictcompliancebythe otherpartywiththetermsofthisContractthereafter.

IfconstructionhasnotcommencedbyNovember1,2027,andisnotcompletedbyNovember1, 2029,theCityshallreturnthefundingprovidedunderthisContracttotheCountybynolaterthan December31,2029,andtheContractshallbeterminated.
TimeoftheEssence
TimeisoftheessenceinperformanceofthisContractandofeachofitsprovisions.
Venue
ThepartiesacknowledgeandagreethatthisContractwasenteredintoandintendedtobe performedinSanBernardinoCounty,California.Thepartiesagreethatthevenueofanyaction orclaimbroughtbyanypartytothisContractwillbetheSuperiorCourtofCalifornia,San BernardinoCounty,SanBernardinoDistrict.Eachpartyherebywaivesanylaworruleofthe court,whichwouldallowthemtorequestordemandachangeofvenue.lfanyactionorclaim concerningthisContractisbroughtbyanythirdpartyandfiledinanothervenue,thepartieshereto agreetousetheirbesteffortstoobtainachangeofvenuetotheSuperiorCourtofCalifornia,San BernardinoCounty,SanBernardinoDistrict.
ConflictofInterest

PrevailingWageLaws
ByitsexecutionofthisContract,CitycertifiesthatitisawareoftherequirementsofCalifornia LaborCodeSections1720etseq.and1770etseq.aswellasCaliforniaCodeofRegulations, Title8,Section16000etseq.(“PrevailingWageLaws"),whichrequirethepaymentofprevailing wageratesandtheperformanceofotherrequirementsfortheProject.Cityshallensurethe ProjectandCPDCfullycomplieswithsuchPrevailingWageLaws.CityshallensureCPDC makescopiesoftheprevailingratesofperdiemwagesforeachcraft,classificationortypeof workerneededtoexecutetheServicesavailabletointerestedpartiesuponrequest,andshall ensurecopiesarepostedatProjectsite.CitywillalsoensureCPDCadherestoanyother applicablerequirements,includingbutnotlimitedto,thoseregardingtheemploymentof apprentices,travelandsubsistencepay,retentionandinspectionofpayrollrecords,workers compensationandforfeitureofpenaltiesprescribedintheLaborCodeforviolations.Cityshall defend,indemnifyandholdtheCounty,itselectedofficials,officers,employeesandagentsfree andharmlessfromanyclaims,liabilities,costs,penaltiesorinterestarisingoutofanyfailureor allegedfailuretocomplywithPrevailingWageLaws.

DisbursementoffundstoCityshallbemadeinonelumpsum,afterreceiptoftheCertificateof Occupancyandaninvoiceforthefull$4,000,000.00.Uponreview/approvalbyCounty,County shallmakepaymenttoCitywithinthirty(30)workingdaysafterreceiptofCity’sinvoiceorthe resolutionofanybillingdispute.CityshallemailCountytheCity’sinvoicerequestingonelumpsum payment.Theinvoice(s)shallretiecttheEntityPayableToNameandAddress,InvoiceDate,Invoice Number,ProjectName,ContractNumber,County-IssuedPurchaseOrder(ifapplicable),thetext“FinalInvoice”,amountdue,inaformatacceptabletotheCountyforServicesperformedunderthis Contract.CityshallemailinvoicetoCountyAdministrativeOffice—FinanceandAdministration (CountyFinance)andshallincludeintheSubjectLine:BOS-ENTITYNAME—PROJECTNAME —CONTRACTNUMBER—PO#[PURCHASEORDERNUMBER]”(i.e.BOS-SANBERNARDINO COUNTY-EDUCATIONPROGRAM26—NNN—PO41OONNNNNN).
CityshallacceptallpaymentsfromCountyviaelectronicfundstransfer(EFT)directlydeposited intotheCity’sdesignatedcheckingorotherbankaccount.Cityshallpromptlycomplywith directionsandaccuratelycompleteformsprovidedbyCountyrequiredtoprocessEFTpayments.
CountyisexemptfromFederalexcisetaxesandnopaymentshallbemadeforanypersonal propertytaxesleviedonCityoronanytaxesleviedonemployeewages.TheCountyshallonly payforanyStateorlocalsalesorusetaxesontheServicesrenderedorequipmentand/orparts suppliedtotheCountypursuanttotheContract.
IftheCitydoesnotusetheCountyfundsprovidedunderthisContracttopayappropriatecosts associatedwiththescopeofServicesbytheterminationdateofthisContract,theCityshallreturn theCountyfunds,oranyunusedportionthereof,totheCountyinaccordancewithanydirections issuedbyCountystaff,within60daysofwrittendemandforthereturnoftheCountyfunds.

NIFICATIONANDINSURANCEREQUIREMENTS
Indemnification
TheCityagreestoindemnify,defend(withcounselreasonablyapprovedbyCounty)andhold harmlesstheCountyanditsauthorizedofficers,employees,agentsandvolunteersfromanyand allclaims,actions,losses,damagesand/orliabilityarisingoutofthisContractfromanycause whatsoever,includingtheacts,errorsoromissionsofanypersonandforanycostsorexpenses incurredbytheCountyonaccountofanyclaimexceptwheresuchindemnificationisprohibited bylaw.Thisindemnificationprovisionshallapplyregardlessoftheexistenceordegreeoffault ofindemnities.TheCityindemnificationobligationappliestotheCounty’s“active”aswellas“passive”negligencebutdoesnotapplytotheCounty’s“solenegligence”or“willfulmisconduct" withinthemeaningofCivilCodesection2782.
Self-Insurance
CityandCountyareauthorizedself—insuredpublicentitiesforpurposesofProfessionalLiability, GeneralLiability,AutomobileLiability,Worker’sCompensationandPropertyDamageandwarrant thatthroughtheirrespectiveprogramsofself-insurance,theyhaveadequatecoverageor resourcestoprotectagainstliabilityarisingoutoftheperformanceoftheterms,conditionsor obligationsofthisContract.
TOMONITORANDAUDIT
TheCounty,StateandFederalgovernmentshallhaveabsoluterighttoreviewandauditall records,books,papers,documents,corporateminutes,andotherpertinentitemsasrequested, andshallhaveabsoluterighttomonitortheperformanceofCityinthedeliveryofServices providedunderthisContract.Cityshallgivefullcooperation,inanyauditingormonitoring conducted.CityshallcooperatewiththeCountyintheimplementation,monitoring,and evaluationofthisContractandcomplywithanyandallreportingrequirementsestablishedbythe County.
AllrecordspertainingtoServicesdeliveredandallfiscal,statisticalandmanagementbooksand recordsshallbeavailableforexaminationandauditbyCountyrepresentativesforaperiodof threeyearsafterfinalpaymentunderthisContractoruntilallpendingCounty,StateandFederal auditsarecompleted,whicheverislater.
l. CORRECTIONOFPERFORMANCEDEFICIENCIES

FailurebyCitytocomplywithanyoftheprovisions,covenants,requirementsorconditionsofthis ContractshallbeamaterialbreachofthisContract.
Intheeventofanon-curedbreach,Countymay,atitssolediscretionandinadditiontoanyother remediesavailableatlaw,inequity,orotherwisespecifiedinthisContract:
a.AffordCitythereafteratimeperiodwithinwhichtocurethebreach,whichperiodshallbe establishedatthesolediscretionofCounty;and/or

K. ENTIREAGREEMENT
ThisContract,includingallExhibitsandotherattachments,whichareattachedheretoandincorporated byreference,andotherdocumentsincorporatedherein,representsthefinal,completeandexclusive agreementbetweenthepartieshereto.Anyprioragreement,promises,negotiationsorrepresentations relatingtothesubjectmatterofthisContractnotexpresslysetforthhereinareofnoforceoreffect.This Contractisexecutedwithoutrelianceuponanypromise,warrantyorrepresentationbyanypartyorany containedherein.Each has readrepresentativeofanypartyotherthanthoseexpressly partycarefully thisContractandsignsthesameofitsownfreewill.
L. CONTRACTEXECUTION
ThisContractmaybeexecutedinanynumberofcounterparts,eachofwhichsoexecutedshallbe deemedtobeanoriginal,andsuchcounterpartsshalltogetherconstituteoneandthesameContract.
ThepartiesshallbeentitledtosignandtransmitanelectronicsignatureofthisContract(whetherby facsimile,PDForotheremailtransmission),whichsignatureshallbebindingonthepartywhosename executeanddeliveriscontainedtherein.Eachpartyprovidinganelectronicsignatureagreestopromptly totheotherpartyanoriginalsignedContractuponrequest.
