RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CHULA VISTA APPROVING A FORM OF AGREEMENT
WITH TOUCHSTONE GOLF, LLC FOR PROFESSIONAL
MANAGEMENT SERVICES FOR THE CHULA VISTA GOLF
COURSE
WHEREAS, Chula Vista Municipal Code Section 2.56.110 authorizes the City of Chula Vista to enter into contracts for professional services; and
WHEREAS, on November 1, 2016 the City Council approved a professional services agreement with Touchstone Golf, LLC to manage the Chula Vista Municipal Golf Course; and
WHEREAS, the agreement was for a one -year term including a provision for a one -year extension; and
WHEREAS, the agreement was extended and expired on November 31, 2008; and
WHEREAS, on August 14, 2018 the City Council approved a Golf Course facility management agreement with Touchstone Golf, LLC for professional management services for the Chula Vista Golf Course through October 31, 2023; and
WHEREAS, since 2016, Touchstone Golf, LLC has continued to make physical improvements to the facility, improving the quality of the golf experience and has improved the financial position of the Cit y’s asset while managing to increase patronage and revenues even through the COVID-19 pandemic; and
WHEREAS, based on the unique qualifications, staff is recommending that the City Council waive the normally applicable procurement selection process and enter into a Golf Course Facility Management Agreement with Touchstone Golf, LLC on a “ single source” basis as permitted under Sections 2.56.070B(3) and 2.56.070B(4) of the Chula Vista Municipal Code; and
WHEREAS, the City and Touchstone Golf, LLC desire to enter into a new five year agreement such that Touchstone Golf, LLC would continue to provide professional management services for the Chula Vista Golf Course through October 31, 2028, wit h an option to extend for an additional five years through October 31, 2033.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vista, that it hereby:
1. Finds with respect to the proposed Golf Course Facility Management Agreement between the City and Touchstone Golf, LLC for professional management services for the Chula Vista Golf Course (Facility Management Agreement), based on the facts set forth above, that City’s interests are better served by an alternative procurement
mechanism (per CVMC 2.56.070(B)(3) ), and that Touchstone Golf, LLC is uniquely qualified to perform the proposed services (per CVMC 2.56.070(B)(4)), and therefore waives the City’s consultant selection process with respect to the Facility Management Agreement; and
2. Approves the form of Facility Management Agreement , attached hereto and incorporated herein as Exhibit 1, between the City and Touchstone Golf, LLC and authorizes the City Manager to enter into the Facility Management Agreement in substantially the form presented, with such minor modifications as may be required or approved by the City Attorney, a copy of which shall be kept on file in the Office of the City Clerk.
