FIRST AMENDMENT
TO CONSULTANT SERVICES AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND
KLEINFELDER CONSTRUCTION SERVICES INC.
TO PROVIDE
ON- CALL CIP CONSTRUCTION MANAGEMENT CONSULTING SERVICES This First Amendment “Amendment” is enteredinto effective asof August 8, 2023 “Effective Date” by and betweenthe City of Chula Vista (“City”) and Kleinfelder ConstructionServices, Inc.
Consultant” with referenceto the following facts:
RECITALS
WHEREAS, City andConsultantpreviously enteredinto the City of Chula Vista Consultant ServicesAgreementwith Kleinfelder ConstructionServices, Inc. to ProvideOn-call CIP Construction Management, (“Original Agreement”) ( Agreement Control Number 2022-138 and Resolution Number2022-193) on August23, 2022; and
WHEREAS, theCity hasidentified additionalwork thatit desiresto haveConsultantperform pursuantto the termsof the Original Agreement; and
WHEREAS, the partiesanticipatethat the performanceof the additional work will require payment to Consultant in excessof the maximum amount of $ 2,000,000 set forth in Exhibit A, Section4.B. of the Original Agreement; and
WHEREAS, Section8.1 of theOriginal Agreementprovidesthatthepartiesarepermittedto modify the Agreementby meansof a written amendmentexecutedby both parties; and WHEREAS, the partieswish to increasethe not to exceedcompensationamountfor the initial term as shown in Exhibit A, Section 4.B. of the Original Agreement, from $ 2,000,000.00 to 4,000,000.00; and
WHEREAS, the partieswish to increasethe total not to exceedcompensationamount of the term of theagreementif all threeoptional extensionsareexercisedasshownin Exhibit A, Section5 of the Original Agreement, from $5,000,000 to $7,000,000.
NOW THEREFORE, in considerationof the aboverecitalsandthe mutual obligationsof the partiessetforth herein, City andConsultantagreeasfollows:
1. Exhibit A, Scopeof Work andPayTerms, Section4.B. of theOriginal Agreementis amendedasfollows:
Notwithstanding the foregoing, the maximum amountto bepaid to the Consultantfor theservicesperformedthroughJune2024, shallnot exceed $2,000,000 4,000,000.”
2. Exhibit A, Scopeof Work andPayTerms, Section5 of the Original Agreementis amendedasfollows:

3. Exceptasexpresslyprovidedherein, all othertermsandconditionsof theOriginal Agreementshall remain in full force andeffect.
4. Eachparty representsthat it hasfull right, power andauthority to executethis First Amendmentandto perform its obligationshereunder, without theneedfor anyfurther action underits governing instruments, andthe partiesexecutingthis Amendment on the behalfof suchpartyareduly authorizedagentswith authorityto do so.
