LEGAL SERVICESAGREEMENT

BESTBEST & KRIEGERLLP
ThisFirstAmendmentto LegalServicesAgreement (“FirstAmendment”) is enteredinto this effectivedayof July26, 2023 (“EffectiveDate”), byandbetweentheCity of ChulaVista (“City”) and BestBest & KriegerLLP (“Attorney”) (City andAttorneytogether, “Parties”).
RECITAL
WHEREAS, Attorneyhasprovidedlegalserviceson behalfof theCity relatedto processing requestsfor publicrecords, pursuanttotheCaliforniaPublicRecordsAct (“PRA”), assistingtheCityin updatingPRA andotherrecords-relatedpoliciesto reflectindustrystandardsandbestpracticesand providingtraining for City staff and officials, includingtrainingon PRA, electronicrecords, e- Discovery, andsocialmediaoperationspursuantto a LegalServicesAgreementbetweenCity and AttorneyeffectiveSeptember29, 2022 (“LegalServicesAgreement”); and WHEREAS, theLegalServicesAgreement, in Section3.1, providesthattheLegalServices Agreementshallnotexceed $30,000.00withouttheexpresswrittenauthorizationof theCity; and WHEREAS, theservicesby Attorneyareto includecontinuedassistancerelatedto processing requestsfor publicrecords, whichwill resultin additionalcostsexceeding $30,000.00.
AGREEMENT
THEPARTIESMUTUALLY AGREEASFOLLOWS:
1. Section3.1 of theLegalServicesAgreementisamendedtochangethenottoexceedamount fromthirtythousanddollars ($30,000.00) tofifty thousanddollars ($50,000.00).
2. Coststhatexceeded $30,000.00thatwereincurredundertheLegalServicesAgreementbut priortothisFirstAmendmentareto becoveredandcompensatedbythisFirstAmendment.
3. Exceptasexpresslyprovidedherein, all othertermsandconditionsof theLegalServices Agreementshallremainin full forceandeffect.
