SECONDAMENDMENTTO
LEGAL SERVICESAGREEMENT

ThisSecondAmendmentto LegalServicesAgreement (“SecondAmendment”) is enteredinto thiseffectivedayof January3, 2023 (“EffectiveDate”), byandbetweentheCityofChulaVista (“City”) and Colantuono, Highsmith & Whatley, PC (“Attorney”) (City andAttorneytogether, “Parties”).
RECITAL
WHEREAS, Attorneyhasprovidedlegalservicesonbehalfof theCity relatedto advisingthe City onlocalauthorityregardinggamingoperationspursuantto a LegalServicesAgreementbetween City andAttorneyeffectiveJune9, 2022 (“LegalServicesAgreement”); and WHEREAS, theLegalServicesAgreement, in Section3.1, providesthattheLegalServices Agreementshallnotexceed $10,000.00withouttheexpresswrittenauthorizationof theCity; and WHEREAS, CityandAttorneyenteredintoaFirstAmendmenttoLegalServicesAgreementon October24, 2022 (“FirstAmendment”) amendingSection3.1 of theOriginalAgreementto changethe not to exceedamountfrom tenthousanddollars ($10,000.00) to forty thousanddollars ($40,000.00) OriginalAgreementandFirstAmendmentcollectively, “Agreements”); and WHEREAS, theservicesbyAttorneyaretoincludecontinuedassistancein advisingtheCityon localauthorityregardinggamingoperations, whichwill resultin additionalcostsexceeding $40,000.00.
AGREEMENT
THEPARTIESMUTUALLY AGREEASFOLLOWS:
1. Section3.1 of theLegalServicesAgreementisamendedtochangethenottoexceedamount fromfortythousanddollars ($40,000.00) to fifty thousanddollars ($50,000.00).
2. Coststhatexceeded $40,000.00thatwereincurredundertheLegalServicesAgreementbut prior to this SecondAmendmentare to be coveredand compensatedby this Second Amendment.
3. Exceptasexpresslyprovidedherein, all othertermsandconditionsof theLegalServices Agreementshallremainin full forceandeffect.
