FIRSTAMENDMENTTO
LEGAL SERVICESAGREEMENT

GATZKE DILLON & BALLANCE LLP
ThisFirstAmendmentto LegalServicesAgreement (“FirstAmendment”) is enteredinto this effectivedateof March28, 2023 (“EffectiveDate”), by andbetweentheCity of ChulaVista (“City”) andGatzkeDillon & BallanceLLP (“Attorney”) (City andAttorneytogether, “Parties”).
RECITAL
WHEREAS, Attorneyhasprovidedlegalservicesonbehalfof theCity, includingbutnotlimited to, anyandall reasonablyrequiredlegalrepresentationonbehalfof theCityin thematterof on-calllegalservices to assisttheDevelopmentServicesDepartment, pursuantto aLegalServicesAgreementbetweenCity and AttorneyeffectiveJune23, 2021 (“Agreement”); and
WHEREAS, theAgreement, in section3.1, providesthatthetotalamountof serviceandcoststo bepaidundertheAgreementshallnotexceed $50,000.00withouttheexpresswrittenauthorizationof theCity; and
WHEREAS, thetermof theAgreementwaspreviouslyextendedvia an executedNoticeof Exerciseof OptiontoExtendAgreementfromOctober28, 2022toOctober28, 2023onthesameterms andconditionsprovidedfor in theAgreement; and
WHEREAS, theservicesbyAttorneyaretoincludecontinuedrepresentationonbehalfof theCity in thematterof on-call legalservicesto assisttheDevelopmentServicesDepartment, whichwill resultin additionalcostsexceeding $50,000.00throughOctober28, 2023.
AGREEMENT
THEPARTIESMUTUALLY AGREEASFOLLOWS:
1. Section3.1 of theAgreementis amendedto changethenot to exceedamountfrom fifty thousanddollars ($50,000.00) to four hundredtwelve thousandfive hundreddollars 412,500.00) throughthetermendingonOctober28, 2023. Thereafter, thenotto exceed amountshallreverttofifty thousanddollars ($50,000.00) foreachremainingfutureone-year extensiontermunlessotherwiseamendedin writingbythePartiespursuanttotheAgreement.
2. Coststhatexceeded $50,000.00thatwereincurredundertheAgreementbutpriortothisFirst AmendmentaretobecoveredandcompensatedbythisFirstAmendment.
3. Exceptasexpresslyprovidedherein, all othertermsandconditionsof theLegalServices Agreementshallremainin full forceandeffect.
