RECITALS
WHEREAS, City andContractorpreviouslyenteredinto City of ChulaVistaCooperative PurchasingAgreementwith GarlandDBS Inc. to Provide SelectRoof ReplacementOn City Facilities, Roof RepairsandRoof MaintenanceOn City Facilities “Original Agreement” on June 17, 2024; and
WHEREAS, Section12.1 of theOriginalAgreementprovidesthatpartiesarepermittedto modify theAgreementby meansof awritten amendmentexecutedby bothParties; and WHEREAS, City andContractordesireto amendthe Agreementto changethe Not To ExceedContractAmountfrom $2,000,000, to $6,000,000; and WHEREAS, City andContractordesireto amendtheAgreementto extendtheexpiration dateof thecontractto June30, 2029, asmorespecificallysetforth below.
NOW, THEREFORE, in considerationof theaboverecitalsandthemutualobligationsof thepartiessetforth herein, City andContractoragreeasfollows:
1. Section2. “Termof theAgreement” of theOriginal Agreementis amendedto replace theexpirationdateof June30, 2026, with thenewexpirationdateof June30, 2029.
2. Exhibit D “PaymentTerms” is amendedto replacethe not to exceedamountof 2,000,000with anamountof $6,000,000.
3. Exceptas expresslyprovidedherein, all other termsand conditionsof the Original Agreementshallremainin full forceandeffect.
4. Eachpartyrepresentsthatit hasfull right, powerandauthorityto executethis FIRST Amendmentandto performits obligationshereunder, without theneedfor anyfurther actionunderits governinginstruments, andthepartiesexecutingthis Amendmenton thebehalfof suchpartyareduly authorizedagentswith authorityto doso.
