SECOND AMENDMENT
to Agreement between the
City of Chula Vista
and
GARLAND DBS, INC.
for Roof Replacement, Repair, and Maintenance for Police Department Headquarters Roof
This SECOND AMENDMENT “Amendment” is entered into effective as of August 18, 2026 (“Effective Date”) by and between the City of Chula Vista (“City”) and GARLAND DBS, INC. (“Contractor”) with reference to the following facts:
RECITALS
WHEREAS, City and Contractor previously entered int o Second Amendment to Agreement - Garland.docx (“Original Agreement”) on June 17, 2024; and
WHEREAS, the City previously amended the Original Agreement on October 30, 2024 to increase the not-to-exceed amount from $2,000,000 to $6,000,000 and extend the expiration date of the contract to June 30, 2029 (“First Amendment”); and
WHEREAS, Section 12.1 of the Original Agreement provides that parties are permitted to modify the Agreement by means of a written amendment executed by both Parties; and
WHEREAS, City and Contractor desire to amend the Agreement to change the Maximum Not-to-Exceed Contract Amount from $ 6,000,000 to $7,000,000, as more specifically set forth below,
NOW, THEREFORE, in consideration of the above recitals and the mutual obligations of the parties set forth herein, City and Contractor agree as follows:
1. Exhibit D “Payment Terms” of the Original Agreement is hereby amended to replace the not-to-exceed amount of $6,000,000 with an amount of $7,000,000.
2. Except as expressly provided herein, a ll other terms and conditions of the Original Agreement shall remain in full force and effect.
3. Each party represents that it has full right, power and authority to execute this SECOND Amendment and to perform its obligations hereunder, without the need for any further action under its governing instruments, and the parties executing this Amendment on the behalf of such party are duly authorized agents with authority to do so.
