FIRST AMENDMENT TO
LEGAL SERVICES AGREEMENT
CITY OF CHULA VISTA
AND
GATZKE DILLON & BALLANCE LLP
This First Amendment to Legal Services Agreement (“ First Amendment”) is entered into this effective day of June 3, 2026 (“Effective Date”), by and between the City of Chula Vista (“City”) and Gatzke Dillon & Ballance LLP (“Attorney”) (City and Attorney together, “Parties”).
RECITALS
WHEREAS, Attorney has provided legal services on behalf of the City, including but not related to, any and all reasonably required legal representation on behalf of the City in the matter of on-call legal services to assist the Development Services Department, pursuant to a Legal Services Agreement between the City and Attorney effective December 1, 2024 (“LSA”); and
WHEREAS, the LSA, section 3.1, provides that the total amount of service and costs to be paid under the LSA shall not exceed Three Hundred Fifty Thousand Dollars ($350,000); and
WHEREAS, the Parties wish to extend the term of the Agreement from December 1, 2025, to December 1, 2026.
WHEREAS, the Development Services Department continues to utilize the services by Attorney at a high volume to ensure the delivery of development -related services throughout the City, most of which services are reimbursed by developer fees.
AGREEMENT
THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Section 3.1 of the LSA is amended to read as follows:
“3.1… Partners $395.00/hour
$315.00/hour”
2. Pursuant to Section 1 of the LSA, the Term is extended through December 1, 2026.
3. Costs that were incurred under the LSA but prior to this First Amendment are to be covered and compensated by this First Amendment.

4. Section 12(b) of the LSA is amended to read as follows:

5. Except as expressly provided herein, all other terms and conditions of the LSA shall remain in full force and effect.
IN WITNESS WHEREOF, by executing this First Amendment where indicated below, City and Attorney agree that they have read and understood all terms and conditions of this First Amendment, that they fully agree and consent to be bound by same, and that they are freely entering into this First Amendment as of Effective Date.
