SECOND AMENDMENT TO
LEGAL SERVICES AGREEMENT
CITY OF CHULA VISTA
AND
GATZKE DILLON & BALLANCE LLP
This Second Amendment to Legal Services Agreement (“ Original Agreement”) is entered into this effective day of August 18, 2026 (“Effective Date”), by and between the City of Chula Vista (“City”) and Gatzke Dillon & Ballance LLP (“Attorney”) (City and Attorney together, “Parties”).
RECITALS
WHEREAS, Attorney has provided legal services on behalf of the City to assist the Development Services Department, pursuant to a Legal Services Agreement between the City and Attorney effective December 1, 2024 (“LSA”); and
WHEREAS, the LSA, section 3.1, provides that the total amount of service and costs to be paid under the LSA shall not exceed $350,000; and
WHEREAS, the City desires to amend to not -to-exceed amount from $350,000 to $1,050,000; and
WHEREAS, the Parties desire to extend the LSA from December 1, 2026 to December 1, 2027; and
WHEREAS, Chula Vista Municipal Code (CVMC) Section 2.56.110(F) provides that contracts for legal and related professional services are overseen by the City Attorney pursuant to Section 503 of the City Charter, and that such services shall be competitively solicited when practicable; and
WHEREAS, the City Attorney’s Office continues to utilize the Attorney’s services at a high volume to ensure the delivery of develop ment-related services throughout the City, most of which services are reimbursed by developer fees; and
WHEREAS, CVMC Section 2.56.110(H)(2) authorizes the City Council, by resolution, to waive competitive bidding requirements and approve the use of alter native procurement procedures when competitive bidding is impractical, impossible, or when City interests would be materially better served by applying a different purchasing method.
AGREEMENT
THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Section 3.1 of the Agreement is amended to change the not to exceed amount from $350,000 to $1,050,000.
2. Costs that exceeded $350,000 that were incurred under the Agreement but prior to this Second Amendment are to be covered and compensated by this Second Amendment.

3. Section 1 of the Agreement is amended to change the term of the Agreement from December 1, 2026, to December 1, 2027.
4. Except as expressly provided herein, all other terms and conditions of the Legal Services Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, by executing this Second Amendment where indicated below, City and Attorney agree that they have read and understood all terms and conditions of this Second Amendment, that they fully agree and consent to be bound by same, and that they are freely entering into this Second Amendment as of Effective Date.
