LICENSE AGREEMENT
This License Agreement (“Agreement”) is entered into as of the date of the last signature below (“Effective Date”) by and bet ween Veritone, Inc. (for itself and/or its subsidiaries), having an office located at 5291 California Ave., Suite 350, Irvine, CA 92617 (“Veritone”) and the entity listed under Licensee Information below (“Licensee”), with respect to license(s) to Veritone’s Platform and related Services.

Master License Terms and Conditions. This Agreement is governed by the Veritone Master License Terms and Conditions at https://www.veritone.com/terms-conditions/ and the product specific terms and conditions at https://www.veritone.com/glc-terms/ as applicable (collectively, the “Terms and Conditions”), all of which are incorporated herein by reference. In the event of any conflict or inconsistency between the provisions of this Agreement and the provisions contained in the Terms and Conditions, the provisions of this Agreement shall govern and control. Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Terms and Conditions.
Term: The Initial Term shall automatically renew for an additional twelve-month term (“Renewal Term”) at a License Fee of $80,000.00 per twelve month period unless at least thirty (30) days’ written notice is given by either party prior to the end of the respective period (the Initial Term together with the Renewal Term to be known collectively as the “Term”). Automatic renewal will continue for a maximum of four (4) additional twelve-month Renewal Terms beyond the Initial Term listed in the table above.
Payment Terms. Initial Term License Fee will be broken into two payments. The first payment will be $ 66,667.00 to cover the period from September 1, 2026 to June 30, 2027 and be due within thirty days of invoice upon execution of Agreement. The second payment of $80,000.00 will cover the period from July 1, 2027 to June 30, 2028 and be due by July 1, 2027. Any addition p ayment terms will be set forth in the applicable Product Ts & Cs.
Non-Cancellable Fees. All payment obligations and fees included herein are non-cancelable and all amounts paid in connection with this Agreement are non-refundable. Customer is responsible for paying all fees applicable to the License and related services, whether or not it actively used, accessed or otherwise benefited from the Platform and related Services.
Authority. The person executing this Agreement on behalf of each party represents and warrants that he or she has full authority to execute the same on behalf of such party, and that no other actions or approvals are required for such party to enter into this Agreement and perform its obligations hereunder.
Termination. Notwithstanding anything to the contrary in the Terms and Conditions or any other agreement between the parties, (a) all fees for the then-current Term (whether the Initial Term or any Renewal Term) are non-cancellable and non-refundable once such Term has commenced; (b) either party may elect not to renew this Agreement by providing written notice to the other party at least thirty (30) days prior to the commencement of the next Renewal Term, in which case this Agreement shall terminate at the end of the then-current Term; and (c) neither party may terminate this Agreement for convenience during any then-current Term.

▪ Standard webinar training and onboarding; technical support via email and in-app chat for application Cognitive Processing License includes unlimited cognitive processing hours of media uploaded by Licensee through the Redact Application during the Term for five (5) users at the yearly License Fee listed in the table above. Additional concurrent users can be purchased for an additional cost of $16,000 per user per year to receive unlimited cognitive processing hours for each additional concurrent user (“Additional Concurrent Users”).
