Agenda Item Title: Draft City Art Program
_______________________________________________________________________________________ Recommended Council Action(s):

Review Draft City Art Program and provide direction on proposed implementation City Art Program. _____________________________________________________________________________________ Background:

The City of Cloverdale has been a long term sponsor of the Cloverdale Sculpture Trail. Founded in 2003, the exhibit brings public art to the downtown Cloverdale Business District to advance knowledge of and interest in public art that enriches Cloverdale and fosters a spirit of cooperation and fellowship among artists and the community. Recently, the city has received requests from non-profits and individuals, wanting to create art on utility boxes and murals on buildings throughout the City. Other Cities include the Town of Windsor and the City of Eureka have developed formal art programs that enable local artist to paint utility boxes.

Town of Windsor
The Town of Windsor recently unveiled the 2024 Discovering Windsor Through Art utility box painting program. The Windsor program aims to help beautify the community, enhancing the lives of residents as well as those who visit and work in the Town and is designed to grow and develop the talent from within to allow the community to discover each other through art.

City of Eureka
In 2017, the City of Eureka created a Strategic Arts Plan to further solidify the important role of the arts as a driver of community impact and engagement. This plan was created to ensure the city effectively leveraged its amazing artistic and cultural assets. As an economic development tactic, the City of Eureka’s Strategic Arts Plan, developed in collaboration with Eureka's arts community, lays out actionable goals to support the arts with input from both the City and the community. As part of the City of Eureka Strategic Plan, the city developed a Utility Box Art Program entitled, “Eureka Box Art!”. The goal of Eureka Box Art! is to use utility boxes as "canvases" for original pieces of art as well as to contribute to the vitality and attractiveness of the city, while deterring graffiti.
________________________________________________________________________________________ Summary:

City staff developed a draft City of Cloverdale Art Program to formally establish guidelines and memorialize a City Art Program that will encourage art installations in various locations throughout the City. The program was modeled in part after the programs developed by the Town of Windsor and City of Eureka. The attached Draft City Art Program establishes a program for the review and installation of both utility box art and murals.

Given the recent increase in inquires, staff recommends that the City council consider adopting a formal program as a necessary next step. The attached procedure (Exhibit A) will provide a formalized method for citizens to participate in the City Art Program.

Agreement with Redwood Public Law LLP for Legal Services _____________________________________________________________________________________ Recommended Council Action(s): Adopt a resolution entitled, “Resolution Of The City Council Of The City Of Cloverdale Approving An Agreement For Legal Services Between The City Of Cloverdale And Redwood Public Law LLP And Appointing Alex Mog As The City Attorney.” Background:

Meyers Nave Riback Silver & Wilson (“Meyers Nave”) was hired by the City of Cloverdale to provide legal services in 1993. Eric W. Danly, through Meyers Nave, served as City Attorney from 2002 to June of 2013. The City entered into a new Agreement for Legal Services with Meyers Nave, effective as of January 1, 2012 (“Agreement”), which replaced the prior legal services agreement.

On June 26, 2013, Mr. Danly resigned as City Attorney. On that date, the City Council appointed Jose M.

Sanchez from Meyers Nave as the City’s City Attorney. Jose Sanchez has continued to serve as the City Attorney and Meyers Nave has continued to provide a range of legal services to the City since 2013.

Starting in approximately 2021, Alex Mog from Meyers Nave began serving as the City of Cloverdale’s Deputy City Attorney under the direction of Jose Sanchez.

Summary:

Jose M. Sanchez along with a team of other municipal law focused attorneys, have established a new law firm with the mission of providing legal services to public entities and municipalities like the City of Cloverdale. The new municipal law firm is referred to as Redwood Public Group LLP. Jose M. Sanchez is a partner in Redwood Public Group LLP and will serve as special counsel for municipalities including Cloverdale as needed on legal matters. Alex Mog will also serve as an attorney for Redwood Public Group LLP with a focus on municipal law and city attorney services. Alex Mog has the requisite background, experience and legal acumen to serve as the Cloverdale City Attorney.

While Meyers Nave has provided legal services and served as the City Attorney for a number of years, the City Council expressed a desire to transition from Meyers Nave to Redwood Public Group LLP as the City’s primary source of legal services. Redwood Public Group LLP provided an agreement for legal services with Redwood Public Law, a copy of which is attached and incorporated hereto in the attached resolution as Exhibit A. The City Manager is recommending approval of the agreement with Redwood Public Law LLP by the City Council and seeking authorization to execute the agreement for Legal Services. The attached resolution also appoints Alex Mog as the City Attorney for the City of Cloverdale effective March 15, 2024.

Alternative Options:

1. Reject proposed resolution; or

2. Provide alternative direction to staff
27 3. Refer the matter to the Council Subcommittee for further review.

Subcommittee Recommendation:

The draft agreement was not reviewed by a Council Subcommittee prior to review by the City Council.

Budget/Financial Impact:

The cost of legal services for city attorney services are budgeted in the adopted City Budget. Redwood Law Group LLP provided a rate schedule that is substantially similar to the existing rate schedule for Meyers Nave. No significant changes in legal expenses are expected with the change in municipal law firms serving the City.

REDWOOD PUBLIC LAW

STATEMENT OF FEE AND BILLING INFORMATION
Professional Fees. Our fees at Redwood Public Law for professional legal services are based on the fair value of the services we have rendered. Our attorneys and paralegals maintain time records for each client and matter in order to determine the value of our services according to established hourly rates. The hour rates are based on their years of experience, specialization, training, and level of professional attainment. We adjust our rates periodically (usually, beginning of each year) respective to inflation and the increased experience of our professional personnel.

We believe that legal work that does not require more experienced attorneys will be performed—where feasible and in order to keep professional fees within reason—by attorneys with lower billing rates. With this in mind, we still believe that quality of our work is no less paramount—and therefore, we do not sacrifice quality for the sake of economy.

Prior to any services being rendered, we will gladly provide our client with a fee estimate to the extent possible if requested. In some instances, we cannot provide estimates, given that the scope of our professional legal services will not be clear from the outset. When a fee estimate is given, please keep in mind that the amount quoted is merely an estimate and may not reflect the actual minimum or maximum fee quotation. The actual fee may be more or less than the quoted estimate.

Billing And Payment Procedures. Unless other arrangements are made at the time of the engagement, Redwood Public Law will send invoices monthly. Invoices for outside services exceeding $100 may be billed separately. In some cases, we may defer billing for a given month or months if the accrued fees and costs do not warrant current billing or if other circumstances would make it appropriate to defer billing.

Our invoices contain a brief narrative description of the work performed—including, if requested, the initials of the attorney who performed the work on the invoice. The invoice will also include a line item reflecting in-house administrative costs. Redwood Public Law’s in-house administrative costs include, but are not limited to duplicating, facsimile charges, telephone charges, E-mail, postage, mileage, and other administrative expenses.

Redwood Public will be reimbursed for all outside services incurred in the course of providing legal services to our client(s). Outside services will include but are not limited to, all third-party expenses, delivery charges, travel expenses, outside research services, filing fees, expert witness, and expert consultant fees. Such charges shall be invoiced at our cost without additional markup.

Late Payments. Redwood Public Law sends statements on a monthly basis for services, and they are payable upon presentation within thirty (30) days after receipt. We do understand that occasionally a client has difficulty in making timely payments, and as such, in order to avoid burdening those clients who pay their statements promptly with the added costs, we will incur and assess a late charge on statements not paid within thirty (30) days. The maximum monthly late payment charge will be 1.5% per month. In the unlikely event we are required to institute legal proceedings to collect fees and costs, we will incur any additional reasonable attorneys’ fees and other costs in the course of our collection to the prevailing parties. We also reserve the right to access retainer funds to cover late payments, as noted above. If you have any questions regarding an invoice, Alex Mog and Jose Sanchez are available to answer your questions. For any unresolved matters, the Bar Association has an arbitration mechanism that can be used to resolve such matters.

The Honorable Pete Buttigieg
Secretary of the United States Department of Transportation 1200 New Jersey Avenue, SE
Washington, DC 20590
Subject: Support for Connecting Cloverdale to the Bay – Equitable Transportation Access & Resilience Project Application for FY 2024 RAISE Funding
Dear Secretary Buttigieg:

On behalf of the City of Cloverdale, I am writing to express our strong support for the collaborative partnership led by the County of Sonoma requesting Rebuilding American Infrastructure with Sustainability and Equity (RAISE) 2024 funds for the Connecting Cloverdale to the Bay – Equitable Transportation Access and Resilience Project. The County of Sonoma, in partnership with Sonoma-Marin Area Rail Transit District (SMART) and the City of Cloverdale, seek rural planning funds to advance three critical project to ensure the north of Sonoma County and adjacent areas are economically and environmentally resilient and prepared for the unfortunate reality of future climate related catastrophes.

This $13.5 million request provides sufficient funds to complete project development for three discrete but integrally related elements – Sonoma County’s Permanent Bridge over the Russian River at Asti, City of Cloverdale’s Downtown/SMART station area pedestrian and bicycle safety and connectivity improvements, and SMART’s Cloverdale to Healdsburg rail and pathway project. Each of these elements will include an overlay of bus transit access improvements and SMART’s rehabilitation of the tracks will include broadband capacity expansion.

The Asti Permanent Bridge over the Russian River is critical for emergency response capabilities that fall on our fire and ambulance districts. The Cloverdale Downtown/SMART station area planning activities will be community-led and will address several long-standing challenges, how to connect our rural city to the river that lies on the opposite side of freeway and railroad tracks in a way where we can support affordable housing and safe pedestrian access to schools and recreation opportunities. The SMART rail and pathway/Great Redwood Trail system is critical to Cloverdale’s basic access to economic opportunities, health care, education and true environmentally friendly transportation choice.

We recognize our future will be filled with challenges such as creating more housing, fostering economic development locally, ensuring ample broadband access, providing wildfire evacuation options, sourcing sufficient water and providing transportation options that allow our economy to grow and people to have access to opportunity in a way that has minimal environmental impact. Advancing these three transportation infrastructure efforts will help us prepare for that future.

We thank you for your consideration of this RAISE request to match our rural community’s commitment to a transportation system that is healthier, resilient and more prepared for the future.

Sincerely,
Todd Lands
Mayor
